COMPANY PROFILE
RATIO CONSULTING is a new and independent advisory firm located
in Modena dedicated to Mergers & Acquisitions, Corporate Finance
and Interim Management. The principal focus is on Small and
Medium Enterprises (SME) mainly based in Northern Italy.
RATIO CONSULTING assists clients in the acquisition and sale of
companies in cooperation with qualified professionals, financial
institutions, private equity funds and other stakeholders at national
and international level.
MISSION
Ratio Consulting mission is to assist small and medium size
enterprises to grow and create value, to assist in the search of new
capital through focused expert consulting by a team of dedicated
professionals with decades of experience in their respective fields
TEAM (1)
FRANCO RIGHI – Founder and Managing Partner
President and founder of RATIO in 1994 and of RATIO CONSULTING SRL in 2011. Class 1963. Bachelor and
Master in Business Administration (MBA) from the University of South Florida. Started his career in the Portfolio
Management Office of Banca Popolare Emilia Romagna as Financial Analyst. In the following 20 years he has
been General Manager, Chief Financial Officer (CFO), Controller and Consultant for important multinationals such
as Ferro Corporation, Invensys Plc, Technicolor and well-known Italian groups such as Malgara Chiari & Forti,
La Veggia, Coemar and Nuova Fima held by private equity funds and then moved to the Fondazione Cassa di
Risparmio di Vignola as Secretary General. Languages: Italian and English fluent, Spanish and French: academic.
ALFREDO BALLARINI – Senior Advisor and Financial Analyst
Owner of the “Studio di Finanza Aziendale” started in 1987. Specialized in the analysis of corporate financial
statements and in companies valuation. Speaker at several courses and conferences on economic and financial
matters is also publisher of financial analysis with sectorial specialization in the production of ceramic tiles and
related production of industrial automation.
STEFANO LEONELLI – Associate Partner
Degr ee in Economics and Business – Audit or and Char t ered Account ant .
He has ext ensive exper ience in f inancial and business met hod and pr act ice dr awing t he f ir st and impor t ant
exper iences in t he I ndependent Audit or (Analysis SpA and PWC) in which he is cur r ent ly employed. He has
exper ience in t he f ashion indust r y gained in Max Mar a Fashion Gr oup and at var ious f or eign subsidiar ies and
af f iliat es wit hin t he Finance, Management Cont rol, Consolidat ed Financial St at ement s, oper at ions st ar t -up,
and of t en in cross-bor der M&A. He par t icipat ed in t he pr oj ect SCOUTI NG I t aly SpA, a company M&A
Advisor y and Corporat e Finance owned by dif f er ent cooperat ive banks, of which he became dir ect or of
oper at ions. Cur rent ly he is developing M&A Advisor y, Rest r uct ur ing and Fundr aising, pr epar ing business

FABRIZIO LEONI – Senior Advisor
Born in 1960. Degree in Business Administration cum laude from University of Bologna and Master in Financial
Brokerage (MIF) from SDA Bocconi. CPA (dottore commercialista e revisore) since 1993. Professor at University of
Bologna in Mergers and Acquisitions from 2007 to 2009.
In 1987 started his career as financial analyst with IMI Group and Sige Capital Markets in Milan. From 1990 to 1992 he
has been finance director at Salvat ore Fer r agamo – Flor ence. For t he past 15 year s he has been involved in deal
or iginat ion, M&A and cor por at e f inance t r ansact ions, debt r est r uct ur ing as Dir ect or f ir st at Er nst & Young
Cor por at e Finance and t hen at Deloit t e FAS, super vising a t eam of 5 prof essionals. He now collabor at es as an
independent senior advisor wit h leading M&A bout iques. Languages: English.
PIERMARIO RIGONI – Senior Advisor and Financial Analyst
Born in 1974, graduated in Industrial Engineering at the University of Padua, is currently attending an Executive MBA
from LUISS Business School in Rome. Decades of experience in tourism and real estate gained in the role of Financial
Controller at international hotel chains including the Chia Laguna Resort Spa / Le Meridien in Sardinia.
Languages: English.
GIANLUCA SELMI – Senior Advisor
Born in 1956 has thirty years of experience in different industries such as textiles and clothing, computers, operating
systems and management, chemical. He has a degree in social sciences at the University of Urbino and Ancona'' in
1979. He earned a Masters in Business Administration at the institute Adriano Olivetti ISTAO (Ancona) in 1981.
Languages: Italian mother tongue, English and Spanish fluently.

M&A ADVISORY: consulting services for disposals and acquisitions: scouting, deal structuring,
business plans, due diligence, information memorandum and negotiations.
CORPORATE FINANCE: business consulting in the field of accounting, finance, management
control, working capital management, cash flow management and mortgage covenants monitoring.
INTERIM MANAGEMENT: highly qualified individuals for projects and assignments such as default
turnaround, change management, post-acquisition integration and execution of industrial plans.

The services of M&A Advisory offered by RATIO CONSULTING for the sale of businesses are designed to find new
partners or buyers for parts or for the whole company.
RATIO CONSULTING can assist in the search for new industrial and financial partners, majority or minority, to manage
growth plans, for the launch of new products or new services, to expand the customers basis in new geographic areas
or to retire from activities for lack of heirs, for issues related to generational change or willingness to engage in other
