Preface
Management is the art & science of planning, directing, and controlling human efforts so that the
established objectives of an organization are accomplished in accordance with the accepted
policies.
The course of PGDM enables us to go through a project work for eight weeks so as to take us
closer to the practical aspects of all the theories we have been going through.
Practical training is considered to be an essential part of all professional courses and those who
are aspiring for specialization in IT, practical training at the work place is essential for them.
I carried out the project work in EVEREST INDUSTRIES LIMITED for the „Deployment Of
Intranet‟. This is a web based application and database which can be accessed by all the
employees at all the location just by using a login ID and password. This is a live project of
Intranet. This is a very dynamic and user friendly & attractive system. Every care has been taken
so that no stone is unturned so as to make the system presentable in its first phase of launch. This
report includes details of information about company profile, Intranet of Everest, process of
Intranet deployment and conclusion

Executive Summary
This project is an attempt to Deploy Intranet for the very first time in the organization of Everest
Industries Ltd.This is a live project of Everest Industries Ltd.
The project was undertaken with the objective to make the work environment of the company
paper free and also to make the environment for the employees full of fun, energy and
information. This project helped me to understand the skills of management and also to realize
the core importance and responsibilities of an administrator of such kind of live project. The one
of the major objective was to keep in contact with those employees who are out for marketing.
This will not only help the people of Head Office to get the latest news and update, circulars,
Notice etc., however this will be also utilized sensibly at other centers as well like zonal offices,
sales depot, and factories.
During the period of project I was involved in the identification of the measurable attribute such
as the data which can be updated as dynamic data and the data which required to be made as
static pages. During the complete duration of the project I was always helping the development
and designing team of the Olive Global (Software Development Company). I was very vigilant
during the complete process of development so as reduce the errors at the user interface which
would be shown as output on the screen. I was the System Administrator so I was responsible for
all the dynamic updates of „Thought of the Day‟, News, Circulars, Picture Gallery, New Joinees
etc...
This project was not an easy task. However with the help and support of our honorable
Mr.B Ram Mohan ( V.P. HR), Mr.Sunil Kumar Sharma ( Manager Administration) and all the
employees of Finance department, Marketing department , IT and the HR department of the
company from the beginning till the end and hence the project was successfully completed.

Overview Of The Project
This project is about Deployment of Intranet with the help of a web application so that it can be
accessed from any anywhere by the Everest Employee using a password and a Login ID. This
organization is almost a 80 years old organization. It has seen the all the good and bad times
during its growth till this stage. Now so as to compete well in his cut throat competition we need
to make the work process and environment much more comfortable in terms of work process and
methodology. So it has been decided that the organization would go for deployment of intranet
so as to make the work environment paper free. Maximum information and data that needs to be
known by all the employees would be uploaded on the intranet. No one will even miss a single
announcement and circular even if at that point of time that employee is not available at the
office. The current trend, latest news, events etc would be uploaded on the intranet and can be
shared among all the employees at all different locations and zonal offices. It has few interesting
features like BLOGS where the employees can upload the feedbacks, there is a list of annual
holidays for all the regions, the list of birthday of different employees is also displayed for
different locations etc.
This needs to be developed in such a manner so that this can be utilized by either new joiners or
summer trainees at the time of understanding the organization and its processes.
The development of the framework for the Intranet has been given to a very reputed and well
known software organization OLIVEGLOBAL. All the front end and back end has been
designed by them. The system was under testing for about one month before it was handed over
to Everest for final usage.
In this project my core job was to handle the data and look after the proper installation of the
system. The second most important function was to take care of the proper updation of the news,
circular, notice etc. Apart from all these I was also responsible to make the employees
understand what is Intranet and why is it useful?

A Detailed Over View Of The Organization
Profile
Everest Industries Limited, an IS/ISO 9001:2000 company has an established presence over 74
years with 5 manufacturing plants and wide dealers/distribution network all over India. Everest
Industries Limited offers a versatile and wide range of products covering Fiber cemented
products to designing, manufacturing and erection of Pre-Engineered Steel Buildings. Everest
has generated enormous confidence and goodwill amongst its customers both in India and abroad
for the high quality standards of its products and solutions.
Vision
Everest will be the deepest penetrated housing and building solution provider to deliver
strength, speed and safety to its customers in all its target markets.
Mission
Our mission is to achieve a sales turnover of Rs 1,000/- crores with a net profit of Rs 100 crores
by 2010-11.
Everest has launched it self in new way as Everest Steel Building Solutions. It almost one year
old. The main aim of this is to provide Strength, Speed & Safety.
Background
Everest Industries Ltd., formerly known as Eternit Everest commenced business by taking over,
as a growing concern, the erstwhile Asbestos Cement (India) at Kymore, Madhya Pradesh. The
company manufactures fibre based cement products,such as sheets for roofing and interiors as
well as Non Asbestos flat sheets for varied applications including pre-fab housing. The
company was the first to manufacture asbestos cement roofing sheets in India at its first factory
commissioned in May '34. Its manufacturing business was progressively expanded by
establishing a second sheeting factory at Mulund, Bombay, in 1937, a third one at Calcutta in
Oct.'38 and a fourth at Podanur (near Coimbatore), Tamilnadu, in Nov.'53. In Sep.'57, a another
sheeting plant was installed at the Kymore factory. Plants to manufacture pipes were added
between 1938 and 1963.

Its "Everest" brand enjoys huge brand equity. Besides roofing, the company has introduced a
range of new generation products called E-Board Classic for varied applications in interiors.
In 1988-89, Turner & Newall International, UK, sold its stake in the company to Eteroutremer,
Belgium, the holding company of the Eternit group, Belgium. It obtained central government
approval to shift part of the production capacity of the Mulund works to
Nasik and to shift the balance capacity within one year from the date of commissioning of the
factory at Nasik.
The company is venturing into non-asbestos-based roofing and paneling products. In addition to
the fire-resistant boards being developed with the active assistance of the Etex group, the
company has also initiated the introduction of passive fire protection systems with technical
support from an Etex group company. It has obtained ISO-9002 and ISO 14001 certification for
its Podanur works.
The Etex Group, through its subsidiary Nefibouw BV of Netherlands acquired during 2000-
2001, 0.54% of equity shares from the open market to take the Group's stake to 50%.
In Feb. 2002 Associated Cement Companies, has acquired 74,00,010 equity shares (constituting
50% of the total equity capital) by Inter se transfer between promoters. Total shareholding of
voting rights after this acquisition comes to 1,12,50,030 equity shares (constituting 76.01 % of
the total equity capital of the company). The company is Modernizing its Podanur, Kymore and
Kolkata works and the these projects have been completed.
The company has expanded the increased capacity of Fiber Cement/Asbestos Cement products
during the financial year 2002-03 by 72000 MT and with this expansion; the total capacity has
risen to 360000 MT.
ACC is holding 76.01% stake in Everest Industries as on 31.03.2004.
Adani Port Infrastructure Ltd and Accurate Finstock Pvt Ltd have announced an open offer to
acquire 20% stake in Everest Industries during April 2004.The open offer follows the agreement
entered into by Swiss based Holcim which has signed a pact with Adani Ports to offload ACC's
present stake of 76.01% in Everest Industries.

Production Facilities
The production facilities are present at five major location viz. Bhagwanpur, Kymore, Kolkata,
Nasik and Podanur.
Bhagwanpur
The Greenfield project started in June 2006 at Bhagwanpur Works, Roorkee is near its
completion. The BW will cater to market demand of Everest products in the North and Central
India. The Flat boards line at BW started trial production in March’07 and the production is
being stabilized. The AC Roofing Line equipment trial runs are on and trial production is
expected to start in the month of July,07 and stabilize fully by December,07.Trial production of
Solid Wall Panels is expected to start at BW during the month of July, 2007. The first machine
for producing Light Grade structural Frames (LGSF) was put into operations in May’07. First lot
of LGSF product from the machine is used for BW Canteen, Production Office, security office
and LGSF machine shed itself.

Kymore
Established in 1934, in Katni, Madhya Pradesh is the first plant in India that was setup to
manufacture Fiber-Cement Roofing Sheets & Accessories.At Kymore Works great emphasis is
on Safety, Health & Environment to ensure high level of safety environment at workplace. KW
has been honoured by State Level Award as the first and only unit in M.P. among similar
manufacturers to have been awarded by the Government of Madhya Pradesh for excellence in
the fields of Safety, Health & Environment.
Over the years, despite of being of the oldest unit, continues to improve and flourish with highest
levels of performance in its various operations.

Established in 1938, in Calcutta now known as Kolkata is the second plant of Everest that was
setup to manufacture Fiber-Cement Roofing Sheets & Accessories. At Calcutta Works is spread
in 7 acres of land at Taratolla Road and during it existence for over 70 years great emphasis is on
Safety, Health & Environment to ensure high level of safety environment at workplace. Over the
years, despite of being of the oldest unit, continues to improve and flourish with highest levels of
performance in its various operations.

Lakhmapur Works established in the year 1994-95, is about 35 kms. away from holy city of
Nashik. LW has advanced manufacturing facility for manufacturing AC Corrugated roofing
sheets, Flat Boards, Compressed Boards, and Solid Wall Panels. LW was the first unit to
manufacture Non-asbestos roofing sheet and Flat boards in India.

Podanur
Podanur Works established in the year 1953 is about 10 kms. away from south Indian industrial
town of Coimbatore and is well connected by road and rail. PW commenced production in 1953
with manual corrugation of AC sheets and Other Moulded Goods, and over the years, it
gradually transformed itself into a modernized plant, with vacuum corrugation. Today, PW had
two lines for manufacturing AC Corrugated roofing sheets of CBS & CTS profiles, and Non-
Asbestos Roofing (Hi-tech) sheets and OMG Accessories. The Hi-tech Products are
manufactured adapting the HIPP technology (High Impact Polypropylene) with its unique

About the Products
Everest fiber cement corrugated roofing sheets and accessories are used for factories, power
plants, railway platforms, houses etc. The multipurpose cement boards are used as false ceilings,
dry wall partitions and internal linings in residential, commercial and industrial sectors. Everest
Hi-Tech is a non-asbestos, corrugated modern roofing system made in collaboration with Saint
Gobain. E-Board Classic is used as paneling, partitioning, false ceiling, cabinets, cupboards and
doors. Acostyle provides better interiors in commercial establishments, and Rapicon provides
walling solutions for internal and external walls and prefabhousing.
The compressed fiber cement board plant is imported from Dansk Eternit, Denmark under a
technology transfer agreement, and the company has an agreement with Dansk Eternit, Denmark
for obtaining the hydrofobating technology required for surface treatment of compressed boards.
Everest Industries is entering into the business of design, manufacturing, supply and erection of
pre-engineered steel buildings.
Financials
Everest Industries registered a steep drop of 27.42% in net profits of Rs 53.20 million for the
quarter ended June 2007 from a profit of Rs 73.30 million for the quarter ended June 2006. Net
Sales declined 0.19% to Rs 801.60 million for the quarter ended June 2007 from Rs 803.10
million for the quarter ended June 2006.Total income rose 0.41% to Rs 810.4 million for the
quarter ended June 2007, from Rs 807.1 million for the quarter ended June 2006.The earnings
per share (EPS) of the company stood at Rs 3.59 in the quarter ended June 2007 .

1.Everest Solid Walls:
The Company has already commissioned manufacturing facilities of Rapicon Panels at
Lakhmapur Works with an initial capacity of 12,000 units per year. The product is mainly

sheds with cladding and pre-fabricated structures.
2.Bhagwanpur Works, Uttarakhand:
The Company has already completed in record time the erection of its new multi-manufacturing

2.Industry Structure And Development
Everest Industries Limited pioneered fibre Cement Roofing Industry in India by establishing its
first plant in the country in 1934 at Kymore, MP. During 2005-06, the industry reached a market
size of 2.35 million MT with a CAGR of growth of 17.1% in the last 3 years. The industry
recorded a significant growth of 17.8% during 2005-06 in comparison with 16% growth it
witnessed in the same period in the previous year. The market share of the Company stood at
15%. This high industry growth has resulted in many new players entering into the market. The
industry is witnessing an unprecedented capacity build up with very large capacities being set up
in North and West India.
3.Industry Outlook & Opportunities
Roofing :-
The Fibre cement industry is an important constituent of economic development of the country
and has unique place in construction and building material sector due to two reasons:
The fiber cement roof is commonly used in villages and small towns for houses and
cattle sheds, godowns, shops, workshops etc. Industrial houses for their industrial sheds
& go-downs also extensively use it.
Fiber cement industry uses substantial amount of fly ash as raw material in its products
keeping the environment clean.
India is growing at a GDP of 8%. This high growth is reflected in all the sectors of the economy
namely the manufacturing sector, service sector as well as the agriculture sector. The
government is putting special focus on the rural economy and this is expected to give a boost to
the use of Fiber cement roofs.
The industrial sector is witnessing high growth with capacities getting increased through
expansions/diversifications and up new Greenfield units. The growth of fiber cement roofing
industry depends on prosperity of rural/industrial sector. Both these sectors have seen healthy
growth in last 2 years. This is reflected in fiber cement roofing industry, as it saw a significant
growth of around 17.8 % in year 2005-06 in comparison with previous year.

The growth was particularly high in states like Uttar Pradesh, Gujarat, Maharashtra, West
Bengal, Tamil Nadu. Good monsoon continues to remain crucial factor for agriculture as well as
for Industry, as it brings higher agriculture productivity and thus the rural masses having higher
disposable income can graduate to fiber cement roofs from thatch roofs. Steel will continue to
remain its major competitor and any upward revision in steel prices will bring increased demand
to this Industry.
Boards :-
Fiber cement boards are typically used for false ceilings, partitions, paneling and prefabricated
structures. There is a major growth in each of these applications with the growth of the economy.
The users are increasingly finding that the fiber cement boards are far better substitutes in terms
of resistance to moisture, fire and termites. There is also an increasing need for faster and cleaner
construction, which can be done using the fiber cement boards.
4.Industry – Threats, Risks and Concerns
The growth in the industry has resulted in many new players entering in this already competitive
market. Any new additions in the capacity either by existing players or through new entrants will
always remain prime concern.
Increase in input costs like the cost of cement, asbestos fiber, fuel etc is a major concern for the
industry.
The malafide campaign against asbestos from certain sectors has given totally erroneous
information to the general public and decision makers. This has so far not affected the sales of
the industry. The industry association Asbestos Cement Products Manufacturers Association
(ACPMA) continues with its initiative to counter the malafide anti asbestos campaign and
successfully managed to make the general public and key decision makers aware that there was
no risks associated with the use of asbestos to manufacture of fiber cement products, when all
necessary precautions are taken.
Risk Management :-
In accordance with the Clause 49 of the Listing Agreements with Stock Exchanges, the
Company has already appointed Risk consultant to assist the Company to lay down
procedures/system for speedier assessment of risk, information to Board of Directors and steps to
mitigate/ minimize the risk.

5.Costs and Profitability
The Company is always committed to reduce its costs through better negotiation with its raw
material suppliers, transporters and increase its profitability by de-bottlenecking, efficient use of
plant and machinery resulting in better yield, scrapping unwanted depots, concentration on
markets with low freight, increased productivity and reduction on overheads.
6.Internal Control System & Adequacy
The Company's internal control system has always been adequate to ensure that all its assets are
safeguarded and protected against loss from unauthorized use and disposition. It has evolved
financial reporting on monthly basis for all its 4 factories as independent profit centres. These
systems and measures are constantly checked by the Internal Auditors of the Company, on the
basis of an approved Audit plan of the Audit Committee. The Audit Reports are placed before
the Audit Committee, on quarterly basis, who after reviewing the same ensures that Audit
findings are complied with by the management. The management at the subsequent meetings by
way of an Action Taken Reports tables the compliances. All observations made by the Audit
Committee are duly considered and acted upon by the management of the Company.
7.Human Resources
Industrial Relations at all manufacturing units of the Company have been normal and peaceful.
The Company as on 31st March 2006 had 874 permanent employees.

A Detailed Over View Of The Project
Introduction
This project is all about making a web based application so as to reduce the paper work or else
we can say that this project was implemented to make a paper free environment to work. The
motive was to create transparency between different departments and employees. A lot of data is
such which each and every Everest employee should know and also has the right to know. This
application was made web based so that the data can be accessed by all the employees not only
from the head office but also from the other location of Zonal Offices, Factories and Sales
Depots. The idea was to support those employees as well who can not visit or get in touch with
the head office frequently. Apart from all these we wanted to use the same for interacting with all
the employees, also allowing them to share data and feedback on line.
After this idea was frozen, we contacted a software development organization OLIVE GLOBAL
for developing our INTRANET.A meeting was organized in which all the people who were
involved in this project were present. The project members from Everest were mainly our
honorable Mr. B.Ram.Mohan (V.P. Human Resource), Mr. Sunil Kumar Sharma (Manager
Administration) and myself. The point of contact from Olive was Mr.Chetan Sharma (Account
Manager).After the meeting this project was handed over to me so that I can co-ordinate with
Mr.Chetan and do the needful so as to successfully deploy the Intranet.
Before actually starting the project I made a presentation on Intranet to the higher management
of Everest so as to facilitate to make the employee understand the difference between Internet
and Intranet. For this I visited few different organizations for getting the details of their intranet.
The organization where I visited were CSC at Noida, GE MONEY at Gurgaon, ALSTOM at
Gurgaon.From all the organization I got an overview of Intranet so that I can apply the relevant
details in my project of deployment of Intranet and to make it success.
Creator Of Intranet & Software used
The creator of Intranet is the Olive people who have put in all the effort for designing the front
end using ASP and the database for storing the online data has been created using SQL.The
server is also a SQL based server. The static pages has been created using ASP and also the front
end the screen which would be used by the users has been designed using ASP.

Hosting & Maintenance of Intranet
The hosting of intranet has been done in the server of Olive since there was no web base SQL
server available with Everest. On top of all procurement of new web based server was too
expensive. So it was decided that we will be hosting our intranet on the server of Olive and allow
them to do the maintenance at a nominal annual fee for both the services of hosting and
maintenance.

The most attractive feature of our Intranet is that it can be accessed from any where, any time
just by logging in to the system via internet using a Login ID & Password. Each and every
employee of Everest would be provided with a unique Login ID and Password. There are many

Work Done By OLIVE GLOBAL
OLIVE people was to create a basic structure of Intranet that was decided and given during their
proposal and do some of the modification that may be asked by Everest after the system would
be handed over to us.
Now the main work of mine comes in to play. Here I was the concerned person from Everest
who was supposed to check the basic structure and also to provide the data of Everest in the form
of soft copy so that they can upload all the data on to the server. The soft copy was provided so
that their static pages for intranet can be created from them for Intranet. Also the soft copy of
complete database has been given so that it can be uploaded once in to the database for the first
time.
The role of Olive would become much clearer as and when I would be explaining the flow of my
work in the following sections. The proper co-ordination between us and the support we
provided to each other that made this project a success would become clear.
In the following sections I would be explaining the hurdles and difficulties that I had faced
during the creation of database in soft copy and other soft copy for making static pages. The
methodologies that I had followed so as to overcome these hurdles and to attain success.
Hurdles faced & Methodologies followed to overcome them
During the creation of soft copies of the complete database of the employees for the database of
the Intranet I met and coordinated with all the employees of different departments so as to collect
valid and authenticated data. During this process I got data all in excel sheet and in different
formats and in different units. Now my biggest challenge was to set all the data in a similar
format and in the same unit so that it can be used to create proper and authenticated database.
Now the database do not only mean the names and address however it comprises of a lot many
data which has to be 100% correct like the name and designation, department and many more. In
the beginning the biggest challenge was to consolidate all the data in one excel sheet from
different excel sheets that were provide to me by different concerned persons. There were major
concerns like many names were written in different formats in different excel sheets. An
example to the problem faced the name Sunil Kumar Sharma can be written as Sunil Kumar
Sharma, Sunil Kr. Sharma and Sunil K. Sharma. Now if I need to collect data from three
different sheets having the name in three different styles as mentioned above then it becomes
difficult for me to understand that what is the corresponding data for each name. Now if for
example the data is scattered over three different excel file for Date Of Joining, Birth Days,

department then the chances of misinterpreting the data becomes very high, inspite of that I
worked on the files and have harmonized the data of individuals in to a single file.
The other major issue was that all the data of all the employees were not available like the Date
of Anniversaries. This was creating trouble for uploading the data in intranet since many people
were resisting for giving the data. Inspite of this resistance I tried my best and collected as many
data as possible for updating.
The lists of holidays were all region specific. So I was only able to update and view the list of
holidays for Delhi Head Office. For this issue I approached the Olive development team and
asked them to do a modification so that list of holidays can be seen region wise.
There is a facility of updating pictures in the Picture Gallery. However this feature could not be
fully utilized because of the limitation of space. In the beginning this issue was understood to be
the outcome of uploading the picture in a wrong manner. However this was discovered at a later
stage that the space provided was too less. So as to resolve this issue I got in touch with the Olive
people and made them increase the space.
The First Presentation Of The Project
After all the soft copies of the data base were made as per the different modules, the time came
when these data were supposed to be uploaded in to the system. This was the day when I sat with
the Olive people till 11.30 at night in the office and worked with them so as to help them for the
uploading of the data in the system. This was the day when the system was made fully functional
also presentable to the Directors. The next day the system was presented in front of the Directors
and there was a mixed reaction and feedback. The feedbacks were regarding the suggested
changes in the outlook of the intranet.
The changes done after getting feedback
After the presentation of the Intranet in front of the higher management I made a strategy and
started working accordingly.
Now my work on the recreation of the structure of intranet as per the feedback and guidance of
the Board Directors, started with the help of Olive Development and Design team. Few of the
major changes that were suggested by them were the first screen was supposed to be made more
colorful. The ‘Thought of the Day’ was not to be shown in all the screens. The Login Screen was
to be made much more colorful. The display of Anniversaries was needed to be removed from
the display. Even there was an observation that the lists of holidays were displayed in an
inappropriate manner and the same was to be changed. The dynamic facilities are not being

utilized currently so I was asked to help the Olive to make few static pages so that the
information can at least be put on the Intranet as static pages. I noted all the points discussed and
planned for the implementation of the suggested changes and put the system in to function as
soon as possible.
This was a phase when I was supposed to handle the process and do the required updates and
make the system as per the suggestion of the higher authority. During this period I updated all
the dynamic data in to the system like the pictures in the gallery, circulars, notice board, News,
New Joinees, names and other information in the data base etc.
Few of the changes which were possible from my end they were done. These changes mainly
include all the data of dynamic nature. However the changes in the data and the structure were
supposed to be done by the Olive development team. For this job I drafted an official letter
signed by Mr. B.Ram.Mohan and approached Mr.Chatan Sharma for the changes. I got a
commitment from him that the job would be done as soon as possible. The developer and the
designer started working on this project. In the beginning they did not require any help from my
side so I only visited Olive to see the process of development of the project. After some time I
decided to help them out so as to complete the project before the given dead line. I used to create
all the soft copies for the creation of static pages to help them. I also helped them in designing
the flow of the navigation for different tabs on the home page.
The Second Presentation Of The Project
After the changes were made the same was shown to Mr.B.Ram.Mohan. With few of the
changes made he was happy however a lot many changes were yet expected to be done. The
major changes which were expected to be done - the ‘Thought of the Day’ was to be brought at
the home page. The second screen was to contain all the links and the click on the link should
take the screen to the login screen so as to pursue the user to login in to the system. After
logining in to the system there were information displayed in the form of boxes, the size of the
boxes were to be reduced since it was necessary to scroll for some time to view the complete
screen which apparently was an unpleasant experience for the users and hence it was felt that the
user may lose interest in the usage of the system. There was a display of ‘Thought Of The Day’
on all the screens which was not required so it was to be removed from all the screens. This also
lead to wasting a lot of space and necessitated avoidable scrolling of the screen and because of
this the user may lose interest.
These necessary changes were few of the new challenges for me to bring the system to the
expectation of the users.

The Process Followed for Changes After the Feedback of Second Presentation
After getting the feed backs in the second presentation I was expected to get the work done from
the Olive since the changes were to be made by the developer and the designing team. This
process required a lot of coding and use of web designing tool. So I contacted Mr.Chetan Sharma
for these updates. After talking to him we fixed up the time for a meeting so that I could explain
to him what all were still required and what all still needed to be done so as to complete the first
phase of the project. During this meeting I obtained a commitment from Mr.Chetan that all the
changes would be made and I would be able to show the system to the higher authority for
complete deployment up to their complete satisfaction latest by last week of June.
The Methodology Followed During The Creation Of Soft Copies
Till now I have been discussing, what has been done during the complete flow of the project.
However now I would like to explain the unexpected troubles faced by me. I would be
supporting the same with annexure attached at the end.
Before actually making the system live it was necessary to feed the basic data in to the system
which was provided to me in the form of excel sheets. In the database there were many fields
which were made compulsory to create an ‘Employee’ in the database. For this I collected the
data from different departments. For example I got the Joining Dates from one department,
Employee code and date of birth from HR., all the mailing ID’s from IT and so on and so forth.
It was not easy to get all the data just by making one visit to the concerned person. It took me
days to collect data from all different sources. It was possible to complete this process in a
relatively short period of time because of unstinted support from Mr.B.Ram.Mohan & Mr. Sunil
Kumar Sharma.
Even after getting all the data in soft and in different excel sheets it was not an easy task to
collate all the data in one excel sheet. The demo of all the excel sheets are given as annexures
(annexure -1, annexure-2, annexure-3, annexure-4, annexure-5, annexure-6) at the end. Not only
that, many data was given in the form of PDF files and presentations, using that I created soft
copies for making static pages on Intranet. Even many data was in the form of scanned copy for
example the address of zonal offices and factories. After getting all the data in various forms I
worked on all the various forms of data and tried converting them in to a single form on Excel or
in MS Word. These conversions of data in these formats helped me and the Olive development
team to make proper static pages for intranet. Even the same data has been used for updating the
dynamic fields in the intranet for example the area of ‘Adding Employees’ has been filled using
these data collected by me, new openings in Everest , list of new joinees etc.

Creativity Used During The Project In Intranet
I have tried using my creativity in the project so as to make it look more attractive and beautiful.
I got scope of showing my creativity in the area of entering the dynamic data like display of
‘Thought Of The Day’, News Items, Events, New Joinees, Picture Gallery etc…
One of the most interesting and attractive option that I was able to provide the users was an
online quiz for competition based on which we can do lucky draw and give prize to the winner.
This quiz has been designed and made by me using software known as Question Writer-3. The
best feature of this exercise was that all the reports were automatically mailed to my Mailing I.D.
so that those reports can be used to judge the winner of the Quiz. This can be made a regular
feature. By doing this I was able to attract people and make the use intranet. By doing this I was
also able to make it popular among our employees. To support this I am adding annexure-8 at the
end.
In these areas I can use my own imagination for color combination and display so as to make the
system look more attractive. Since I had the administrative rights of the Intranet I was
responsible for the data and its regular updation.
Final Official Launch
After all the workings the system was finally launched and was opened completely for the
employees to use and give feedback.
Presentation Done
After the launch of Intranet a presentation has been done so as to make the employees understand
the difference between Internet and Intranet. Also the motive of the presentation was to increase
the interest of the employees in the usage of Intranet. The presentation that has been presented
has been attached as an annexure.
Training Session
I being the administrator and one of the core team member during the development of the system
it was also my responsibility to train the people about the usage of the system. For this I was
advised to make a schedule and take training sessions at all the zonal offices including the head
office.

Limitations Of The System
The Intranet Deployed has a lot of limitation till date and it can be upgraded slowly as and when
required. This would be a never ending process. The project what has been done is only its first
phase. After the first phase the system needs to be used for a considerable period of time so that
we can get proper feedbacks and more data to be uploaded from different employees &
department.
All the feedbacks and data can be utilized for updating the system in the second phase of the
project. Even during this period of time the employees would become used to the system and
would enjoy using the same.

Recommendation For Success Of The Project
All the employees should use the system and know its advantages. There should be proper
schedule for training and presentations so as to propagate the idea and to increase its usage. The
success of the project depends on the usage of the system, adding value and updates by the
employees, given good inputs in the system by the employees, etc.
Above all there should be a dedicated administrator for the system so as to maintain the flow of
data and updation of all the dynamic record of the Intranet.

CODE OF CONDUCT
 Code of Conduct
Code of Conduct for all Board Members and Senior Management of
Everest Industries Limited.
Preface
The Board of Directors (hereinafter referred to as the “Board”) of Everest
Industries Limited (EIL) (hereinafter referred to as the “Company”) has
adopted the following Code of Business Conduct and Ethics (hereinafter
referred to as the “Code”) for the Board and Senior Management.
A model code of conduct has been designed to put values into practice. This
Code of Conduct isn’t merely a set of rules for specific circumstances but an
intentionally expansive statement of principles meant to inform all the
actions of the Board of Directors and Senior Management. The Board and
Senior Management should make an effort to study and understand these
principles and do their best to apply them to any and all circumstances
which may arise.

All senior management employees should sign the acknowledgement form
at the end of this Code and return the form to the HR Department that they
have received, read and understood, and agreed to comply with the Code.
The signed acknowledgement form shall be filed in each Officer’s personal
file.
The Code shall be posted/displayed on the website of the Company.
 Applicability of the Code
This Code applies to:
(a) All the Directors of the Company.
(b) All the Senior Management Employees of the Company, which would
comprise all members of Management one level below the Executive
Director, including all Functional, Works and Zonal heads.

In terms of the Listing Agreement all the Board Members and the Senior
Management employees should affirm compliance with the code on an
annual basis. The Annual Report of the Company shall contain a declaration
to this effect and signed by the Managing Director.
 The C ode
1. C onflict of Interest or Duty
1.1 The Board and Senior Management must be aware of potential conflict
between (directly or indirectly):
(a) On the one hand:
 The interest of the Company
 Their duties to the Company
 (b) On the other hand:
 Their personal or external business interests
 Their duties to any third party

 1 .2 The Board and Senior Management must avoid placing themselves in a
position that may lead to:
(a) An actual or a potential conflict of interest or duty.
(b) A reasonable perception of an actual or potential conflict of interest or
duty.
 1 .3 The Board and Senior Management must:
(a) Fully and frankly inform the company of any personal or external
business interest that may lead to:
 An actual or potential conflict of interest or duty.
 A reasonable perception of an actual or potential conflict of interest or duty.
 (b) Obtain and follow independent legal advice to avoid and resolve any
actual, potential or perceived conflict of interest of duty.
 1 .4 Each Director must:
(a) Not participate when the Board considers any matter in which the
Director has or may have a conflict of interest or duty: and
(b) Comply with the Companies Act, 1956 and Listing Agreement provisions
in relation to the disclosing material personal interests and restrictions on
voting by Directors.

 1 .5 each Director must inform the Board:
(a) Any existing Directorship or other office held by Director in another entity
(b) Any proposed appointment as a Director or Senior Executive of another
entity before accepting the appointment.1 .6 The Board and Senior
M anagement must not exploit for their own personal gain the opportunities
that are discovered through the use of corporate property, information or
position unless the opportunity is disclosed fully in writing to the
C ompany.2. Compliance with laws, regulations, policies and procedures.
 The Board and Senior Management must:
(a) comply with the letter and spirit of any applicable law, rule or regulation.
(b) comply with the Insider Trading Regulations as laid down by SEBI and
the Company.
(c) comply with policies and procedures of the Company.
(d) encourage other officers and employees to do the same.

 3 . C onfidentiality
3 .1 Any information acquired by the Board and Senior M anagement while
performing their duties is confidential information of the Company and must
be k ept confidential. The Board and Senior Management must not disclose
the information to a third party except where that disclosure is:
(a) Authorized by the Board.
(b) Required by law or regulatory body (including a relevant stock exchange.
3 .2 The existence and details of any Board and Management information,
discussions and decisions that are not publicly known and have not been
approved by the Board for public release are confidential information of the
C ompany and subject to paragraph 3.1.

 4 . Protection and Proper use of Company Assets
4 .1 The Company expects each Director and Senior Management to use all
reasonable endeavors to protect any Company Asset and to ensure its
efficient use.
4 .2 A Director or Senior Management may only use a Company Asset for
legitimate business purposes approved by the Board.
4 .3 Each Director and Senior M anagement must immediately report any
suspected fraud or theft of a Company asset for investigation.
4 .4 The Board, Senior Management and all employees m ust pay particular
attention to information technology aspects such as data protection and
data security.
 5 . F air Dealing
5 .1 The Company expects the Board and Senior M anagement to:
(a) Deal fairly with employees, investors, customers, suppliers, competitors,
auditors, lawyers, creditors or other advisors of the Company.
(b) Encourage other employees and officers to do the same.

 5.2 The Board and Senior Management must not take unfair advantage of
any employee, customer, supplier, competitor, auditor, lawyer or other
advisor of the Company, creditor through illegal conduct, manipulation,
undue influence, concealment, abuse of confidential information,
m isrepresentation of material facts or any other unfair dealing practice.
5.3 The Board and Senior Management must promote a respectful work
place, culture that is free of harassment, bias and discrimination of any
k ind.6. Compensation from non-Company sources and Gifts6.1 The Board
and Senior Management should not accept compensation (in any form) for
services performed for the Company from any source other than the
C ompany.6.2 The Board and Senior Management may not offer, give or
receive gifts from persons or entities who deal with the Company or its
Holding Company, where any such gift is being made in order to influence
the actions or where acceptance of the gifts could create the appearance of
a conflict of interest.7. Reporting of Illegal and unethical Behavior7.1 The
Board and Senior Management should promote ethical behavior and take
steps to ensure that the Company:

(a) Encourages employees to talk to supervisors, managers and other
appropriate personnel when in doubt about the best course of action in a
particular situation.
(b) Encourages employees to report violations of laws, regulations or the
Company’s Code of Conduct to appropriate personnel.
(c) Informs employees that the Company will not allow retaliation for reports
made in good faith.
 8. Violation and Compliance of the Code
 8.1 The Board and Senior Management is required to help enforce this code
as part of his/her job and also of his/her ethical responsibility.
 8.2 Directors should communicate any suspected violations of this Code
promptly to the C hairman of the Audit Committee. Senior M anagement
should communicate any suspected violation of this Code to the M anaging
Director who in turn shall communicate it to the Chairman of the Audit
C ommittee.

 8 .3 Violations will be investigated by the Board or by persons designated by
the Board, and appropriate action will be taken in the event of any violations
of the Code.
 9. Waiver and Amendment of the Code
 9 .1 This Code is subject to modification at any time since the Company is
com mitted to continuously reviewing and updating its policies and
procedures in terms of extant guidelines and procedures laid down by
different statutory authorities.
 9 .2 Any amendment/inclusion or waiver of any provision of this Code shall
be approved by the Company’s Board of Directors and must be promptly
disclosed on the Company’s website.

ITS IM, GREATER NOIDA SOUMYA DE PGDM - 2007 – 2009 i Preface Management is the art & science of planning, directing, and controlling human efforts so that the established objectives of an organization are accomplished in accordance with the accepted policies. The course of PGDM enables us to go through a project work for eight weeks so as to take us closer to the practical aspects of all the theories we have been going through. Practical training is considered to be an essential part of all professional courses and those who are aspiring for specialization in IT, practical training at the work place is essential for them. I carried out the project work in EVEREST INDUSTRIES LIMITED for the „Deployment Of Intranet‟. This is a web based application and database which can be accessed by all the employees at all the location just by using a login ID and password. This is a live project of Intranet. This is a very dynamic and user friendly & attractive system. Every care has been taken so that no stone is unturned so as to make the system presentable in its first phase of launch. ITS IM, GREATER NOIDA SOUMYA DE PGDM - 2007 – 2009 iv Executive Summary This project is an attempt to Deploy Intranet for the very first time in the organization of Everest Industries Ltd.This is a live project of Everest Industries Ltd. The project was undertaken with the objective to make the work environment of the company paper free and also to make the environment for the employees full of fun, energy and information. This project helped me to understand the skills of management and also to realize the core importance and responsibilities of an administrator of such kind of live project. The one of the major objective was to keep in contact with those employees who are out for marketing. This will not only help the people of Head Office to get the latest news and update, circulars, Notice etc., however this will be also utilized sensibly at other centers as well like zonal offices, sales depot, and factories. During the period of project I was involved in the identification of the measurable attribute such as the data which can be updated as dynamic data and the data which required to be made as static pages. During the complete duration of the project I was always helping the development and designing team of the Olive Global (Software Development Company). I was very vigilant during the complete process of development so as reduce the errors at the user interface which would be shown as output on the screen. I was the System Administrator so I was responsible for all the dynamic updates of „Thought of the Day‟, News, Circulars, Picture Gallery, New Joinees etc... This project was not an easy task. However with the help and support of our honorable Mr.B Ram Mohan ( V.P. HR), Mr.Sunil Kumar Sharma ( Manager Administration) and all the employees of Finance department, Marketing department , IT and the HR department of the company from the beginning till the end and hence the project was successfully completed.

This organization is almost a 80 years old organization. It has seen the all the good and bad times during its growth till this stage. Now so as to compete well in his cut throat competition we need to make the work process and environment much more comfortable in terms of work process and methodology. So it has been decided that the organization would go for deployment of intranet so as to make the work environment paper free. Maximum information and data that needs to be known by all the employees would be uploaded on the intranet. No one will even miss a single announcement and circular even if at that point of time that employee is not available at the office. The current trend, latest news, events etc would be uploaded on the intranet and can be shared among all the employees at all different locations and zonal offices. It has few interesting features like BLOGS where the employees can upload the feedbacks, there is a list of annual holidays for all the regions, the list of birthday of different employees is also displayed for different locations etc. This needs to be developed in such a manner so that this can be utilized by either new joiners or summer trainees at the time of understanding the organization and its processes. The development of the framework for the Intranet has been given to a very reputed and well known software organization OLIVEGLOBAL. All the front end and back end has been designed by them. The system was under testing for about one month before it was handed over to Everest for final usage. In this project my core job was to handle the data and look after the proper installation of the system. The second most important function was to take care of the proper updation of the news, circular, notice etc. Apart from all these I was also responsible to make the employees understand what is Intranet and why is it useful?

The motive was to create transparency between different departments and employees. A lot of data is such which each and every Everest employee should know and also has the right to know. This application was made web based so that the data can be accessed by all the employees not only from the head office but also from the other location of Zonal Offices, Factories and Sales Depots. The idea was to support those employees as well who can not visit or get in touch with the head office frequently. Apart from all these we wanted to use the same for interacting with all the employees, also allowing them to share data and feedback on line. After this idea was frozen, we contacted a software development organization OLIVE GLOBAL for developing our INTRANET.A meeting was organized in which all the people who were involved in this project were present. The project members from Everest were mainly our honorable Mr. B.Ram.Mohan (V.P. Human Resource), Mr. Sunil Kumar Sharma (Manager Administration) and myself. The point of contact from Olive was Mr.Chetan Sharma (Account Manager).After the meeting this project was handed over to me so that I can co-ordinate with Mr.Chetan and do the needful so as to successfully deploy the Intranet. Before actually starting the project I made a presentation on Intranet to the higher management of Everest so as to facilitate to make the employee understand the difference between Internet and Intranet. For this I visited few different organizations for getting the details of their intranet. The organization where I visited were CSC at Noida, GE MONEY at Gurgaon, ALSTOM at Gurgaon.From all the organization I got an overview of Intranet so that I can apply the relevant details in my project of deployment of Intranet and to make it success. Creator Of Intranet & Software used The creator of Intranet is the Olive people who have put in all the effort for designing the front end using ASP and the database for storing the online data has been created using SQL.The server is also a SQL based server. The static pages has been created using ASP and also the front end the screen which would be used by the users has been designed using ASP.

So it was decided that we will be hosting our intranet on the server of Olive and allow them to do the maintenance at a nominal annual fee for both the services of hosting and maintenance. Features Of Intranet Of Everest The most attractive feature of our Intranet is that it can be accessed from any where, any time just by logging in to the system via internet using a Login ID & Password. ITS IM, GREATER NOIDA SOUMYA DE PGDM - 2007 – 2009 - 28 - Work Done By OLIVE GLOBAL OLIVE people was to create a basic structure of Intranet that was decided and given during their proposal and do some of the modification that may be asked by Everest after the system would be handed over to us. Now the main work of mine comes in to play. Here I was the concerned person from Everest who was supposed to check the basic structure and also to provide the data of Everest in the form of soft copy so that they can upload all the data on to the server. The soft copy was provided so that their static pages for intranet can be created from them for Intranet. Also the soft copy of complete database has been given so that it can be uploaded once in to the database for the first time. The role of Olive would become much clearer as and when I would be explaining the flow of my work in the following sections. The proper co-ordination between us and the support we provided to each other that made this project a success would become clear. In the following sections I would be explaining the hurdles and difficulties that I had faced during the creation of database in soft copy and other soft copy for making static pages. The methodologies that I had followed so as to overcome these hurdles and to attain success. Hurdles faced & Methodologies followed to overcome them During the creation of soft copies of the complete database of the employees for the database of the Intranet I met and coordinated with all the employees of different departments so as to collect valid and authenticated data. During this process I got data all in excel sheet and in different formats and in different units. Now my biggest challenge was to set all the data in a similar format and in the same unit so that it can be used to create proper and authenticated database. Now the database do not only mean the names and address however it comprises of a lot many data which has to be 100% correct like the name and designation, department and many more. In the beginning the biggest challenge was to consolidate all the data in one excel sheet from different excel sheets that were provide to me by different concerned persons. There were major concerns like many names were written in different formats in different excel sheets. An example to the problem faced the name Sunil Kumar Sharma can be written as Sunil Kumar Sharma, Sunil Kr. Sharma and Sunil K. Sharma. Now if I need to collect data from three different sheets having the name in three different styles as mentioned above then it becomes difficult for me to understand that what is the corresponding data for each name. Now if for example the data is scattered over three different excel file for Date Of Joining, Birth Days,

The other major issue was that all the data of all the employees were not available like the Date of Anniversaries. This was creating trouble for uploading the data in intranet since many people were resisting for giving the data. Inspite of this resistance I tried my best and collected as many data as possible for updating. The lists of holidays were all region specific. So I was only able to update and view the list of holidays for Delhi Head Office. For this issue I approached the Olive development team and asked them to do a modification so that list of holidays can be seen region wise. There is a facility of updating pictures in the Picture Gallery. However this feature could not be fully utilized because of the limitation of space. In the beginning this issue was understood to be the outcome of uploading the picture in a wrong manner. However this was discovered at a later stage that the space provided was too less. So as to resolve this issue I got in touch with the Olive people and made them increase the space. The First Presentation Of The Project After all the soft copies of the data base were made as per the different modules, the time came when these data were supposed to be uploaded in to the system. This was the day when I sat with the Olive people till 11.30 at night in the office and worked with them so as to help them for the uploading of the data in the system. This was the day when the system was made fully functional also presentable to the Directors. The next day the system was presented in front of the Directors and there was a mixed reaction and feedback. The feedbacks were regarding the suggested changes in the outlook of the intranet. The changes done after getting feedback After the presentation of the Intranet in front of the higher management I made a strategy and started working accordingly. Now my work on the recreation of the structure of intranet as per the feedback and guidance of the Board Directors, started with the help of Olive Development and Design team. Few of the major changes that were suggested by them were the first screen was supposed to be made more colorful. The ‘Thought of the Day’ was not to be shown in all the screens. The Login Screen was to be made much more colorful. The display of Anniversaries was needed to be removed from the display. Even there was an observation that the lists of holidays were displayed in an inappropriate manner and the same was to be changed. The dynamic facilities are not being

I noted all the points discussed and planned for the implementation of the suggested changes and put the system in to function as soon as possible. This was a phase when I was supposed to handle the process and do the required updates and make the system as per the suggestion of the higher authority. During this period I updated all the dynamic data in to the system like the pictures in the gallery, circulars, notice board, News, New Joinees, names and other information in the data base etc. Few of the changes which were possible from my end they were done. These changes mainly include all the data of dynamic nature. However the changes in the data and the structure were supposed to be done by the Olive development team. For this job I drafted an official letter signed by Mr. B.Ram.Mohan and approached Mr.Chatan Sharma for the changes. I got a commitment from him that the job would be done as soon as possible. The developer and the designer started working on this project. In the beginning they did not require any help from my side so I only visited Olive to see the process of development of the project. After some time I decided to help them out so as to complete the project before the given dead line. I used to create all the soft copies for the creation of static pages to help them. I also helped them in designing the flow of the navigation for different tabs on the home page. The Second Presentation Of The Project After the changes were made the same was shown to Mr.B.Ram.Mohan. With few of the changes made he was happy however a lot many changes were yet expected to be done. The major changes which were expected to be done - the ‘Thought of the Day’ was to be brought at the home page. The second screen was to contain all the links and the click on the link should take the screen to the login screen so as to pursue the user to login in to the system. After logining in to the system there were information displayed in the form of boxes, the size of the boxes were to be reduced since it was necessary to scroll for some time to view the complete screen which apparently was an unpleasant experience for the users and hence it was felt that the user may lose interest in the usage of the system. There was a display of ‘Thought Of The Day’ on all the screens which was not required so it was to be removed from all the screens. This also lead to wasting a lot of space and necessitated avoidable scrolling of the screen and because of this the user may lose interest. These necessary changes were few of the new challenges for me to bring the system to the expectation of the users.

ITS IM, GREATER NOIDA SOUMYA DE PGDM - 2007 – 2009 - 31 - The Process Followed for Changes After the Feedback of Second Presentation After getting the feed backs in the second presentation I was expected to get the work done from the Olive since the changes were to be made by the developer and the designing team. This process required a lot of coding and use of web designing tool. So I contacted Mr.Chetan Sharma for these updates. After talking to him we fixed up the time for a meeting so that I could explain to him what all were still required and what all still needed to be done so as to complete the first phase of the project. During this meeting I obtained a commitment from Mr.Chetan that all the changes would be made and I would be able to show the system to the higher authority for complete deployment up to their complete satisfaction latest by last week of June. The Methodology Followed During The Creation Of Soft Copies Till now I have been discussing, what has been done during the complete flow of the project. However now I would like to explain the unexpected troubles faced by me. I would be supporting the same with annexure attached at the end. Before actually making the system live it was necessary to feed the basic data in to the system which was provided to me in the form of excel sheets. In the database there were many fields which were made compulsory to create an ‘Employee’ in the database. For this I collected the data from different departments. For example I got the Joining Dates from one department, Employee code and date of birth from HR., all the mailing ID’s from IT and so on and so forth. It was not easy to get all the data just by making one visit to the concerned person. It took me days to collect data from all different sources. It was possible to complete this process in a relatively short period of time because of unstinted support from Mr.B.Ram.Mohan & Mr. Sunil Kumar Sharma. Even after getting all the data in soft and in different excel sheets it was not an easy task to collate all the data in one excel sheet. The demo of all the excel sheets are given as annexures (annexure -1, annexure-2, annexure-3, annexure-4, annexure-5, annexure-6) at the end. Not only that, many data was given in the form of PDF files and presentations, using that I created soft copies for making static pages on Intranet. Even many data was in the form of scanned copy for example the address of zonal offices and factories. After getting all the data in various forms I worked on all the various forms of data and tried converting them in to a single form on Excel or in MS Word. These conversions of data in these formats helped me and the Olive development team to make proper static pages for intranet. Even the same data has been used for updating the dynamic fields in the intranet for example the area of ‘Adding Employees’ has been filled using these data collected by me, new openings in Everest , list of new joinees etc.

ITS IM, GREATER NOIDA SOUMYA DE PGDM - 2007 – 2009 - 32 - Creativity Used During The Project In Intranet I have tried using my creativity in the project so as to make it look more attractive and beautiful. I got scope of showing my creativity in the area of entering the dynamic data like display of ‘Thought Of The Day’, News Items, Events, New Joinees, Picture Gallery etc… One of the most interesting and attractive option that I was able to provide the users was an online quiz for competition based on which we can do lucky draw and give prize to the winner. This quiz has been designed and made by me using software known as Question Writer-3. The best feature of this exercise was that all the reports were automatically mailed to my Mailing I.D. so that those reports can be used to judge the winner of the Quiz. This can be made a regular feature. By doing this I was able to attract people and make the use intranet. By doing this I was also able to make it popular among our employees. To support this I am adding annexure-8 at the end. In these areas I can use my own imagination for color combination and display so as to make the system look more attractive. Since I had the administrative rights of the Intranet I was responsible for the data and its regular updation. Final Official Launch After all the workings the system was finally launched and was opened completely for the employees to use and give feedback. Presentation Done After the launch of Intranet a presentation has been done so as to make the employees understand the difference between Internet and Intranet. Also the motive of the presentation was to increase the interest of the employees in the usage of Intranet. The presentation that has been presented has been attached as an annexure. Training Session I being the administrator and one of the core team member during the development of the system it was also my responsibility to train the people about the usage of the system. For this I was advised to make a schedule and take training sessions at all the zonal offices including the head office.

This would be a never ending process. The project what has been done is only its first phase. After the first phase the system needs to be used for a considerable period of time so that we can get proper feedbacks and more data to be uploaded from different employees & department. All the feedbacks and data can be utilized for updating the system in the second phase of the project. Even during this period of time the employees would become used to the system and would enjoy using the same.

Preface The Board of Directors (hereinafter referred to as the “Board”) of Everest Industries Limited (EIL) (hereinafter referred to as the “Company”) has adopted the following Code of Business Conduct and Ethics (hereinafter referred to as the “Code”) for the Board and Senior Management. A model code of conduct has been designed to put values into practice. This Code of Conduct isn’t merely a set of rules for specific circumstances but an intentionally expansive statement of principles meant to inform all the actions of the Board of Directors and Senior Management. The Board and Senior Management should make an effort to study and understand these principles and do their best to apply them to any and all circumstances which may arise.

(b) All the Senior Management Employees of the Company, which would comprise all members of Management one level below the Executive Director, including all Functional, Works and Zonal heads. ( Slide 3) In terms of the Listing Agreement all the Board Members and the Senior Management employees should affirm compliance with the code on an annual basis. (b) A reasonable perception of an actual or potential conflict of interest or duty.  1 .3 The Board and Senior Management must: (a) Fully and frankly inform the company of any personal or external business interest that may lead to:  An actual or potential conflict of interest or duty.  A reasonable perception of an actual or potential conflict of interest or duty.  (b) Obtain and follow independent legal advice to avoid and resolve any actual, potential or perceived conflict of interest of duty.  1 .4 Each Director must: (a) Not participate when the Board considers any matter in which the Director has or may have a conflict of interest or duty: and (b) Comply with the Companies Act, 1956 and Listing Agreement provisions in relation to the disclosing material personal interests and restrictions on voting by Directors. ( Slide 5)  1 .5 each Director must inform the Board: (a) Any existing Directorship or other office held by Director in another entity (b) Any proposed appointment as a Director or Senior Executive of another entity before accepting the appointment.1 .6 The Board and Senior M anagement must not exploit for their own personal gain the opportunities that are discovered through the use of corporate property, information or position unless the opportunity is disclosed fully in writing to the C ompany.2. Compliance with laws, regulations, policies and procedures.  The Board and Senior Management must: (a) comply with the letter and spirit of any applicable law, rule or regulation. (b) comply with the Insider Trading Regulations as laid down by SEBI and the Company. (c) comply with policies and procedures of the Company. (d) encourage other officers and employees to do the same.

(b) Required by law or regulatory body (including a relevant stock exchange. 3 .2 The existence and details of any Board and Management information, discussions and decisions that are not publicly known and have not been approved by the Board for public release are confidential information of the C ompany and subject to paragraph 3.1. Protection and Proper use of Company Assets 4 .1 The Company expects each Director and Senior Management to use all reasonable endeavors to protect any Company Asset and to ensure its efficient use. 4 .2 A Director or Senior Management may only use a Company Asset for legitimate business purposes approved by the Board. 4 .3 Each Director and Senior M anagement must immediately report any suspected fraud or theft of a Company asset for investigation. 4 .4 The Board, Senior Management and all employees m ust pay particular attention to information technology aspects such as data protection and data security.  5 . F air Dealing 5 .1 The Company expects the Board and Senior M anagement to: (a) Deal fairly with employees, investors, customers, suppliers, competitors, auditors, lawyers, creditors or other advisors of the Company. Compensation from non-Company sources and Gifts6.1 The Board and Senior Management should not accept compensation (in any form) for services performed for the Company from any source other than the C ompany.6.2 The Board and Senior Management may not offer, give or receive gifts from persons or entities who deal with the Company or its Holding Company, where any such gift is being made in order to influence the actions or where acceptance of the gifts could create the appearance of a conflict of interest.7. Reporting of Illegal and unethical Behavior7.1 The Board and Senior Management should promote ethical behavior and take steps to ensure that the Company: ( Slide 9) (a) Encourages employees to talk to supervisors, managers and other appropriate personnel when in doubt about the best course of action in a particular situation. (b) Encourages employees to report violations of laws, regulations or the Company’s Code of Conduct to appropriate personnel. (c) Informs employees that the Company will not allow retaliation for reports made in good faith.  8. Violation and Compliance of the Code  8.1 The Board and Senior Management is required to help enforce this code as part of his/her job and also of his/her ethical responsibility.  8.2 Directors should communicate any suspected violations of this Code promptly to the C hairman of the Audit Committee.
