1. GENERAL
The Bidder is requested to submit to Samsung Saudi Arabia Ltd. (hereinafter called
"SSA") a proposal based on the Inquiry Documents for the work as detailed in the Scope
of Work and Supply attached thereto.
The Bidder's proposal must comply with all Inquiry Documents in all respects.
The Inquiry Documents consist of:
(1) Invitation to Bid
(2) Instruction to Bidders
(3) Requisition Sheets
The Bidder is requested to confirm that all applicable documents stated herein are in his
possession, and if any of them prove to be missing, to inform SSA promptly in order to
obtain the same.
2. SUBMISSION OF PROPOSAL
1) Number of copies and addressee
One(1) original and two (2) copies of the Bidder's proposal duly signed by the
Bidder's executive shall be submitted to the addressee given in Clause 3 below.
Also one (1) soft copy of CD should be included (one original and two copy of
proposal documents and CD copy must be sealed with your company envelopes)
2) Bid closing date
The Bidder is requested to submit a proposal on or before the bid closing date
specified in the Invitation to Bid.
3) Language
The proposal and all related documents, including, such items as reports, studies,
correspondence, and drawings, shall be in the English language.
4) Return of Inquiry Documents
The unsuccessful Bidder shall immediately, upon receipt of SSA's notice, return to
SSA all Inquiry Documents.

4. SCOPE OF WORK
The Scope of Work will be as per the Drawings (Appendix 1), Technical Specifications
(Attachment 2) and BOQ (Attachment 3).
5. TERMS OF PAYMENT
1) Advance Payment (A/P)
10 % of Contract Price subject to submission for equivalent amount of
Bank Guarantee.
Payment to be released within 45 calendar days of having received
from the subcontractor the Advance Payment Bond, and the Performance Bond.
2) Monthly Progress Payment
90 % of Contract Price based on monthly progress approved by SSA.
(Deducting 10 % A/P and 10 % Retention Price from the Total Progress of work)
Payment to be released within 45 calendar days following acceptance of
relevant invoice.
3) Retention
10 % of Contract Price
Retention amounting to be applied to monthly progress payment
Retention amount to be released to the contractor within 45 days from the initial
Acceptance Date after receiving Warranty bond

10 % of Contract Price, and furnish within 14 days from the date of Contract
signing
A/B shall remain valid until the date of the initial Acceptance Date.
A/B to be released to the contractor within 30 days after the initial Acceptance
Date.

4-1)2. Performance Bond (P/B)
10 % of Contract price, and furnish within 14 days from the date of Contract
signing
P/B shall remain valid until the initial Acceptance Date including punch work.
P/B to be released within 30 days after the initial Acceptance Date.
4-1)3. Warranty Bond (W/B)
10 % of the final, adjusted Contract price prior to receiving the Certificate of
initial Acceptance
W/B shall remain valid until expiration date of the Warranty Period
W/B to be released within 30 days after issue of the Certificate of final
Acceptance.
5) Warranty Period
15 Months from the initial Acceptance Date
6) Liquidated Damage
Max 10 % of Contract Price
0.01 % of Contract Price for each day delayed
7) Bank charge
Any and all bank charge to be incurred for the receipt of any payments under the
Bidder shall be at the Bidderâs account.
6. DEVIATION FROM INQUIRY DOCUMENTS
1) In the event that the Bidder wishes to submit an alternative proposal, the Bidder shall
firstly prepare his basic proposal strictly in accordance with the requirements and
conditions hereof. In addition to the basic proposal, the Bidder may prepare an
alternative proposal clearly indicating (1) technical reasons, (2) effects on price and
(3) effects on the time schedule of works of the basic proposal.

SSA reserves the right to accept either the basic proposal or the alternative proposal
but in the event that the basic proposal is accepted, the requirements and conditions
of the Inquiry Documents shall be deemed to have been accepted by the Bidder. In
the event of submission of an alternative proposal by the Bidder, the requirements
and conditions of the Inquiry Documents to which no amendments and alternatives /
deviations have been proposed by the Bidder at the time of the submission of the
alternative proposal shall be deemed to have been accepted fully by the Bidder.
2) Any deviation and / or alterations from the inquiry conditions (commercial and
technical) must be clearly and specifically stated in one section (to be titled
"Deviations") of the proposal. SSA has no obligation to search for any deviations
in other parts than the said "Deviation" section. In the event that the Bidder is
awarded the contract, it will be on the basis only of those deviations and alterations
included in such separate "Deviations" section and accepted by SSA.
7. EVALUATION OF PROPOSAL
The evaluation of the Bidder's proposal will not be limited to price but also take into
account technical capability, working experienced in the related field, time schedule of
works, reliability of execution plan, etc. It is therefore essential importance that all the
information requested in "Requisition Sheets" herein below be constrained in the Bidder's
proposal. The evaluation will be conducted under SSA's sole discretion and judgment.
8. FAMILIARIZATION WITH WORKING CONDITIONS
It is the Bidder's responsibility to familiarize himself with the Work to be performed in
accordance with the Inquiry Documents, including but not limited to working conditions,
location of work, and all other requirements, such as local conditions, applicable laws
and regulations, labor condition, environmental aspects, etc., in order to submit a firm
and comprehensive proposal. The Bidder shall also check and verify the local information
contained in the Inquiry Documents and is expected to have fully satisfied himself
thereon before submitting his proposal.
The Bidder shall make his own arrangements and inquiries with regard to the loading,
unloading and transport of all construction equipment and material required for the works.
The Bidder shall make all necessary investigations as to the heaviest loads that can be
handled at ports or transported to the work site by road, railway or river, in particular with
regard to the weight-bearing capacity or all bridges and culverts, and the Bidder shall
comply with all relevant regulations of the governmental departments in connection
therewith.
9. CLARIFICATION
For clarification of or any query in respect of any part of the Inquiry Documents, the Bidder
may contact SSA by e-mail or facsimile. Any clarification or reply by SSA will be advised
to all Bidders as necessary for fair bid from all Bidders and shall not be valid or binding
unless made in writing including e-mail or facsimile.

10. PROPOSED PRICE
1) Unit rates
The Bidder shall propose unit rates for work by filling in the blanks of all tables
contained in "Bill of Quantities (Attachment-3). An amount to absorb fluctuations
in the costs of labor, construction equipment, materials and consumable shall be
estimated and will be the Bidder's responsibility.
2) Currencies
The Bidder shall quote all prices in the currencies of Saudi Arabia Riyal (SAR)
11. CONTENTS OF PROPOSAL
The contents of the Bidder's proposal should be explicit so that SSA can fully analyze the
essence of the technical and commercial aspects. The Bidder's proposal shall include,
without limitation, the data and information set out below.
1) Prices
The Bidder shall fill in the blanks of "Bill of Quantities (Attachment-3)â.
2) Work organization chart
The Bidder shall submit an organization chart for construction activities. The
organization chart shall be accompanied by:
- A short description of responsibilities and scope of authority of various
personnel functions shall be shown
- Safety, quality assurance, and environmental protection functions shall be
clearly shown.
3) Detailed construction schedule
The Bidder is requested to submit his detailed construction schedule including all
kind of works described in this Inquiry Document.
4) Manpower mobilization schedule
The Bidder shall submit a manpower schedule for the work, which shall be
accompanied by:
- Management & Supervisory Staff
The scheduled duration of assignment to site supervision for each member
describing local or foreigner shown in the Bidder's proposed organization
chart shall be shown in bar chart form.

- Direct Labor/ Indirect Labor
The numbers of personnel identifying local or foreigner, up to and including
foreman level, which will be employed monthly shall be shown in tabulated
form.
The Bidder shall execute his work on the basis that all activity shall be performed
during ten (10) hours per working day and six (6) days per week.
5) Temporary facilities plan
The Bidder shall submit a layout plan including required surface area, descriptions
and capacities of all temporary facilities to be constructed by the Bidder. In
addition, Bidder is requested to present his plan for labor accommodation
especially for the necessity of camp and itâs operation.
In case of camp operation, Bidder shall provide the camp and related utilities for his
labors and these costs should be included in the unit rates quoted in the Bill of
Quantities (Attachment-3).

6) Experience on similar job
The Bidder shall submit a list of similar jobs executed by the Bidder for the past
years, indicating project name, location, Owner, value and period of work, also
stating clearly whether the Bidder carry out those job as a contractor or a
Subcontractor.
7) Information on the Bidder's volume of work in progress and current commitments
The Bidder shall submit an analysis of the Bidder's projected workload for all
construction works in progress and in future. These construction works shall be
individually identified by project, location and Owner.
8) QA / QC management
The Bidder shall submit his policy and management system established for
Company's QA / QC as well as the virtual practice in the project site.
12. COSTS OF PREPARATION OF THE CONTRACTOR'S PROPOSAL
The Bidder shall bear all necessary costs and expenses required for or in connection
with the preparation of the proposal and subsequent actions to be taken by the
Bidder up to the conclusion of the contract including site visits, clarifications of the
proposal and negotiations of the contract.

13. CONFIDENTIAL DATA AND INFORMATION
The Bidder shall keep the data and information contained in the Inquiry Documents
supplied by SSA strictly confidential.
14. TAXES AND DUTIES
The Bidder will be required to fully comply with the local tax laws and regulations. To
that end the Bidder is required to acquaint himself with the relevant laws and
regulations relating to the importation of materials, corporate taxes and personal
income taxes, etc.
15. BILL OF QUANTITIES
The items of Work and their respective descriptions and quantities (hereinafter
collectively referred to as âThe Quantitiesâ) contained in the Bill of Quantities have
generally been measured drawings, the Standards manual and Specifications and
have been included to assist the Tenderer in the preparation of his Tender. The
accuracy of the Bill of Quantities is not guaranteed and Tenderers are strongly
advised to check the quantities for themselves and to allow in their submitted rates
and include items resulting from their design as they consider necessary for any
errors or omissions.
The quantities shown in the Bill of Quantities may be altered during tendering.
However, since the intention of the Conditions of Contract is that no work will be
remeasured, Contractor to consider BOQ quantities (quantities to be based on the
drawings) as actual and correct and any error or omission from the BOQ provides no
grounds to adjust the contract price. The contractor is required to execute the item of
work as per the quantities based on the drawings, irrespective of the quantities
mentioned in the BOQ for the corresponding item. Each item of work in the Bill of
Quantities must be individually priced in the rate column, extended and brought to the
total for the appropriate page (Summary Sheet âAttachment-3â). Failure to comply
with these requirements may render the Tender null and void.
