Autodesk Acquires Spacemaker: Offers Architects AI-powered Generative Design

Autodesk, Inc. announced it has signed a definitive agreement to acquire Spacemaker for
$240 million net of cash. Based in Oslo, Norway, Spacemaker uses cloud-based, artificial
intelligence (AI), and generative design to help architects, urban designers, and real estate
developers make more informed early-stage design decisions faster and enables improved
opportunities for sustainability from the start. By evaluating the best options from the outset,
Spacemaker helps architects maximize their clients’ long-term property investments. The
transaction is subject to customary closing conditions and is expected to close during
Autodesk’s fourth quarter of fiscal 2021, ending January 31, 2021. The acquisition of
Spacemaker provides Autodesk with a powerful platform to drive modern, user-centric
automation – powered by AI – and accelerate outcome-based design capabilities for
architects. With Spacemaker, design professionals can rapidly create and evaluate options for
a building or urban development. With AI as a partner to the architect, the Spacemaker
platform enables users to quickly generate, optimize, and iterate on design alternatives, all
while considering design criteria and data like terrain, maps, wind, lighting, traffic, zoning,
etc. Spacemaker quickly returns design alternatives optimized for the full potential of the
site. This leads to better outcomes from the start and allows designers to focus on the creative
part of their professional work.

Ericsson completes acquisition of Cradlepoint
Ericsson has completed its acquisition of Cradlepoint, the US-based market leader in Wireless WAN
Edge 4G and 5G solutions for the enterprise market. The investment is key to Ericsson’s ongoing
strategy of capturing market share in the rapidly expanding 5G enterprise space. Closing of the
acquisition follows the announcement on September 18, 2020 of Ericsson’s intention to acquire
Cradlepoint. At closing, a consideration of around USD 1 b. was paid using Ericsson’s cash-in-hand.
Cradlepoint’s sales for 2019 were SEK 1.2 b. with a gross margin of 61%. Ericsson’s operating
margins are expected to be negatively impacted by approximately 1% in 2021 and 2022 - where half
is related to amortization of intangible assets arising from the acquisition. Cradlepoint is expected to
contribute to operating cash-flow starting in 2022. Through Cradlepoint’s solutions, companies can
connect sites, vehicles, mobile workforces, and IoT devices in a simple and secure way using cellular
technology. By leveraging the combined offering, Ericsson will be able to create valuable new revenue
streams for its customers by supporting 5G-enabled services for enterprise, and boost returns on
investments in the network. Ericsson’s global presence and long-standing relationships with the
world’s leading service providers will also help accelerate Cradlepoint’s international expansion.
Cradlepoint will operate as a stand-alone subsidiary within Ericsson and continue to build on the
current market momentum as 5G is speeding up digital transformation and increasing the need for
advanced connectivity services for enterprises. Cradlepoint will be part of Ericsson’s Business Area

Intel to Acquire SigOpt to Scale AI Productivity and Performance
Intel announced it will acquire SigOpt, a San Francisco-based provider of a leading
platform for the optimization of artificial intelligence (AI) software models at scale.
SigOpt’s AI software technologies deliver productivity and performance gains across
hardware and software parameters, use cases and workloads in deep learning,
machine learning and data analytics. Intel plans to use SigOpt’s software
technologies across Intel’s AI hardware products to help accelerate, amplify and
scale Intel’s AI software solution offerings to developers. The deal is expected to
close this quarter. Transaction terms were not disclosed. SigOpt’s team – including
Clark and CTO and co-founder Patrick Hayes – will join the Machine Learning
Performance team in IAGS. They bring highly desired technical talent to help solve
some of the biggest challenges faced by Intel’s customers. SigOpt’s customer base
includes Fortune 500 companies across industries, as well as leading research
institutions, universities and consortiums. SigOpt’s software technologies will
continue to be available to data scientists and developers to enable better productivity
and performance in solving real-life use cases and drive business value for
customers.

Marvell Snags Inphi in $10B Acquisition
Marvell announced it will acquire rival chipmaker Inphi for roughly $10 billion
in cash and stock options. The announcement marks the second high-profile
semiconductor acquisition of the week, following AMD ‘s $35 billion purchase of
Xilinx. As part of the deal, which already received approval from both company’s
boards of directors, Marvell plans to reorganize the combined company into a
single U.S.-based chip giant. Once combined, Marvell boasts the company will
represent nearly $40 billion in market value and cover an addressable market
worth more than $20 billion a year. Inphi is a U.S.-based chipmaker specializing
in optoelectrical interconnects, commonly used in cloud data centers, where the
company can provide up to 800 Gb/s of throughput. With workloads becoming
increasingly distributed across cloud-data centers, higher-speed interconnects
become necessary to satiate bandwidth demands, Marvell claims. The acquisition
is expected to close in the second half of 2021 subject to regulatory approval.
Inphi CEO Ford Tamer will join Marvell’s Board of Directs alongside much of the
company’s talent.
“I couldn’t be more excited about this combination, and I believe it will be as
transformational for Marvell in the cloud market as Cavium was for us in the
5G market,” said Marvell CEO on an investor call this morning. Marvel’s
vision is to move, store, process, and secure the world’s data faster and more
reliably than anyone else, and this acquisition significantly accelerates the
move element of our vision, , referencing Inphi’s optoelectrical interconnect
technologies, which he called highly complementary to the company’s
existing physical layer (PHY) portfolio.

Connection Reports Third Quarter 2020 Results
Highlights
• Net sales for the quarter ended September 30, 2020 decreased by 10.5% to
$652.8 million, compared to $729.4 million for the prior year quarter. The reduction
in revenue year over year is primarily due to the continuing impact of the COVID-19
pandemic
• Net sales for the nine months ended September 30, 2020 decreased by 9.0% to
$1.9 billion, compared to $2.1 billion for the nine months ended September 30, 2019.
• Net income for the nine months ended September 30, 2020 decreased by 34.4%
to $39.5 million, or $1.50 per diluted share, compared to net income of $60.1
million, or $2.27 per diluted share, for the nine months ended September 30, 2019.
• Earnings before interest, taxes, depreciation and amortization, adjusted for
stock-based compensation expense and restructuring and other charges totaled $99.3
million for the twelve months ended September 30, 2020, compared to $129.0
million for the twelve months ended September 30, 2019.
“While clearly not yet at pre-COVID-19 levels, business activity continues to
improve as reflected in a substantially better Q3 performance compared with our
second quarter, “said President and CEO of Connection. In particular, we
benefitted during the quarter from growing demand for digital ecommerce

• Recurring revenue in Q3 2020 increased by 16% to $4.06 million compared to $3.50 million in Q3
2019 and increased by 4% compared to $3.89 million in Q2 2020.
• Total revenue for Q3 2020 increased by 19% to $4.55 million compared to $3.84 million in Q3 2019
and increased by 9% compared to $4.16 million in Q2 2020.
• Gross margin for Q3 2020 was 82% of total revenue compared to 84% in Q3 2019 and 88% in Q2
2020. Gross margin on recurring revenue was 91% for Q3 2020 compared to 90% in Q3 2019 and 93% in
Q2 2020.
• Operating loss for Q3 2020 was $0.49 million, up from an operating loss of $0.46 million in Q3 2019
and down from operating income of $0.35 million in Q2 2020. Second quarter gross margins and operating
income were positively impacted by COVID-19 government assistance of $0.6 million. No COVID-19
assistance was recognized during the third quarter of 2020.
• Net loss for Q3 2020 was $0.61 million, up from a net loss of $0.42 million in Q3 2019 and down from
net income of $0.21 million in Q2 2020.
• As at September 30, 2020, ProntoForms' cash and net working capital balances were $5.68 million and
$0.70 million respectively, compared to $5.70 million and $3.37 million as at December 31, 2019.
• Subsequent to quarter end CAD $1,957,500 was received from the exercise of warrants. Also, a new
CAD $6 million senior credit facility was entered and partially drawn to settle existing obligations to BDC
Capital Inc.
We are experiencing rebounding momentum as evidenced by our third quarter recurring revenue
increase of 16% over Q3 2019 and 4% over Q2 2020.We increased our Annualized Recurring Revenue
Base to $17 million at September 30, 2020 representing 5% growth over the June 30, 2020 balance.
We continued strong enterprise expansion and customers with more than $100,000 of ARR each
represented 39% of that base, up from 35% a year ago, said Founder and Chief Executive Officer of
Pronto Forms. We also solidified our financial position, finishing the quarter with $5.7 million in cash,
and since quarter end we received an additional CAD $1,957,500 in proceeds from the exercise of
warrants. We also recently replaced our legacy mezzanine debt with a senior credit facility to provide
lower rates and more financial flexibility over the longer term."

that intentionally interfere with AI's ability to make correct judgements represents a source of growing concern. Many suitable conventional
security resistance enhancement technologies exist for media data like images and sound. Their application to sequential data such as
communication logs and service usage history remains insufficient, however, because of the challenges posed by preparing simulated attack
data and the loss of accuracy. To overcome these challenges, Fujitsu has developed a robustness enhancement technology for AI models
applicable to sequential data. This technology automatically generates a large amount of data simulating an attack and combines it with the
original training data set to improve resistance to potential deception attacks while maintaining the accuracy of judgment. By applying this
technology to an AI model(1) developed by Fujitsu to judge the necessity of countermeasures against cyber-attacks, it was confirmed that
misjudgment of about 88% can be prevented in our own attack test data.

these delays, developing an effective method of verification through R&D was necessary. In 2009, Samsung Electronics became a member of the IEC,
an international organization that oversees the development of international standards related to the measurement of electromagnetic radiation. Since
joining the IEC, Samsung Electronics has contributed to the development of guidelines for evaluating the effects of mobile technology on the human
body, verification procedures for electromagnetic radiation regulations, the introduction of 5G technologies to the sample device used for the
evaluation of 5G wave effects on the human body and charge density, and proposals on new methods for the evaluation and supply of testing materials.
The entire developmental process took at least three years and, in longer estimates, five years to reach its conclusion.
