Air Liquide (France) announces new investment to reinforce its position in the
industrial basin of Tianjin, China
Air Liquide China will invest around 60 million euros to build an Air Separation
Unit (ASU) in the Lingang Economic District, Tianjin Port Free Trade Zone. Air
Liquide has been supplying industrial gases to this major Chinese industrial basin
for more than 25 years, and already operates 7 production facilities there. With an
oxygen production capacity of more than 2,000 tons per day, this ASU will
notably allow Air Liquide to support the growth of the chemical and steel
industries in the Tianjin basin, secured by a new long term supply agreement with
a major customer. Air Liquide will build, own and operate this new ASU, which
has been designed leveraging the Group’s latest state-of-the-art technology, for a
low carbon and energy efficient production of oxygen, nitrogen and argon. This
facility will also incorporate a dedicated capacity to support small-and-medium
sized customers of liquid and packaged gases, including local hospitals requiring
high-purity medical gases. It is planned to be operational in 2022. Air Liquide
China operates seven ASUs in Tianjin, as well as a network of multi-sourced
pipelines that deliver oxygen, nitrogen and hydrogen to adjacent customers.

Air Liquide (France) strengthens its expertise in extreme cryogenics with the
acquisition of a majority stake in Cryoconcept
Air Liquide has acquired 80% of the capital of the French company Cryoconcept, which
specialises in dilution refrigeration - a technology allowing to reach very low temperatures.
This transaction enables Air Liquide to strengthen its expertise in the field of extreme, or
close to absolute zero, cryogenics, to propose a broader offer and accelerate the development
of Cryoconcept’s activities. Founded in 2000 and a spin-off from CEA (the French
Alternative Energies and Atomic Energy Commission), Cryoconcept employs 14 employees
specialised in the field of very deep refrigeration using dilution refrigeration[1] based on the
use of helium-3 and helium-4. This unique technology, which makes it possible to reach
temperatures below 10 milliKelvin (close to absolute zero, i.e. -273.14 °C), is essential for
fundamental physical research in fields as varied as the detection of dark matter or
microscopes to explore the infinitely small. It also appears particularly promising to support
ongoing research projects on quantum computers. With this investment, Air Liquide can now
offer its customers a complete range of products and services across the entire cold chain,
from 300 Kelvin (ambient temperature) to now less than 10 milliKelvin (-273.14 °C). Expert
in extreme cryogenics for 60 years, Air Liquide designs and supplies its customers with
systems for cold production, liquefaction, storage and distribution of cryogenic fluids, for
applications in fields of scientific research, such as the ITER project, and in the aerospace
and space fields, such as the Herschel and Planck satellites, or the Melfi space exploration
program aboard the International Space Station.

AkzoNobel (Netherlands) boosts powder coatings capacity and accelerates
shift to greener production
AkzoNobel is investing €20 million to increase powder coatings capacity at its site in Como, Italy – signaling the company’s intent
to strengthen its market position and sharpen its focus on greener manufacturing. The Como site – already the company’s biggest
plant in Europe for producing powder coatings – is set to house a major capacity expansion for the production of automotive
coatings. The new facility will provide strategic back-up for AkzoNobel’s Arnsberg site in Germany (where a new line is also being
added), helping to secure customer supply. The extra capacity in Como is being installed in a renovated building where powder
coatings were originally made – a sustainable reuse of an historic part of the site. As well as introducing advanced equipment and
technology to deliver higher productivity rates and efficiency gains, the new operation in Como will also use recycled energy to
reduce consumption.It follows recent investments in China and Vietnam designed to install greener facilities and production
methods, which in turn will help the company to achieve its sustainability ambitions.The state-of-the-art new building in Como and
extra line in Arnsberg will help the company continue to grow with its customers, particularly in the automotive segment. And, as

Key milestone in Alstom’s (France) acquisition project of Bombardier Transportation:
signed sale and purchase agreement under revised price terms
Alstom announced that it signed the sale and purchase agreement with Bombardier
Inc and Caisse de dépôt et placement du Québec (CDPQ) for the acquisition of
Bombardier Transportation. Terms of the agreement have been adapted to the current
situation. A €300m reduction in the price range has been agreed with Bombardier Inc
and CDPQ. Excluding any further downward adjustments linked to the net cash
protection mechanism, the price range for the acquisition of 100% of Bombardier
Transportation shares will be therefore €5.5bn to €5.9bnAlstom considers that the
proceeds are likely to amount up to €5.3bn, based on estimated potential post-closing
adjustment and obligations linked to the net cash protection mechanism2, compared
to the €5.8bn – €6.2bn range communicated on February 17th,2020.The financing
structure remains the same as communicated previously, in particular the size and
terms of the rights issue and the reserved capital increases of CDPQ and Bombardier
Inc. As announced last February, pursuant to the new terms of the acquisition, CDPQ
will become the largest shareholder of Alstom with approximately 18% of the share
capital and voting rights.

Asahi Kasei Homes concluded an agreement to acquire 100% ownership of Austin Electric Services, LLC, Austin Concrete & Stone,
LLC, and Austin HVAC, LLC, a premier Arizona residential electrical, concrete, and HVAC group working with an emphasis on energy
efficiency and conservation, on September 10, 2020 (US Eastern time), through a US subsidiary, and completed the acquisition on
September 21, 2020.While strengthening its core business of order-built unit homes in Japan, Asahi Kasei Homes considers overseas
business to be an important source of additional growth. In November 2018, Asahi Kasei Homes acquired full ownership of Erickson
Framing Operations LLC, an Arizona-based supplier of prefabricated building components. Since then Asahi Kasei Homes has
leveraged its systemization know-how and enhanced fabrication and construction processes while studying further opportunities for
business growth.The Austin Companies have provided high-quality services for electric, foundation, and HVAC work in Arizona for
over 20 years, earning a strong reputation among builders. The acquisition of the Austin Companies was agreed based on expectation of

Sage Automotive Interiors Completes Acquisition of Adient’s Automotive
Fabrics Business
Sage Automotive Interiors (Sage), an Asahi Kasei subsidiary based in South Carolina, the US, has completed its acquisition of the automotive fabrics
business of Adient plc as announced on March 5, 2020 (US Eastern time), for approximately $175 million (approximately ¥18.8 billion at exchange rate of
¥107.36 per US$ on March 5 Japan time). The transaction closed on September 30, 2020 (US Eastern Time), after receipt of all necessary regulatory
approvals. By combining the automotive fabrics business acquired from Adient, having marketing, manufacturing, and development centered in Europe,
together with its own established business, Sage will be able to further expand in Europe, the largest market for automotive interior fabric and the source of
innovative automotive trends. Sage plans to achieve the following synergies through this acquisition.
• Optimum global manufacturing
• Mutually complementary relationships with NA/EU OEMs
• Full product lineup (fabric, artificial suede, synthetic leather)
By advancing its regional strategy and product strategy around the world to reinforce its position as one of the leading suppliers of vehicle seat fabric and
strengthen its relationships with automotive OEMs in each region, Sage is expected to make a growing contribution to the Asahi Kasei Group’s overall
expansion of business in the automotive field. Sage also expects that expansion in Europe will enable it to maintain its leading position in the global market

BASF (Germany) closes divestiture of its Construction Chemicals business
BASF closed the divestiture of its Construction Chemicals business to an
affiliate of Lone Star, a global private equity firm. The purchase price on a cash
and debt-free basis is €3.17 billion. The Construction Chemicals business now
forms the newly founded MBCC Group, headquartered in Mannheim,
Germany.The divestment of the assets and liabilities of the Construction
Chemicals business and the related disposal gain will be reflected in BASF’s
financial reporting in the fourth quarter of 2020. Payments received in the
context of the transaction until September 30 will be included in cash flows
from investing activities in the Q3 2020 Statement of Cash Flows.On
December 21, 2019, BASF and an affiliate of Lone Star had signed a purchase
agreement for the acquisition of BASF’s Construction Chemicals business.
With around 7,500 employees, the Construction Chemicals business operates
production sites and sales offices in more than 60 countries and generated sales
of about €2.6 billion in 2019.

company Azitra
Leaps by Bayer, the impact investment arm of Bayer AG, announced a USD 8 million
financial investment in US-based clinical-stage medical dermatology biotech company
Azitra Inc. The partnership will focus on developing cutting-edge skin products using
engineered and wild-type bacteria for biotherapeutic, over-the-counter (OTC) and
cosmetic applications leveraging Azitra’s technology platform for both live therapeutic
products (LBPs) and consumer programs. Existing investors, Bios Partners and
Connecticut Innovations also participated in the round.Cure through microbiome health
is one of Bayer’s 10 leaps on which to focus investment. Recent scientific publications
suggest that microorganisms such as bacteria and especially skin-friendly bacteria,
commonly referred to as skin microbiome, can significantly contribute to the protection
of the skin from hostile invasions. Additional positive effects include supporting the
recovery from skin diseases such as atopic dermatitis, acne, and rosacea, and may also
accelerate wound healing.Building on a joint development agreement announced in
January 2020, Bayer and Azitra are collaborating to leverage Azitra’s proprietary panel
of Staphylococcus epidermidis strains to identify potential candidates for the treatment
of adverse skin conditions and diseases.

Bombardier (Canada) Continues Global Customer Service Expansion, Sets Stage
for OEM Service in Europe
Bombardier announced that the company has entered into share purchase agreements with each
of Lufthansa Technik AG and ExecuJet Aviation Group AG to acquire all of the issued and
outstanding shares of Lufthansa Bombardier Aviation Services (LBAS) that it does not own. This
transaction enables Bombardier to further expand its worldwide customer support footprint by
establishing a wholly-owned service centre in Berlin. The transactions are subject to customary
closing conditions with closings anticipated to occur before the end of the year.Strategically
located at Berlin-Schönefeld airport, the service centre has been providing exceptional MRO
services to Bombardier business aircraft customers since 1997. With more than 160,000 sq. ft.
(15,000 sq. metres) of service capacity and 240 highly-skilled employees on site, the service
centre provides customers with the highest-level maintenance and support for Bombardier’s
growing fleet of Learjet, Challenger and Global business jets based in Europe, Russia, Africa and
the Middle East.The service centre has received several awards for its technical excellence and
customer satisfaction, thanks largely to an experienced and dedicated workforce. Among its
many milestones, it was named the best Authorized Service Facility in Europe multiple times and
was the first in Europe to perform maintenance on Bombardier’s flagship Global 7500 aircraft.
The state-of-the-art service centre recently modernized and transformed its shop floor to
maximize efficiencies and streamline processes, providing customers with an unsurpassed
service experience.

Caterpillar (USA) Signs Agreement to Acquire Weir Oil & Gas
Caterpillar Inc. has signed an agreement to acquire the Oil & Gas Division of
the Weir Group PLC, a Scotland-based global engineering business.
Headquartered near Fort Worth, Texas, Weir Oil & Gas produces a full line of
pumps, flow iron, consumable parts, wellhead and pressure control products
that are serviced via an extensive global network of service centers located
near customer operations.The purchase price of $405 million is to be paid in
cash at closing. The acquisition requires approval by Weir shareholders and is
subject to review by various regulatory authorities as well as customary
closing conditions. The transaction includes more than 40 Weir Oil & Gas
manufacturing and services locations and approximately 2,000
employees.This acquisition is consistent with Caterpillar’s strategy to invest
for long-term, profitable growth through operational excellence, expanded
offerings and services. Caterpillar is taking advantage of its strong balance
sheet to complete this acquisition that supports the enterprise strategy.

Celanese (USA) Completes Sale of Polyplastics, Unlocking Shareholder Value
Through Monetization Of Equity Investment
Celanese Corporation a global chemical and specialty materials company, announced it
completed the sale of its 45% equity investment in the Polyplastics joint venture to
Daicel Corporation for $1.575 billion, as originally announced on July 20.Through this
transaction, Celanese monetized a historically passive investment and expects to deploy
the proceeds from this all-cash transaction into higher value-generating opportunities.
These include the previously announced increase in share repurchases that will be
accretive to EPS to offset earnings from the Polyplastics joint venture, investments in
organic growth, and other judicious uses of cash consistent with Celanese’s disciplined
capital deployment strategy.As noted in the July 20, 2020 announcement, Celanese has
been investing in and rapidly growing its own Engineered Materials base business
globally over the last 10 years, independent of Polyplastics, with a footprint in Asia
significantly greater now than when the Company entered the region more than 50 years
ago through Polyplastics. The sale of Polyplastics is an intentional departure from a
legacy relationship to a more contemporary approach to independently drive future
growth, advance application development with customers, and pursue high-return
expansion opportunities for the benefit of Celanese and its customers.

Covestro has successfully completed the capital increase envisaged in
connection with the announced acquisition of Royal DSM’s Resins &
Functional Materials (RFM) business through partial utilization of its
Authorized Capital. As part of the capital increase, 10,200,000 new
no-par value ordinary bearer shares were placed with institutional
investors in an accelerated bookbuilding process. The placement price
of EUR 43.85 per share represents a discount of 0.9 percent compared
to the XETRA closing price of EUR 44.25 on October 13, 2020. The
gross proceeds amount to EUR 447 million. Covestro’s share capital

tons/day). Demand is growing for green hydrogen production plants, especially in Europe. France has announced a target of 6.5 gigawatts (GW) in electrolyzer capacity
by 2030, Germany is targeting a capacity of 5 GW by 2030, and 10 GW by 2040, while the EU aims at securing 40 GW of renewable hydrogen electrolyzers by 2030.

“In Q3, utilization of trucks and machines gradually improved as COVID-19
restrictions were eased. Towards the end of the quarter transport activity was
back on roughly the same level as a year ago in most markets. This led to an
improved sentiment among our customers, which is reflected in increased order
intake for trucks, engines and construction equipment as well as a gradually
improving service business. In the last two quarters, our organization and
business partners have shown great volume flexibility by first handling a
dramatic volume decline and then a steep recovery with good productivity
maintained. However, the weak order intake in the previous quarter impacted the
Group’s net sales in Q3, which amounted to SEK 76.9 billion – 16% lower than
a year ago adjusted for currency. Our service business is more stable, with
currency-adjusted revenues coming down by only 1% compared to Q3 last year
and with a sequential improvement. Despite the sales decline we achieved an
adjusted operating margin of 9.4% (11.0) thanks to significant cost reductions,”

functionality and performance for which the G-shock watches are renowned. Due to its low moisture uptake and high heat deflection temperature, the BASF PPA
is especially suitable for Surface Mount Technology (SMT) processes in electronics manufacturing as it prevents blistering or changes in dimensions of the
processed part. With its intrinsic good laser transparency, Ultramid® Advanced N also offers more freedom for post-processing. The newly launched GBD-H1000
sports watch serves as a fitness tracker with five different sensors. This requires a combination of technologically innovative and durable materials that are resistant

A new series of commercially proven alumina catalysts is now available with new performance features that can benefit selective
hydrogenation applications such as first stage PYGAS or selective hydrogenation of dienes in C4 olefin streams. This new series of
Pd on spherically shaped E15x catalysts replaces the E14x series of Pd alumina catalysts which have been used commercially for over
thirty years in selective hydrogenation applications. The new series of alumina supported catalysts offers better activity and tolerance
to poisons such as sulfur due to higher Pd dispersion. The catalysts are also very uniform in size and shape which helps to prevent
mal distribution of feed in fixed bed reactor applications. This new series of selective hydrogenation catalysts is available with Pd
contents ranging from 0.15 to 0.75 % Pd and can be produced in BASF plant sites in Europe and the United States as well. Another
innovation is the new purified terephthalic acid (PTA) catalyst CBA-250 which offers lower Pd content compared to the standard
commercial PTA catalysts CBA-300 and CBA-400 as well as standard competitive PTA catalysts which have much higher Pd
contents. The lower Pd content makes CBA-250 commercially attractive and easy to adopt as it is formulated to be equivalent to
standard commercial PTA catalysts.

OESH® Shoes (OESH), the U.S. footwear brand that makes women’s shoes that are “healthy by design,” has been evaluating how Huntsman’s
thermoplastic polyurethane (TPU) materials can be used to create a 100% recyclable shoe sole via 3D printing – with positive results.Founded by,
a Harvard M.D., OESH Shoes has been providing women with innovative, healthy footwear since 2011. As an internationally known researcher,
who studied the effects of footwear on health, Kerrigan discovered that many common features of shoes can adversely affect posture and joints.
She subsequently created OESH Shoes to translate her research findings into the design of healthy shoes.When OESH contacted Huntsman,
seeking advice about the ideal material to use for 3D printing soles, Huntsman’s footwear team recommended TPU materials that had the specific
comfort and performance properties OESH desired. Keen to offer environmentally conscious customers a fully recyclable shoe, Kerrigan and
Huntsman worked together to evaluate the material and determine whether it could be shredded at the end of the shoe’s life cycle and recycled for
re-use. OESH put Huntsman’s TPU to the test – producing a series of soles using OESH’s unique 3D printing technique, which creates parts
directly from pellets. The soles were then recycled into pellets and put back into the 3D manufacturing process. The next step was to test the new
recycled sole against those made from virgin materials. Results showed that the recycled sole had the same functionality as the original sole – with
no drop-in performance properties.

Shandong Province and academician of the Chinese Academy of Engineering, and Chairman of Shandong Heavy Industry Group and Weichai Group, jointly unveiled the world's first
commercialized diesel engine with a brake thermal efficiency over 50%. Brake thermal efficiency is a measure of the fuel efficiency of internal combustion engines. The higher the
brake thermal efficiency is, the less the fuel consumption will be and the better the energy saving and emission reduction performance will be. Since the world's first diesel engine was
successfully developed in 1897, after a hundred years of transformation and upgrading and new technology application, the brake thermal efficiency of the diesel engine increased from
26% to 46% until now. From the statistics of the development of the brake thermal efficiency of diesel engines in the world, with the increasingly stringent emission regulations, the
improvement of brake thermal efficiency has encountered a big bottleneck. The improvement is becoming more difficult, and the progress is slow. This is a world-recognized technical

prevents runway accidents by alerting vehicle drivers of hazards before entering the runway area. There are nearly thirty-one hundred airports in
the world with commercial air carrier service, but only a small percentage have runway incursion prevention systems. Selex ES Inc. AeroBOSS
technologies, developed for Air Navigation Service Providers and airports is able to improve airport safety efficiently and cost-effectively. The

Air Liquide has been supplying industrial gases to this major Chinese industrial basin for more than 25 years, and already operates 7 production facilities there. With an oxygen production capacity of more than 2,000 tons per day, this ASU will notably allow Air Liquide to support the growth of the chemical and steel industries in the Tianjin basin, secured by a new long term supply agreement with a major customer. Air Liquide will build, own and operate this new ASU, which has been designed leveraging the Group’s latest state-of-the-art technology, for a low carbon and energy efficient production of oxygen, nitrogen and argon. This facility will also incorporate a dedicated capacity to support small-and-medium sized customers of liquid and packaged gases, including local hospitals requiring high-purity medical gases. It is planned to be operational in 2022. Air Liquide China operates seven ASUs in Tianjin, as well as a network of multi-sourced pipelines that deliver oxygen, nitrogen and hydrogen to adjacent customers. The transaction closed on September 30, 2020 (US Eastern Time), after receipt of all necessary regulatory approvals. By combining the automotive fabrics business acquired from Adient, having marketing, manufacturing, and development centered in Europe, together with its own established business, Sage will be able to further expand in Europe, the largest market for automotive interior fabric and the source of innovative automotive trends. The Construction Chemicals business now forms the newly founded MBCC Group, headquartered in Mannheim, Germany.The divestment of the assets and liabilities of the Construction Chemicals business and the related disposal gain will be reflected in BASF’s financial reporting in the fourth quarter of 2020. These include the previously announced increase in share repurchases that will be accretive to EPS to offset earnings from the Polyplastics joint venture, investments in organic growth, and other judicious uses of cash consistent with Celanese’s disciplined capital deployment strategy.As noted in the July 20, 2020 announcement, Celanese has been investing in and rapidly growing its own Engineered Materials base business globally over the last 10 years, independent of Polyplastics, with a footprint in Asia significantly greater now than when the Company entered the region more than 50 years ago through Polyplastics.
