11. 3.2 As for the description of the
product, ZM12T electric coal drills
are made up by flame-proof
motor, reducer, switch system.
Flame-proof motor and seitch
device are in the same Aluminium
anti-explosive housing, the
housing top is the end cover with
flame-proof joint face. The motor
is jointed to reducer with four
bolts of end cover. In the center
of housing near the switch box,
there is a cable wiring box for
wiring the power-supply cable.
For safe operation, the fan cover
is installed at the back of electric
drill. Operation handle is made of
engineering plastic. The standard
used shall be ISO 12100 2010
3.2 Theo như các mô tả về sản
phẩm, khoan than điện ZM12T
được tạo thành bởi động cơ
chống cháy, giảm tốc, hệ
thống chuyển mạch. Động cơ
chống cháy và thiết bị cuyển
mạch đều có vỏ nhôm chống
nổ, bề mặt vỏ lá lớp chống
cháy. Động cơ được nối để
giảm tốc với bốn chốt. Ở trung
tâm của vỏ ở gần hộp chuyển
mạch, có một hộp hệ thống
dây cáp cho việc cung cấp
điện. Để vận hành an toàn, nắp
quạt được lắp đặt ở trong cùng
của máy khoan. Nút điều khiển
được làm bằng nhựa kỹ thuật.
Tiêu chuẩn được sử dụng là
ISO 12100 2010
12. 4.1. The Seller shall inform
the buyer of all circumstances
of which it is aware which
could prevent the due and
proper fulfilment of the
Seller's obligations.
4.1. Người bán có trách
nhiệm thông báo cho người
mua của tất cả các trường
hợp mà người bán hiểu rằng
điều đó sẽ ngăn chặn việc
thực hiện đúng đắn và đầy
đủ nghĩa vụ của người bán.
7.5. Notice of delivery: within
24 hours prior to date of
delivery, the Seller shall notify
the Buyer of delivery by telex.
This notification shall include
quantity, specifications,
packing and making of the
goods, name of carrying truck,
estimated time of departure
and estimated time of arrival.
7.5. Thông báo giao hàng: trong
vòng 24 giờ trước ngày giao
hàng, người bán phải thông báo
cho người mua về việc giao
hàng bằng telex. Thông báo này
phải bao gồm số lượng, thông
số kỹ thuật, đóng gói và làm
hàng, tên xe tải chở hàng, thời
gian dự kiến khởi hành và thời
gian dự kiến đến.
13. 10.3. The costs of packaging
incurred by the Seller shall be
borne by the Seller. All
packaging with the exception of
pallets shall become the property
of the buyer.
10.3 Chi phí đóng gói người
bán chịu do người bán chi
trả. Tất cả bao bì ngoại trừ
tấm pallet sẽ là tài sản của
người mua.
11.2. The part 11.1 has defined
which documents are to be
provided by the seller. As for the
documents with L/C, the seller
should release them for the
advising bank after delivering
goods for the buyer. Should the
time of issue stated be the same
as the date for the provision of
goods for inspection, the other
documents may be issued at the
place of inspection together with
the goods. This should be
recorded in the record of
inspection.
11.2 Phần 11.1 đã xác định
chứng từ nào do người bán cung
cấp.Với những chứng từ kèm với
L/C, người bán phải cung cấp
cho ngân hàng thông báo sau khi
chuyển hàng hóa cho người mua.
Nếu thời gian phát hành trùng
với ngày cung cấp hàng hóa cho
giám định thì các chứng từ khác
sẽ được phát hành tại nơi giám
định cùng với hàng hóa. Điều
này được ghi nhận trong Báo cáo
giám định.
14. 13.1. In derogation of
Article 319, chapter VII,
Commercial Law 2005 of
Vietnam, The statute of
limitations for lawsuits
applicable to commercial
disputes for material and
legal defects shall be two
years from the moment
when the legitimate
rights and interests are
infringed upon, except for
cases specified at Point f,
Clause 1, Article 237 of
Commercial Law 2005 of
Vietnam.
13.1 Trong trường hợp vi
phạm mục 319, chương 7,
Luật Thương mại Việt
Nam 2005, những chế độ
trách nhiệm về việc kiện
tụng có thể áp dụng cho
những tranh chấp thương
mại cho những khuyết tật
mang tính pháp lý là
trong vòng 2 năm kể từ
lúc mà quyền lợi hợp pháp
bị xâm phạm ngoại trừ
trường hợp được nêu rõ ở
điểm f, điều 1, mục 237
của Luật Thương mại Việt
Nam.
15. 16.2. Should the buyer default on
acceptance, should it fail to fulfill
a duty of cooperation or should
delivery by the Seller be delayed
for other reasons for which the
buyer is responsible, the Seller
shall have the right to demand
compensation for the damages
this causes including for the
additional costs. It shall charge a
fixed rate as compensation as
defined in article 18 of this
contract. This does not affect the
Seller's right to prove and claim
for further damages; the fixed-
rate compensation shall however
be deducted from the sum of
further monetary claims. The
buyer shall retain the right to
prove that the Seller has suffered
no or significantly less damage
than the fixed rates above.
16.2 Nếu bên mua không có khả
năng thanh toán, không thực hiện
đầy đủ nghĩa vụ của việc hợp tác
hoặc bên bán giao hàng trễ vì
những lý do mà bên mua chịu
trách nhiệm, bên bán có quyền yêu
cầu bồi thường cho những thiệt hại
này bao gồm cả cho các chi phí bổ
sung. Lãi suất cố định cho việc bồi
thường được quy định trong điều
18 của Hợp đồng. Điều này không
ảnh hưởng đến quyền lợi của bên
bán để chứng minh và yêu cầu bồi
thường thiệt hại ; lãi suất cố định
cho việc bồi thường sẽ được trừ
vào số tiền yêu cầu bồi thường
bằng tiền. Bên mua có quyền
chứng minh rằng bên bán đã chịu
thiệt hại không đáng kể hoặc ít
hơn so với lãi suất cố định ở trên.
16. 17.2. The goods subject to retention
of title may neither be pledged to
third parties nor assigned as
securities until the secured claims
have been paid in full. The buyer shall
inform the Seller in writing
immediately if and to the extent that
third parties have access to or use the
goods belonging to the Seller.
17.2 Hàng hoá bảo lưu quyền sở
hữu không được thế chấp cho bên
thứ ba cũng không được chuyển
nhượng cho đến khi yêu cầu bồi
thường được bảo đảm đã được
thanh toán đầy đủ. Bên mua có
trách nhiệm thông báo cho bên bán
bằng văn bản ngay lập tức nếu và
trong trường hợp các bên thứ ba
tiếp cận hoặc sử dụng hàng hoá
thuộc quyền sở hữu bên bán.
19.2. The buyer may only bring claims
for defects if it has met its statutory
duties to inspect goods and give
immediate notice of defects pursuant
to the law chosen. The Seller must be
notified in writing immediately should
defects be discovered during the
inspection or at a later time.
Immediate notification is defined as
notification sent within two weeks.
19.2. Bên mua chỉ có thể đòi bồi thường
khuyết tật nếu đã đáp ứng được những
trách nhiệm theo quy định của pháp luât
về kiểm tra hàng hoá và thông báo ngay
các khuyết tật theo quy định của pháp
luật đã chọn. Bên bán phải thông báo
bằng văn bản ngay lập tức nếu các
khuyết tật được phát hiện trong quá
trình kiểm tra hay tại một thời gian sau
