Conflict of Interest
On a sunny day, John, a new Eaton employee,
attended ethics training and learned that Eaton’s
Code of Ethics requires employees to avoid
conflicts of interest situations.
“I’m the majority shareholder of a trading
company. What should I do?” John whispered to
himself. John was concerned that his ownership
in this company was considered a conflict of
interest. He met with his supervisor, Michael, to
discuss.
John said: “Michael, I’m not sure if I have
violated the Code of Ethics? I am a shareholder in
a family-run trading company. It never occurred
to me that this was problematic and I don’t know
what to do.”
“Don’t panic, John. Thank you for coming
forward to discuss your situation. Can you tell
me more regarding the nature of the business
and your role?” Michael replied.
John answered: “My family runs several food
and beverage businesses. I’m the majority
shareholder of one of the wine trading
businesses. The shares were given to me by my
father, but my brother manages the company. I
only work on some weekends. I didn’t think this
would violate our Code.”
Michael said: “After understanding your
situation, I think you can maintain ownership
of and weekend work at the family company.
Let’s inform human resources to ensure their
agreement. Since the company is a wine trading
business and does not compete with or have
any other relationship with Eaton’s businesses,
I don’t see a problem. Moreover, as long as
your weekend work does not affect your Eaton
employment activities, you are free to assist
family business during your personal time. Of
course, if any of your family businesses wanted
to supply to Eaton, like catering a meeting, we
would need to discuss in advance as this may
create a problematic conflict of interest.”
Michael continued: “What’s important is you
promptly raised your concerns so we could
consider and address any potential conflicts of
interest. The next step is to discuss and confirm
our understanding with human resources.
Remember though, you must inform us in
advance if any potential conflict of interest arises,
for example your family wants to bid on an Eaton
catering event or plans to start another business
related to Eaton’s products or services.”
“Thank you, Michael. I feel relieved now.” John
said.

Avoiding conflicts of interest is one of the
Company’s core ethical expectations. Below FAQs
may help resolve your dilemmas:
Q:What is a conflict of interest? I keep hearing
that we should avoid even the appearance of
conflicts of interest.What does that mean?
A: Generally, that means we should not get
ourselves into situations where the average person
would have good reason to question our objectivity
or ability to be unbiased. For example, suppose
you helped your sonstart a decorating business by
investing money in the new company. If you then
suggest that Eaton purchase from him, most people
would think you have conflicts of interest. Even if
your son gives Eaton the best deal, others would
wonder whether you are acting in Eaton’s best
interest or helping your son and protecting your
investment.
Q: Can a family member be a supplier/
contractor for Eaton? My sister owns a business
and wants to supply to Eaton. May I direct her to
the responsible manager?
A: Yes. You may direct your sister to the purchasing
manager. However, your supervisor and the person
making the purchasing decision should be told
about the relationship. Company procedures for
selecting a supplier must be followed and your
involvement in supplier selection should be avoided.
Q:We need to identify a company to provide
cleaning services and it happens that my uncle
is running a cleaning company. I know that he
can be trusted to do the job right. Is this okay?
A: No. Hiring a company because you trust your
uncle is not a sound business practice and this
creates a conflict of interest between your desire
to help your uncle and your objectivity in selecting
the most competitive supplier. Your uncle can
compete for the work with other qualified vendors;
but purchasing policies must be followed and you
should excuse yourself from the selection process.
Q: Can outside employment or activities create
conflicts of interest? Are there restrictions if I
accept a second job outside Eaton?
A: Yes. Any employment outside Eaton must not
create, or appear to create, conflicts of interest
with your responsibilities at Eaton. You are expected
to inform and discuss this second job with your
supervisor. Your second job must be kept totally
separate from your Eaton job. At no time may you
use Eaton’s name, information, time, property or
other resources to perform your second job.

Unauthorized software
Did you know that all software installed on
your Eaton assigned PC need to be approved
by Eaton Enterprise Architecture (EA) team?
Installing unauthorized software programs such
as games, time conversion software, media
players, communication tools, weather programs
and other utilities on your Eaton assigned PC
may seem harmless or even beneficial (in case
of applications that make the job tasks easier)
however, software from unauthorized sources
can create many problems. Here are a few
examples:
• Virus, Malware and Spyware Infections -
Freeware downloaded from the Internet or
procured from any other unreliable source can
be easily embedded with backdoors that may
capture information on your PC
• Legal Issues – Every software has certain
terms and conditions of use. Breach of these
conditions may subject Eaton to penalties and
legal issues
• Software Vulnerabilities - The software may
contain known security flaws. When such
vulnerabilities are not addressed by updating
the software, hackers may discover and
exploit these flaws
• System Crashes - Unauthorized software in
many cases are poorly written, inadequately
tested and may have been intended for use
with a different operating system or have
conflicts with the currently installed software.
Therefore your computer might crash or the
network could destabilize
Above all, you may be violating Eaton’s digital
copyright policy by installing such software
on your computer. Copyright violations are
continually audited by the IT Security &
Compliance team.
As you can see, downloading unauthorized
software could be harmful. The EA team
maintains standard bricks of all approved
software. Installing any other software requires
EA team’s approval. Therefore contact your local
IT Support if you need any software.

1. Who, according to you, is a great leader?
Could you elaborate on the making of a
modern leader?
A great leader dares to dream big, leads by
example, supports innovation and induces
creativity. A great leader is also characterized by
excellence in execution, knowledge-sharing and
developing successors. Being accessible and
approachable to the team and being open to new
ideas and perspectives are certain qualities that I
believe are critical for a modern leader.
2. What tells you that you are a good leader?
Every time I support innovation, lead sound
execution, enable quick decision making and
inspire my team to excel, I find myself living the
qualities of a good leader.
3. How do you see Eaton in India in the next
five years?
In the next five years, I see Eaton emerging as
a strong market leader in India with a dominant
presence in each of its businesses. I also see
the services from India playing an increasingly
significant role in powering Eaton’s global

4. What do you look for in an employee?
Besides functional expertise and relevant
qualification, I look for stability and positive
attitude in an employee. Ambitious people with
the courage to accept greater responsibility and
growth impress me. It is also very important for
the individual to be a great team player.
5. Can you throw some light on your family?
Ours is a small family. My wife is a housewife
and we have two lovely children. Our son is
15 years old. He is in the 10th standard and
has recently won a Gold Medal at a state level
Badminton tournament. Our daughter is 12 and
she is studying in the 6th standard.
6. Which is your favorite book and what are
you reading currently?
“Knowing Doing Gap” by Jeffrey Pfeffer and
Robert is my favorite book. I am currently reading
“Who Moved My Cheese” by Spencer Johnson.
7. How do you like to spend your leisure time?
At leisure, I enjoy playing with my kids and
cooking for them. I also love reading books,
updating myself on business and economy,
watching movies and practicing yoga.
8. A holiday destination you can go to again
and again?
New Zealand! Its natural beauty is just too
compelling. Picturesque surrounds, nice warm
natives and plenty of Indian restaurants…

Support to Commercial Airlines
Although Eaton’s Aerospace Group does not
have a manufacturing facility in India, its product
distribution is prolific on a variety of aircraft fleets
widely used by Indian operators. Commercial
platforms in India with significant Eaton content
include the Airbus A320 and the Boeing 747
and 737.
Eaton provides vital components to the A320,
such as the hydraulic engine driven pump,
electrical motor driven hydraulic pump, electrical
emergency generator, hydraulic power transfer
unit, engine fuel pumps, airframe fuel transfer
and boost pumps, fuel valves and many
conveyance products.
Support of Indigenous Military Platforms
Specific to India and in addition to commercial
programs, Eaton supplies significant content to
indigenous Indian air defense programs, such
as the Tejas fighter jet, Saras transport aircraft,
Hansa flight training aircraft, HJT 16 Kiran jet
trainer, and ALH and LCH combat helicopters.
Support to Foreign Military Platforms
Eaton supports a host of Western military plat-
forms flying in India, such as Jaguar, Sea Harrier,
Hawk, Lockheed C130J and Boeing BBJ for the
Indian Air Force VIP. Eaton also has been support-
ing Western OEMs for the Medium Multi-Role
Combat Aircraft competition (Boeing F-18, Lock-
heed Martin F-16).
Aerospace Engineering Support from India
A key aspect of Eaton’s presence in India is a
team of dedicated engineers at the Eaton India
Engineering Center (EIEC) in Kharadi, Pune. They
support the Aerospace Group by providing new
product design services, system design services
and existing product engineering support.
The engineering team at EIEC began in 2007
with 117 engineers. Over the last five years it
has grown into a team of 275 engineers struc-
tured into four service groups aligned with four
Aerospace Group divisions: conveyance systems,
electrical sensing and controls, hydraulic systems
and fuel systems. The conveyance systems team
specializes in couplings and fittings, pneumatic
ducting, seals, and hydraulic hoses and tubes.
The electrical sensing and controls team works
on control panels, landing gear and controls, and
throttle controls. The hydraulic systems team
provides engineering services for hydraulic power
generation, motion control and nose wheel steer-
ing systems. The fuel systems team specializes
in airframe and engine systems, fuel pumps and
valves, and actuators.
The team at EIEC constitutes over 20 percent
of the global aerospace engineering resources
at Eaton. Their focus areas include application
engineering, engineering design, and analysis
and technical publication, in addition to centers of
excellence in software engineering, electronics
design and reliability. Currently, the team at EIEC
supports these key Eaton programs:

• Software V&V for nose wheel steering
systems, and detail design of landing gear
control manifold and cockpit control panels for
EMB 550
• Design of cockpit control panels, pilot controls

Developing a Solid Supplier Base in India
In addition to leveraging the growing market and
the strong engineering capabilities that India of-
fers, Eaton has also been focused on developing
a solid supplier base for machined parts in India
for the last five years. This is an integral part of
Eaton’s manufacturing strategy, and suppliers
from India are playing an increasingly critical role
to support Eaton’s global expansion.
Aerospace Customer SupportTeam in Pune
Eaton in India has built a strong, customer-orient-
ed administrative and analytical support team of
47 associates who provide order management
functions for Eaton’s entire customer services
enterprise. Their responsibilities include quoting
and order entry for spares and repairs, customer
portal management, DLA download and website
management, analytical support for the sales
team, tracking key customer performance
metrics, customer connect portal (CCP)
administration, and providing multiple financial
reports. Their support has contributed to growth
in Eaton’s enterprise sales, profitability and
customer satisfaction.
The Way Forward
To continue its journey of advancement and
growth in India, Eaton is prepared to provide
enhanced response to customer needs, along
with regional capabilities in repair and overhaul
services, to power business expansion. As India
embarks on indigenous OEM programs, Eaton is
pursuing opportunities to develop early and
proactive engagements with key players, such as
HAL, NAL and other private enterprises entering
the aerospace OEM market.
Eaton also will continue to focus on military
program aftermarket support as the company
implements more upgrades and replacements
of Western platforms and further develops local
combat aircraft.
Eaton’s engineering and supply chain resources
are a competitive advantage in offering attractive
value propositions to customers in India. Looking
ahead, it will be critical to leverage these
resources to enable local product design and
support, as well as to fulfill offset programs for
more local content sourcing and manufacturing.

There once was a farmer who discovered that
he had lost his watch in the barn. The watch
was very special to him as he had received it
from his dying grandfather exactly a year ago.
It held great sentimental value for him. After
searching almost everywhere the farmer gave
up and requested a group of children playing
nearby to help him find his watch. He promised
that the child who will find it will be rewarded.
Hearing this, the children hurried inside
the barn and started looking for the watch.
However, none of them could find it. Just
when the farmer was about to give up and
leave, a little boy walked up to him and asked
for another chance to look for the watch. The
farmer agreed to the child’s request as he
looked sincere and genuine.
So the farmer sent the little boy back into the
barn. After a while the little boy came out with
the watch in his hand. The farmer was both
happy and surprised. He asked the little boy
how he succeeded in finding it where all others
just failed.
The boy replied, “I did nothing but sat on the
ground and listened... In the silence, I heard
the ticking of the watch and just looked for it
in that direction. It didn’t take me much time. I
found the watch right there.”
The farmer embraced the boy, thanked him and
gave him a jar of sweet honey.
As the child left the barn, the farmer told
himself… “A quiet peaceful mind can always
think better than a worked up mind!”

Celebrating Republic Day
India’s 62nd Republic Day was celebrated
with utmost enthusiasm and patriotic fervor
on January 26, 2012 at various Eaton locations
across India. To mark the occasion, Eaton India
employees and security personnel took part in
the Flag hoisting ceremony.
Makarand Kotalwar, general manager, Human
Resources, Hydraulics, Pimpri unfurled the flag
at the Pimpri plant. He was accompanied by
Biswa Chatterjee, plant controller, Pimpri. Prakash
Gunjal, manager HR & ER, Vehicle Group, Nashik
hoisted the flag at the Nashik plant. Families
of the employees also participated in the flag
hoisting ceremony.

HR Help Desk
Vehicle Group’s Ahmednagar plant introduced
an HR help desk on February 01, 2012 with the
objective of helping the employees put forward
their concerns and suggestions for the HR
team. The help desk aims to cover a number of
important activities like loan application support,
mediclaim support, investment and Income Tax
processes, suggestions on wellness initiatives,
managing events, providing infrastructure support
and aid other employee related initiatives.

A year of milestones and
achievements…
From strengthening relationships with the
existing customers to attaining new business,
2011 has been a year of milestones and
achievements for the Hydraulics Group, India.
The team produced the 22222 units of Gear
Pumps, 6213 Rockshaft Control Valves and
3363 units of Steering Control which had been
recorded as the highest production so far. Top of
the line growth of 32% year over year was also
achieved during the year. The group successfully
crossed the $ 50 million mark of annual sales for
the first time and there has been an exemplary
safety record of 560 accident free days.
The group’s Continuous Improvement Project
was recognized as the second best in the APAC
region.
The year also saw the inauguration of the new
Hydraulics School which would lay focus on
the training and development needs of the
employees and establishment of a special
Contract Co-ordination Cell (CCC) for the welfare
of employees on contract.
To recognize the constant efforts and hard work,
a small token of appreciations was handed over
to all employees.

Sporting Spirit!
Vehicle Group’s Ranjangaon plant participated
in the Ranjangaon Industrial Association Cricket
Tournament in the month of January 2012.
Over 48 teams participated in the tournament.
It was the combined team effort, dedication
and enthusiasm that led team Eaton to the
finals. Although the match ended in favor of the
opponent team, Eaton players were awarded
for their individual performances throughout the
tournament.
Vehicle group’s Nagar plant conducted an inter
department cricket tournament in the month
of January 2012. The final match was played
between the Exhaust team and the Heat
Treatment team. The Exhaust team won the finals
trophy and Nilesh Kokate was declared
as the man of the match. The plant also
organized a badminton tournament for the
women employees.
The Hydraulics Shooting Ball team at Pimpri
won the Late Babuji Tiwari Memorial Trophy for
the sixth consecutive year. The tournament was
organized by National Engineering Shramik Sangh
- Kiloskar Oil Engines Ltd. Eaton’s Amit Pisal won
the Best Shooter Award and Anil Sonikal was
felicitated for umpiring the matches.

Ramchandra Rao, Special Projects Leader,
Vehicle Group, was invited as the Chief Guest to
preside over the Valedictory and Prize Distribution
function of IMPERIUM 2012 at MIT School of
Business, Pune on February 24, 2012.
IMPERIUM is a national level event that hosts
seven competitions in the areas of Case Study
Analysis (MITSOB Power Pack), Business
Plan (Launch Pad), Best Manager (Business
Roadies), Photography (Snap Shot), Business
Quiz (Bizmeth), Debate (Face-to-Face), and Ad
creating (Ad Frenzy). The event is organized with
the objective of challenging the different creative
and intellectual dimensions of the personalities of
budding managers.
IMPERIUM has been organized for the third
consecutive year. Students of B Schools from all
over the country participated in this event.
Buddy Scheme
With a view to helping new employees settle in
faster at their new workplace, Vehicle Group’s
Ahmednagar plant recently rolled out a ‘Buddy
Scheme’ for its new employees, wherein a few
nominated plant employees would help the new
entrants understand and get familiar with Eaton’s
policies and procedures.

Flying High!
The Sports and Cultural Committee at the Nashik
plant organized a ‘Kite Flying’ festival on February
4, 2012. All employees along with their families
were invited to the event. Colorful and vibrant
kites added fervor and excitement to the festival
which was thoroughly enjoyed by everyone.
