MVMNT TV (at launch stage), Monfasports TV and Cinemeo (both in developmental stage), with each brand also comprising of
a LINEAR channel. The focus of this prospectus is the AVOD and the LINEAR channel of MVMNT TV. Currently the streaming
OTT market growth is driven by Subscription Video-On-Demand (SVOD) and hybrids like Hulu and CBS All Access. Subscription
video on-demand (SVOD) market challengers like Disney+, AT&T’s HBO Max and NBC/Universal have prepared their own
streaming app launches over the next weeks and months. Free channels are preparing their own challenge for market share
with launches of free channels with content like Tubi TV and PopTV. These channels appeal to potential viewers who aren’t
interested in paying a monthly or yearly streaming subscription. These platforms offer free content and generate revenue by
serving targeted advertisements (Programmatic Advertising) during commercial breaks. With 157,000 regular viewers, Pop TV
generated $68M in ad revenue for 2018. Some of the revenue was from product placement and ad integration.

In the past, consumers’ access to premium TV and video content
was generally limited to cable TV or satellite providers. Today,
there are many more pipes, or ways to access content to view
programming.
Content is carried by services ranging from MVPDs like Comcast,
Spectrum, Verizon Fios, or Direct TV, to over- the-air access
provided by broadcast TV, to SVOD providers that carry content
for fees over broadband, to TV Everywhere apps that allow you
to stream content as part of an MVPD’s home subscription
service. These services and apps, are available on many devices,
including smart TVs, smartphones, tablets, video game consoles,
and over-the- top devices. Significant investment in technology
has followed the substantial increase in the production of
content, creating more vehicles to carry the content to viewers.
This creates an ecosystem designed to make video available in
every person’s pocket, all the time.

MVMNT TV’s linear channel Is delivered via Virtual Multichannel Video Programming Distributor (vMVPD); also referred to as
streaming TV services, vMVPDs aggregate live and on-demand TV and deliver the content over the internet linearly. vMVPD services
resemble the similar layout of cable packages allowing users to browse a guide or flip through channels that stream programming
24 hours a day. These services are often used by recent cord-cutters who want to keep select channels from their cable packages
but at a lower price.
vMVPD services include Sling TV, Hulu Live TV, YouTube TV, DirecTV Now, fuboTV, PlayStation Vue, Viacom’s Pluto TV and Xumo.
According to Rich Greenfield of BTIG, paid vMVPD subscribers hit a high of 7.7 million last year. This is expected to grow: vMVPDs
gained a combined 2.1 million subscribers over the first nine months of 2018, according to a recent Conviva study, which correlated
the loss of 2.8 million subscribers for cable and satellite during the same time period.

vMVPDs are fighting a battle against formidable streaming
companies. The competition has a large, reliable network
infrastructure and have many years of extensive experience in
marketing their content. For vMVPDs to stay competitive it is
critical that they work with service providers with extensive
experience delivering broadcast quality services and
content over an IP-based backbone. This includes aggregating
and acquiring live, linear, and on-demand content delivered
over the Internet. vMVPDs are here to stay and will only gain
market share as consumers choose to move forward with
skinny bundles and watch more content on multi-screen
devices. Network stabilization, channel line up consistency,
and feature parity will also make it easier for consumers to
make the switch, especially as these services “Cross the
Chasm”. To take advantage of this market maturation, it will

The question of what constitutes niche content is an important one, because for most people “niche” immediately conjures up
thoughts of gamers, Civil War re-enactors and archery enthusiasts. And while all those communities no doubt have large and active
communities (gaming is quite mainstream) the types of content that fall under the “niche” umbrella are wide ranging and much

Programmatic Advertising is the process of advertisers
bidding, buying and inserting brand commercials into
programming offered and delivered by digital channels on
OTT platforms. This form of ad buying, and ad inventory sales
has quickly become the standard because of the immediacy,
effectiveness, convenience, and specificity of targeting.
Because of the detailed analytics that only digital on-demand
programming provides, ad effectiveness is growing. Currently
in OTT programming there is a shortage of ad inventory and a
pronounced lack of original programming. Limited
opportunities to deliver ads, combined with tremendous
demand, results in rocketing increases in CPM’s (The amount
marketers will pay for their ad to be shown to 1,000
people). Google determined that OTT ads provide a greater
ROI than Television ads for over 75% of businesses that
pursue both. On OTT platforms like MVMNT TV, advertisers
can set their commercials to be shown only to viewers who
fit their target market. Engagement and ROI is high because
of this targeting. The result is that the right products and
services are being shown to people who are most likely to be
interested in them.

Early into his twenty-five-year career in the entertainment industry, Andre produced more than a dozen regional T.V. commercials
for Ray-Ban, Big 5 Sporting Goods stores and Hodgeman just to name a few brands. Along with his brother Erik, Andre developed,
sold and produced the independent reality T.V. show Beyond Tough for The Learning Channel (TLC) followed by his tenure as VP,
Television for The Robert Evans Company at Paramount. Between 2005 and 2008 Andre launched the digital streaming start-ups
JumpboxTV and iNPLACENEWS however the technology to support and monetize AVOD was lacking greatly at that time.
Andre partnered with icon, Ice T (Law & Order: SVU) under the Final Level banner where the two men produced a number of
properties including the talk show Ice & Coco (Warner Bros. / Fox) - where Andre served as Executive Producer - and the
documentaries The Art Of Rap and Iceberg Slim. They also inked a development deal with Ryan Seacrest Productions. In 2017 Andre
served as Executive Producer / Show-Runner on the Sinclair Broadcast Group distributed talker, The Raw Word starring Andre’s
client Dr. Michael Eric Dyson, Dr. Daniel G. Ratner and Claudia Jordan. As a former talent agent Andre’s entertainment relationships
place him in a unique position of independence and his understanding of the new dynamic streaming agreement models make him
perfectly suited to serve as Chairman.

Eric Bates has over 25 years of legal experience in both entertainment and governmental regulation. Mr. Bates received his Bachelor of
Science degree in Marketing from California State University, Dominguez Hills. Upon graduation from college, Mr. Bates worked in the
Promotion Department at Motown Records. Desiring to continue working in the music industry but as an attorney, he left Motown and
went to law school obtaining his Juris Doctorate Degree from Whittier Law School where he was President of the Black Law Students’
Association. Mr. Bates was an associate attorney at the prestigious legal firm, The Law Offices of Johnny L. Cochran, and was one the
founding attorneys in the newly formed Entertainment Division. He left entertainment law and became a Deputy Public Defender in the Los
Angeles Public Defenders Office, supervising new attorneys in the largest criminal misdemeanor court in United States. After a number of
years in this capacity, he was asked to join the California Department of Justice, Office of the Attorney General as a Deputy Attorney General
as a member of a specialized, three attorney “Complex Litigation” team defending the State of California in a federal class action brought by
individuals committed to mental health hospitals under the Sexually Violent Predator Act. In his capacity as a Deputy Attorney General, Mr.
Bates advised high-level government directors, department staff counsel and agency counsel on a broad range of issues pertaining to
governmental policies, state and federal regulations and statutes. As one of the first attorneys in the state to litigate matters pursuant to this
act, he was asked to interpret and advise clients, as well as state and federal courts on the constitutionality of the act. Mr. Bates is currently
serving the California Office of Inspector General as a Special Assistant Inspector General, responsible for the oversight of the California
Department of Corrections and Rehabilitation, and its 30 prisons, and 24,000 correctional officers. Eric is responsible for the oversight of the
Office of Internal Affairs, monitoring the special agents conducting investigations regarding all allegations of misconduct involving
correctional officers and inmates. In addition, he is responsible for selected reviews of policies, practices and procedures of the California
Department of Corrections and Rehabilitation when requested by the Governor, the Senate Committee on Rules, or the Assembly. He was
appointed by Mayor Eric Garcetti as an area planning commissioner, currently serving as President of the South Los Angeles Area Planning
Commission.

As a direct result of the attack of 9⁄11, Erik was moved to get personally involved and decided to serve in the military of his country.
Erik left a thriving TV production company that he and his brother formed, joined the Navy Reserves, and currently holds the rank of
Chief Petty Officer as a Navy Cryptologic Technician Technical. He worked extensively domestically and internationally with Cyber
security and have a background of video-on-demand systems that goes back several decades. On the civilian side, he was a Senior
Research Scientist developing Unmanned Aerial Vehicles (UAV) and Unmanned Aerial Systems (UAS) solutions for the Department
of Defense, before announcing his run for U.S. Senate. Erik’s cyber security, technical and policy research in this area is credited with
achieving significant advances for the U.S. efforts oversees and at home in the continued fight against terrorism.
Erik earned his bachelor’s degree (with honors) in Psychology with a minor in Sociology while on active duty from American Military
University with a specialty in: Psychology of War and Terrorism. He earned a master’s degree in Military Studies / Intelligence
Operations from American Military University while on active duty. With the repeated urging of his leadership and mentors while on
active duty at NSA, he pursued his passion for public policy by working on his PhD in Public Policy / Homeland Security and is
currently a PhD candidate working on his dissertation. Erik also attended Harvard Extension school while on active duty, studying
Cyber Security and Middle Eastern studies.

Robert most recently completed production of the daytime talker The Raw Word for Sinclair Broadcast Group and Justice For All for
MVMNT TV. Previously Robert served as Head of Motion Pictures for Michael Eric Dyson Enterprises, COO of Final Level Productions
and CEO of Streetwise Entertainment. He is an experienced producer with a demonstrated history of working in the entertainment
industry. Skilled in development, production management and marketing for feature films and television, Robert produces
multicultural and Latino-themed product for all distribution platforms throughout the world and is dedicated to the growing US
Latinx market. He recently worked alongside leading Latino film producer, activist and entrepreneur Moctesuma Esparza
(Selena, Gettysburg) on the feature film comedy Taco Shop released via HBO and the motocross action/sports film Bro’ released via
Lionsgate. He will oversee the CINEMIO channel.
Robert graduated with a BA in Cinema and Television Arts from California State University Northridge and an MBA from Pepperdine

Dr. Ratner was raised in Shaker Hts., Ohio, in a family with a deep expertise in psychological tradition on one side and a strong
background in business on the other. His experience in this diverse, educated, and dynamic community created an early interest in
the different cultures around him and the way they informed different perspectives. Combining his interest in these two sides of his
family life, as well as his personal experience with the devastating effects of trauma, Dan has centered his life around building
communities, challenging beliefs that stand in the way of progress, and fostering growth in other people and the deep – and
sometimes surprising – connections between them. He completed his undergraduate work at Brown University, graduating Cum
Laude, after which time he spent two years in Teach For America as a primary elementary school teacher in Compton, CA. He went
on to receive his Masters and Doctorate in Psychology from Widener University and was a staff member and training director of
Fordham University’s Counseling Center. Dr. Ratner created and ran a full-time private practice in New York City, dating back to
2007, using his unique blend of intellect, empathy, and humor to create change and growth within his uncommonly deep
connections with his patients. He now moves back to his hometown, where he will continue his work with his patients remotely
