Good afternoonand welcome to our panel,“Taming the Tiger: Do RegulatorsNeedSpecial rulesfor
Digital Assets?”
Earlier thisyear, world leadersmetin at World Economic Forum to discuss the issuessurrounding
cryptocurrency.
The head of the IMF, Christine Lagarde, had expressedconcernsregarding the anonymous and opaque
nature of cryptocurrencies,warning that theycould become instrumentsinmoney launderingand
terrorism financing.
Likewise,US Secretary of the Treasury Department,Steve Mnuchin, remarked that the illicituse of
cryptocurrencies remainsa major concern for Americanregulators. 1
On the home front,the Thai crypto-landscape has also experiencedmomentouschanges. Followingthe
enactment of the Emergency Decree on the Digital Assetand the Emergency Decree on the Amendment
of the Revenue Code (No.19) earlierthis year,ICO portals,digital asset businesses,aswell as coin and
tokenholders are now subjectto new compliance obligationsand dutiesto report income earnedfrom
digital assets to the Revenue Department.2
Certainly,these eventsmake this year particularly timelytodiscuss the importance of regulating
cryptocurrency.
Today, we will hearabout regulatoryissuessurrounding digital assetsfrom three differentperspectives.

Digital innovation begins to play vital roles in progressing efficiency and productivity as well as in increasing financial access for
SMEs. To enhance operational efficiency, SMEs can adopt new technology available to support their activities ranging from
production to product delivery and marketing. Moreover, abundant alternative data arising from digital transactions, such as
financial data, payment data, and social data, could bring about new financial solutions, for example, information-based lending
which will open up financial opportunity for SMEs.
This session brings together digital finance experts to share their views on how the evolution of financial technologies could
forever change the SME financial landscape and the ways stakeholders interact. Most importantly, the discussion offers insights
as to how SMEs can make the most out of digital innovation.
Panelists Profile
Mr. Matthew Saal
Mr. Matthew Saal is a Lead Financial Sector Specialist in the World Bank
Finance, Competitiveness and Innovation Global Practice, on secondment
from IFC, where he was head of Digital Finance within the IFC’s Financial
Institutions Group. Matthew has written on fintech-bank partnerships,
banking, macroeconomic policy, financial systems structure, trade, and
monetary policy instruments. He holds an A.B. in Chemistry from Princeton
and an M.Phil. in Economics from Oxford, where he studied as a Marshall
Scholar.
Mr. Patchara Samalapa
Mr. Patchara Samalapa is currently Senior Executive Vice President of
KASIKORNBANK. In this role, he is accountable for the overall business
results for three Business Divisions including; Corporate Business Division,
SME Business Division and Retail Business Division. Mr. Patchara
received a Bachelor of Science degree in Industrial Management from
Carnegie Mellon University and an M.B.A. from Massachusetts Institute of
Technology.
Ms. Sarinee Achavanuntakul
A financier by training, Ms. Sarinee Achavanuntakul is a Thai writer, social
critic, and sustainable business advocate. In July 2013, she co-founded Sal
Forest Co. Ltd. (http://www.salforest.com/), Thailand's first "sustainable
business accelerator" aimed at fostering discourse on sustainable business
in Thailand, and currently serves as Managing Director, Knowledge
Development. She holds an MBA in finance from Leonard Stern School of
Business, New York University, and a BA in economics from Harvard
University.

2. Risk Analysis and Due Diligence
Q: Risk Analysis (Regulatory risks) - What are the regulatory risks that should be taken into
consideration in M&A, JV and partnering deals in the tech industry? As you've been involved in
many FinTech deals, please also share your perspectives in FinTech industry.
1. Simple yet very important question: Is regulatory approval required for the completion of the deal?
a. Regulatory approvals may be required:
i. in M&A and JV deals in regulated industries e.g. FinTech, Telco, etc.
ii. other reasons e.g. anti-trust law, foreign investment restrictions
b. Important to check at the very early stage of the deal whether a regulatory approval
would be required à involve lawyers from an early stage because
i. regulatory approvals will affect the deal timeline and probability of deal being
successful- à cost, pricing
ii. Better assess different options comparatively e.g. if doing M&A (e.g. purchase of
shares in existing licensed entities) in expectation of quick and certain entry into
the market à But now regulatory approval is required à compare with obtaining
your own license?
iii. Strategically consider when and how to deal with regulators
2. Licensing or regulatory requirements to operate the business?
a. Many of the times, technology providers may not be directly regulated.
i. But technology providers still need to consider the indirect impact from
regulations e.g.
1. If the target customers are regulated e.g. FI, Telco, healthcare
a. understand the restrictions for these entities to use IT
services/systems provided by third parties
b. outsourcing/IT outsourcing regulations
c. approval required?
d. specific SLA
e. contract terms
2. Example: Many jurisdictions have issued the guideline in using cloud
computing1 in general (e.g. Australia) / in certain industries e.g. financial
services (Thailand, SG) or using AI in some areas e.g. investment
advisory

• Under Notification of the Bank of Thailand No. FPG. 19/2559 Re: Regulations on IT Outsourcing for Business Operations of
Financial Institutions, the use of cloud computing” means the outsourcing of an IT activity of a financial institution related to IT
infrastructure or IT system by the application of cloud computing through the internet for storing, processing or arranging data
or operating systems. This service is adjustable according to user needs.
o Notification or request for the permission to use cloud computing:
o Financial institutions using outsourced cloud services must also meet certain risk-management requirements that are
associated with the use of cloud computing such as:
§ the control and protection of personal data (data privacy);
§ the degree of reliance on service providers that might result in a vendor lock-in situation;
§ the risks of offshore outsourcing such as a potential inability to access data due to a disruption or blocking
of cross-border communication network or system (information access risk) and legal risk associated with
compliance with overseas regulations (cross-border compliance);
§ the cloud service provider must be certified in compliance with internationally accepted standard; and
§ The Bank of Thailand may also further require financial institutions to submit Reports on IT Outsourcing on
an annual basis.
Furthermore, under the EU's General Data Protection Regulations, companies offering goods or services to Data Subjects in the EU
may also have to comply with the Regulation if the goods or services offered or belonging to Thai companies are also available
within the EU or if the behaviors or locations of individuals within the EU are being tracked.
