Bylaws
Article I. Name
The name of this organization shall be Pikes Peak Association for Gifted Students (PPAGS), an
affiliate of the Colorado Association for Gifted and Talented (CAGT).
Article II. Purposes
Section 1. Purposes
The purposes of Pikes Peak Association of Gifted Students (PPAGS) are educational and
charitable.
Section 2. Goals
To support and advocate for the unique and diverse needs of all gifted and talented students
through:
• Communication and partnerships with stakeholders including: parents, teachers,
educators, administrators, students, legislators, state and national gifted associations;
• Educating and informing stakeholders through programming and resources;
• Increasing public awareness of giftedness with or without concurrent disabilities,
especially among those underrepresented groups of students; and,
• Nurturing and maintaining positive relationships with all stakeholders.
Section 3. Mission Statement
PPAGS is an organization of families, teachers, educators, and other professionals, who unite
to address the unique needs of students with demonstrated gifts and talents as well as those
students who may be able to develop their talent potential with appropriate educational
experiences.
As a resource serving the Pikes Peak region, PPAGS strives to assist and support gifted
students in developing their talents, strengths, and abilities by offering educational programs
that will help families and educators encourage and respond to the diverse expressions of gifts
and talents in children and youth from all cultures, racial/ethnic backgrounds, and
socioeconomic groups.
PPAGS defines a gifted person as someone who shows, or has the potential for showing, an
exceptional level of performance in one or more areas of expression, with or without any co-
occurring disability.
Article III. Membership
Section 1. Members
Membership is open to all who are interested in furthering the purpose of this organization
regardless of sex, race, color, creed, nationality, or ability/disability. All members of PPAGS are
members of CAGT; CAGT members become members of PPAGS by paying dues annually to
CAGT and selecting Pikes Peak as their affiliate.
Membership includes the right to vote and hold office.
Section 2. Dues
Dues shall be set at the annual meeting of CAGT and shall cover the period of September 1-
August 31, of the year in which they are paid. Dues are payable to CAGT.
2. Article IV. Board of Directors and Officers
Section 1. Officers
The officers of PPAGS must include a President, a Secretary, and a Treasurer. The Board of
Directors, by majority vote, may decide to add the President-Elect as an elected officer. The
officers shall comprise the Executive Board. The immediate Past President shall have the option
of remaining on the Executive Board for one term.
Section 2- Board of Directors
The Board of Directors shall be composed of the Executive Board, two Board Members at
Large, and the chairpersons of standing committees, if any.
Section 3. Duties
The President or a designee shall be a representative on the state level Executive Council to
consider the affairs, activities and policies of CAGT. Each officer of PPAGS shall have all of the
general powers and duties usually ascribed to the office.
Section 4. Elections and Terms of Office
Election of officers shall be held at the May Membership Meeting. Terms of office shall be for
two years and will run from September 1- August 31.
Article V. Meetings
Section 1. Executive Board
The Executive Board shall meet at the call of the President to conduct routine business. A
majority of the Executive Board shall be necessary and sufficient to constitute a quorum.
Section 2. Board of Directors
The Board of Directors shall meet at least three times per year at the call of the President. At all
meetings of the Board of Directors, the President shall preside. The presence of a majority of
the Board of Directors shall be necessary and sufficient to constitute a quorum for the
transaction of business. The use of a telephone for participation in meetings shall constitute
presence in person. The Board of Directors may use email, fax, or wikis to conduct business.
The Executive Board may invite guests to attend the board meeting for the purpose of providing
information to the board. Any guests who attend will be allowed a limited time, preferably at the
beginning of the meeting, to conduct their business. A closed board meeting will resume shortly
after the guests are no longer present.
Section 3. General meetings
At least two general meeting of the membership shall be held each year. The first meeting shall
be scheduled for no later than November 15 and the second meeting shall be scheduled in May.
The time and location shall be determined by the Executive Board. Notice of general meetings
shall be given by email at least one week in advance of the meeting. All meetings and programs
will be open to the public unless otherwise specified by the Executive Board.
Section 4. Quorum
A quorum at any general meetings shall be the number of members present. A simple majority
vote shall rule. Only paid members of PPAGS in good standing will be allowed to vote at any
meeting.
Section 5 Liability.
No director shall be liable for any debt, obligation, or liability for the association.
3. Article VI. Committees
Section 1. Standing Committees
Standing committee chairmen shall be appointed as needed by the President with approval of
the Board of Directors. Term of office shall be for one year.
Section 2. Special Committees
Special committees shall be created as required by the Board of Directors. The chairman of
each Special Committee shall be appointed by the President with approval of the Board of
Directors.
Article VII. Procedures
Section 1: Meeting Procedures
Meetings will be conducted in a respectful, courteous manner with an opportunity for all points
of view and all members to be heard. In order to allow all members to participate and maintain a
sense of order during meetings, the Board of Directors will establish a set of procedures that will
govern general meetings.
These procedures will provide for informal meetings in most instances and provide regulations
for situations where formal procedures are required.
Section 2: Dissemination of Information
PPAGS wishes to provide resources and support to families and teachers of gifted individuals.
To this end, PPAGS maintains a website and newsletter with information on PPAGS programs
and limited local resources.
Article VIII. Bylaws
Section 1. Consistency
The bylaws of this organization shall be consistent with the Bylaws of CAGT.
Section 2. Amendments
A petition to amend these bylaws must be presented, in writing, to the Board of Directors at any
meeting of this organization. The proposed amendment is accepted when first approved by the
Board of Directors and then approved by a majority vote at a general meeting. The proposal will
be acted upon within 3 months of formal submission.
Article IX. Dissolution
Should PPAGS dissolve, assets shall be held by the Colorado Association for Gifted and
Talented until such time as the Affiliate reorganizes.
Article X. Indemnification
Any officer or director of PPAGS shall be indemnified and held harmless to the full extent
allowed by law.
