Acquired by The Riverside Company in Aug-08. I was recruited as CFO for this Private Equity portfolio, A Software
Development Technology Company, providing SaaS (Software as a Service) and other Services improving business
and operational outcomes for Homecare Agencies. Agile/Scrum methodologies utilized. Following being the first
true SaaS Company in the space we developed an Industry first Android App after 2 years development.
Accomplishments: Revenues [starting under $10M] & EBITDA grew by 5X, FTEs grew from 40 to over 200 • 3
Acquisitions, & the successful exit to Pamlico Capital at nearly 3X cash on cash in Aug 2012. Played a key role in
Buyer presentations, Confidential Information Memorandum (CIM), Data Room, and the Sale & Purchase Agreement
(SPA) • Implemented Key business metrics used by VP’s in Board & Ops reviews • Implemented new Finance System

New Zealand Diagnostic Group (NZDG) – CFO, Dunedin, NZ 2005 – 2007
Formed in 2004 from purchase and merger of 2 privately owned long standing Pathology Groups, by the Private
Equity Group Czura-Thornton. I was recruited as CFO. I played a purely strategic role along side the CEO. Revenues
were equivalent to USD $130-$150 Million on U.S. price schedule, 10 subsidiary trading companies, rolled up to 6
distinct business units with their own General Mangers, laboratories, staff and individual P&L’s. Across the Group
were 600 FTE’s& 9 laboratory sites nationally. Acted as a Board of Directoron the operating Companies.
Accomplishments: Instrumental with CEO on successful sale in December 2007 to Healthscope, a Public Listed
Healthcare operator in Australia, at 2X cash on cash during the most turbulent time in the Industry. Played a key role in
the preparation of the Information Memorandum (CIM), & managing data room • Instrumental with other Executives on
securing $500M+ (on the U.S. price schedule) of long-term revenue contracts under competitive Tender Processes in
2006 • Successful acquisition and Integration of competitor businesses who were unsuccessful in the Bid processes •
Carved out 2 unsuccessful business units from the NZDG group pre exit, transferring revenue streams to remaining
Companies in the Group, operationally closing down the locations, exiting leases & supplier contracts, letting go some
150 FTE’s, & then fully liquidating them (in a solvent form) • Restated Financials under newly adopted IFRS reporting
requirements • Negotiated with Trade Unions to successfully integrate Public Hospital Laboratory staff (60 FTE’s) into
our Private Company setting • Scoped new ERP system requirements and managed new system selection process •
Managed over 50 property leases • setup JV Companies • Restructured the Group to utilize tax losses.
Turmatic Systems – CFO, St. Louis, MO 1997 – 2004
I was recruited in Mar-97 after ThyssenKrupp (€40 Billion worldwide revenue) acquired a 51% ownership of this
former privately held Precision Engineering and Manufacturing Company, manufacturing rotary transfer machines
sold primarily to the automotive manufactures (GM, Ford, Visteon, Daimler Chrysler, Harley). Mostly job costing
based. Had both US GAAP & foreign reporting requirements. Local revenues were up to $50 Million. Partnered with
the 49% minority shareholders in a shared services environment, with a common CEO, shop floor, QA, with
combined revenues up to $100M and 300 FTEs.Started as the Financial Controller. Promoted to CFO Jan-2002.
