Chief Executive Officer, Chief Operating Officer, Director, Chairman of the Board, Stockholder
Formed MaxTech Holdings, Inc. (MTH) and Maxim Technologies, Inc. (MTI) to use as the vehicle through which to purchase the
stock of Huntingdon Engineering & Environmental, Inc. (HE&E), a distressed U.S. subsidiary of a British public company
(Huntingdon International Holdings, Plc). Merged HE&E ($120MM revenue) and Maxim Engineers, Inc. into MaxTech Holdings,
Inc. to form one of the largest engineering companies in the U.S. Combined entity was initially staffed at 1,600 and was losing
more than $6.0MM annually. Restructured, resized, refocused, rejuvenated and returned the company to profitability within first
year allowing the retirement of much of the short-term debt used for the acquisition. Orchestrated a major realignment and
cultural shift of the company while directing and negotiating the sale of more than 15 subsidiary operations (5 stand-alone analytical
laboratories, 3 strategic business units and 5 regional operating units) representing more than $100,000,000 in annual revenues
and resulting in the retirement of the acquisition debt. Successfully directed and negotiated the sale of Maxim Technologies, Inc.
to Tetra Tech, Inc. a major public, engineering and construction company.

Saved company from imminent bankruptcy by restructuring the company, closing unprofitable operations and eliminating
unprofitable product lines. Enhanced and inculcated Corporate Governance, increased fee structure, improved project execution,
enhanced staff qualifications, improved IT systems and established standard operational processes and procedures. Through vision,
culture shift, management recruiting/training, organization alignment and operating systems development, Maxim Engineers was
molded into a competent platform company through which the acquisition and turnaround of Huntingdon Engineering &
Environmental, Inc. was accomplished.

Developed and began implementation of a Strategic Plan for JBES to enter the U.S. Environmental Services market. Identified
Trafalgar House Plc capabilities world-wide that could contribute to building core environmental engineering services at JBES.
Developed a target list of potential North American acquisitions. Began negotiations with two major U.S. environmental
companies in October 1991 but negotiations were halted and the plan was placed on indefinite hold in December 1991 as a result
of a hostile take-over attempt of Trafalgar House Plc by Hong Kong Land. In early 1992 returned to Dallas to accept CEO,
Director and ownership position with Maxim Engineers, Inc.

Environmental services “startup” with 10 employees and $900k annual revenues performing UST consulting.

Through recruiting, training and marketing acumen, expanded company service lines from traditional ‘yank-a-tank” services to
include a full-service environmental analytical lab, a soil bio-treatability lab, 24hr environmental-emergency-response capabilities,
soil-vapor extraction and pump & treat remediation systems design and construction, ASTM Environmental site assessment
services and ground water contaminate fate and transport modeling. Grew revenue run rate from $900k per year to $12.0MM
