• Advised clients regarding commercial and technology transaction issues, drafted and negotiated end-
user sales, reseller, OEM, E-commerce and licensing and service agreements for hardware and software
products, including financing, escrow, and source code licensing arrangements. Drafted and reviewed
responses to government RFP’s, RFQ’s, and ITB’s, and collaborated on obtaining an annual GSA
contract for the company. Provided legal guidance and review for distribution channels, professional
services and global customer relationships. Created procedures for ISO certification and compliance.

a pre-approved set of alternate acceptable provisions for use by contract negotiators, paralegals and
