advisor to the client, for the transaction and played the following role –
▪ Working closely in identifying the key value drivers and the right investor;
▪ Preparing Investment Documentation;
▪ Negotiating and finalizing the terms of LOI including valuation, deal structure and
shareholders’ rights;
▪ Working closely during business, financial and legal due diligence carried out by the
new Investor;
▪ Finalization of the deal structure and negotiating the shareholders’ rights in the
definitive agreements amongst the Promoters, the existing Shareholders and the
new Investor;

of various transaction documents;
