Step 2 – Power of Attorney

• A document will have to be drafted in
which you will grant the legal
representative of the company the
power of attorney. This representative
will then complete all the necessary
steps required to incorporate the
company in Belize.
• If you are outside the country, you can
sign the documents in an approved
location, such as an embassy or
consulate.

Step 4 - Memorandum and Articles Of
Association (M & A)
Registering the articles of association
Once the name of the company has been
approved, you will need to submit a
Memorandum and Article of Association
(M&A) and submit these to the Registry in
Belmopan (the capital city in Belize) along
with the corresponding payment of the
formation fee.

Step 5 – Approval of M&A’s
The Memorandum and Article of
Association (M&A) have to be approved.
Approval is granted from the Central Bank
of Belize.

Step 6 – Getting the Certificate of
Incorporation
A Certificate of Incorporation will be issued
by the Registrar of International Business
Companies and it should be displayed at
the registered office of the company.

• Once the company is formed, officers
need to be appointed to run the
business. These officers may be the
directors.
• Upon receipt of the Certificate of
Incorporation the first director may be
appointed along with the shareholders.

complete the filling of all the necessary
