during your equity
crowdfunding raise.
To ensure your webinar is
compliant you'll want to
understand compliance
rules.

Compliance Rules
Communications should not include the following directly or indirectly,
including in any content, image, etc.
- include any false, exaggerated, unwarranted, promissory or misleading
statements or claims;
- omit any material fact or qualification if the omission, in light of the
context of the material presented, would cause the communication to be
misleading;
- predict or project performance;
- imply that past performance will recur or make any exaggerated or
unwarranted claim, opinion or forecast.
Importantly, communication should not minimize risks of loss nor the
liquidity risks to the investor.
13. Step 4: Understand
Compliance Rules
Reg CF, Rule 204
An issuer may not, directly or indirectly, advertise the terms of an offering
except in a notice that directs investors to the intermediary’s platform and
includes no more than provided under SEC Reg CF Rule 204.
Terms Communication:
Under Rule 204, the following may be including in a “terms” only
communication:
(1) A statement that the issuer is conducting a Reg CF offering
(2) The name of the Funding Portal
(3) Information (including a link in any written communications) directing
the potential investor to Funding Portal’s platform;

(4) Factual information about the legal identity and business location of
the issuer, limited to the name of the issuer of the security, the address, phone
number and Web site of the issuer, the email address of a representative of the
issuer and a brief description of the business of the issuer.
(5) The “terms of the offering”, which includes:
a. the amount of securities offered,
b. the nature of the securities (e.g. equity, debt, etc.)
c. the price of the securities,
d. the closing date of the offering period,
e. the planned use of proceeds, and;
f. the issuers progress toward meeting its funding target.
