Adobe’s focus on analytics, we believe Adobe is a good home for comScore’s Digital Analytix customers as
comScore focuses its resources on its core measurement business.

The comScore employees associated with the Digital Analytix business will continue to be employed by
comScore. The companies intend to enter into a Transition Services Agreement under which these
employees will continue to provide services to Digital Analytix customers.

Adobe is currently evaluating opportunities for potential product integration. However, access to the products,
services and support teams Digital Analytix customers currently use will continue as it is today.

Prior to the closing of the transaction, things are business as usual. Following closing, Adobe will honor all
existing Digital Analytix contracts.

On January 21, 2016 Adobe closed its acquisition of the comScore Digital Analytix business (DAx). The
acquisition was announced on November 5, 2015.

• Why did Adobe acquire Digital Analytix?
The acquisition of Digital Analytix expands the Adobe Analytics footprint in the enterprise media and
entertainment vertical and strengthens Adobe’s presence in EMEA. Adobe also sees potential operating
synergies in the development of analytics capabilities for the fast-growing digital video and media space.
Additionally, this acquisition gives Adobe an expanded customer base in which to upsell Adobe Marketing
Cloud solutions to new customer accounts.
• What is the process for the product integration?
Adobe is still evaluating the Digital Analytix platform to determine where there are capabilities that make
sense to incorporate in the Adobe products, and where unique capabilities of Adobe Analytics are
required for a seamless migration for our new customers. All Digital Analytix capabilities are being
evaluated for feature development within Adobe Analytics.
• Who owns the customer contracts – Adobe or comScore?
At closing, most Digital Analytix customer contracts were assigned to Adobe. This means that the contract
is now between Adobe and the customer, even though comScore was the initial contracting party.
• Did Adobe acquire employees in this acquisition?
Most employees associated with the Digital Analytix business will continue to be employed by comScore.
The companies have entered into a Transition Services Agreement (TSA) under which these comScore
employees will continue to provide services to Digital Analytix customers.
• How will existing and new customers be serviced?
For the immediate future, there will be no change to the service and support experience for both Adobe
and comScore. Existing Digital Analytix contracts will be honored and serviced by comScore under the
TSA.
