The objective of WSDA is to raise capital to purchase commercial real estate, develop that land and build
commercial office buildings in Heber City, Wasatch County, Utah, which is an approved, certified EB-5
Target Employment Area (TEA). The EB-5 project will include real estate development of commercial
property, construction of the buildings and a Credit Card Processing business, also known as Merchant
Service Processor (MSP), that will provide long-term sustainable jobs.
The New Commercial Enterprise for EB-5 investment purposes will provide an estimated 63 jobs. Collateral
throughout the duration of the EB-5 Project for investors and preservation of investor capital is two-fold:
1) The real estate development and commercial building ownership and;
2) The Credit Card Processing/Merchant Service Processor ownership, business assets and annual
income and residual income from merchant customers.
Upon EB-5 investors receiving permanent visa status and after the 5-year investment period, the objective
is that investors will receive their principal investment amount and any return on investment stated in the
investment material.
Investment capital and return on investment will be paid back through either the sale of the Company’s
commercial real estate development and building(s) and/or from cash-flow generated from the project
company’s merchant service’s business.
Each prospective investor is advised to retain his or her own legal, tax, economic and immigration counsel
to assist in his or her independent review, evaluation of this investment, and subsequent filing immigration
documents.

Business Overview Opportunity
Credit Card Processing
The Project Company will focus on enabling businesses to
accept Credit Card Payments and any cash-less payment for
services rendered or products purchased. Every business
owner that wants to take a payment from someone needs to
have one of these types of accounts set up. The merchant
service provider charges a small fee to business owners for
every payment they accept. These fees can either be a
percentage and/or a flat transaction fee. Along with these
fees that are monthly and annual account fees that produce
revenue for the service provider for the duration the account
is opened.
Consumer Demand
Consumers want to pay for things with credit cards. Credit
cards might be tied to a line of credit or to a checking
account. Consumers do not need to carry around cash and
they are not limited to the amount of purchases based on the
amount of cash on hand. This drives sales and increases
average sales. Consumers can carry credit cards, have mobile
wallets like Apple Pay, Samsung Pay or Google Pay and use
them to make purchases at their favorite stores. These stores
have to have a “Merchant Account”. The Project Company
provides these accounts. The Nilson Report, which show that
purchase volume at merchants for general purpose-type
consumer and commercial credit, debit and prepaid cards
issued in the U.S. totaled $4.91 trillion in 2014, up 8.4%
from 2013.

The payment process cycle comprises of
the authorization process and the
settlement process. The authorization
process initiates the payment processing
cycle, while the settlement process
culminates the payment cycle.

Credit Card Processing How it Works
As involved as the system sounds, obtaining an authorization for a
transaction is just the first step. Authorizations must be settled
before sales can be deposited into you business's bank account.
Credit card transactions happen in a two-stage process consisting of
authorization and settlement. This is important because different
fees are incurred at each stage, and a failure (or partial failure) in
either step can result in increased costs and/or credit card sales not
being deposited.
The bankcard networks that handle billions of
transactions between merchants, processors and banks
are truly modern marvels. In just a matter of seconds,
transaction information is passed by your terminal or
software to a processor, and then through the card
network to the issuing bank for approval. The issuing
bank then sends an authorization back through the card
network to your processor before it finally ends up back
at your terminal or software.

Credit Card Processing How it Works
Acquiring Bank (Merchant Bank)
An acquiring bank is a registered member of the card
associations (Visa and MasterCard). An acquiring bank is
often referred to as a merchant bank because they contract
with merchants to create and maintain accounts that allow
the business to accept credit and debit cards, (i.e. merchant
accounts). Acquiring banks provide merchants with
equipment and software to accept cards, promotional
materials, customer service and other necessary aspects
involved in card acceptance. The acquiring bank also
deposits funds from credit card sales into a merchant's

Interestingly enough, many merchants don't recognize their
acquiring bank as the primary provider of their merchant

Credit Card Processing How it Works
Issuing Bank (Cardholder Bank)
As you've probably guessed, an issuing bank issues
credit cards to consumers. The issuing bank is also a
member of the card associations (Visa and MasterCard).
Issuing banks pay acquiring banks for purchases that
their cardholders make. It is then the cardholder's
responsibility to repay their issuing bank under the
terms of their credit card agreement.
Card Associations (Visa and MasterCard)
Visa and MasterCard aren't banks and they don't issue

custodian and clearinghouse for their respective card

The objective of WSDA is to raise capital to purchase commercial real estate, develop that land and build commercial office buildings in Heber City, Wasatch County, Utah, which is an approved, certified EB-5 Target Employment Area (TEA). The EB-5 project will include real estate development of commercial property, construction of the buildings and a Credit Card Processing business, also known as Merchant Service Processor (MSP), that will provide long-term sustainable jobs. The New Commercial Enterprise for EB-5 investment purposes will provide an estimated 63 jobs. Collateral throughout the duration of the EB-5 Project for investors and preservation of investor capital is two-fold: 1) The real estate development and commercial building ownership and; 2) The Credit Card Processing/Merchant Service Processor ownership, business assets and annual income and residual income from merchant customers. Upon EB-5 investors receiving permanent visa status and after the 5-year investment period, the objective is that investors will receive their principal investment amount and any return on investment stated in the investment material. Investment capital and return on investment will be paid back through either the sale of the Company’s commercial real estate development and building(s) and/or from cash-flow generated from the project company’s merchant service’s business. Business Overview Opportunity Credit Card Processing The Project Company will focus on enabling businesses to accept Credit Card Payments and any cash-less payment for services rendered or products purchased. Every business owner that wants to take a payment from someone needs to have one of these types of accounts set up. The merchant service provider charges a small fee to business owners for every payment they accept. These fees can either be a percentage and/or a flat transaction fee. Along with these fees that are monthly and annual account fees that produce revenue for the service provider for the duration the account is opened. Credit Card Processing How it Works As involved as the system sounds, obtaining an authorization for a transaction is just the first step. Authorizations must be settled before sales can be deposited into you business's bank account. Credit card transactions happen in a two-stage process consisting of authorization and settlement. This is important because different fees are incurred at each stage, and a failure (or partial failure) in either step can result in increased costs and/or credit card sales not being deposited. The bankcard networks that handle billions of transactions between merchants, processors and banks are truly modern marvels. In just a matter of seconds, transaction information is passed by your terminal or software to a processor, and then through the card network to the issuing bank for approval.
