The signed COMETSA Memorandum of Understanding (MoU) and Non-Disclosure Agreement (NDA) forms are the basis on wich Professional Service Providers enter into the business working relationship with COMETSA GoC International (Pty) Ltd. The MoU is the declaration of the intention to enter into commercial agreement, whereas the NDA is there to safeguard the intellectual property of the two parties.

MEMORANDUM OF UNDERSTANDING
The associates agree to collaborate in business service delivery to clients on an agreed terms and
conditions, per project. The terms and conditionsof assignment will be reduced to a written
agreement as an addendumto this Memorandumof Understanding (MoU) and the Non-Disclosure
Agreement (NDA) signed by both parties.

Revenue
The associates will invoice each other according to the agreed prices, terms and conditions entered
before delivery of the services to the clients.
Duration and termination of the Memorandum ofUnderstanding
This Memorandum of Understanding is valid from the date of the signature and can be terminated by
either party by giving the other party two months written notice.
Confidentiality
The parties agree to treat each other’s corporate,client and business information as highly
confidential. The information exchanged by the parties will be used for the exclusive purpose for
which they were provided for. Should either party wish to use the said information for other purposes,
the other party’s permission should be obtained in writing. This clause is used together with the Non-
Disclosure Agreement (NDA) the associates have signed.
