THIS PROSPECTUS IS FOR CONSTITUTING AN IMPORT- EXPORT
COMPANY TO TAKE ADVANTAGE OF THE CURRENT BRAZILIAN
CONSTRUCTION MARKET SITUATION.

THE MAIN PRODUCT TO BE IMPORTED IS CONSTRUCTION MACHINERY &
EQUIPMENT. THE MINIMUM INVESTMENT CAPITAL REQUIRED FOR THE
EQUITY PARTNER’S PARTICIPATION IS U$D10 – U$D15 MILLION FOR

ACQUISITION PURPOSES AND TO BE AWARDED A 60% PROFIT SHARE IN THE
VENTURE.

TODAY’S GLOBAL SITUATION AND FURTHERMORE, BRAZILIAN MARKET SITUATION BRINGS ON THE
HIGH DEMAND OF HIGH QUALITY CONSTRUCTION MACHINERY FROM UNITED STATES WHERE WE

FINANCING MULTIPLIES THE VOLUME OF POSSIBLE CLIENTS BESIDES THE ALREADY EXISTING ONES
AND IMRPOVES THE FEASIBILITY OF PROJECTED GAINS.

WE WOULD ALSO LIKE TO OPEN A SMALL REAL ESTATE AGENCY OFFICE ANNEXED WITH THE IMPORT –
EXPORT COMPANY TO FURTHER IMPROVE REALTIONSHIPS WITH THE CONSTRUCTION INDUSTRY AND
MAXIMIZE THE OUTCOME OF THE VENTURE. THE EXPENSES OF SUCH WHEN COMPARED TO THE
ADDED VALUE ARE MINIMAL AND CAN BE VERY WELL INCORPORATED INTO THE OVERALL
INVESTMENT BUDGET.

THE FEE TO THE CAPITAL FUNDING AGENTS IS 10% IF ACHIEVED BY DECEMEBR 9TH 2009 AND 7% IF
ACHIEVED NO LATER THAN JANUARY 17TH 2010. THE FEE IS TO BE PAID OUT OF THE INITIAL SEED
INVESTMENT CAPITAL. THE EQUITY PARTNER WOULD BE OBLIGATED TO HAVE A MINIMUM
COMMITMENT OF 24 MONTHS UNLESS THERE IS A MINIMUM OF 40% INCREASE IN THE VALUE OF THE
UNITED STATES DOLLAR AT WHICH TIME DIFFERENT STRATEGIES FOR DIFFERENT IMPORT – EXPORT
PRODUCTS & OPTIONS WOULD BE PRESENTED UP FOR APPROVAL BY THE INVESTOR.
