The recently enacted Jumpstart Our Business Startups (JOBS) Act contained a provision directing the Securities and Exchange Commission to amend Regulation D to remove the ban on general solicitation and advertising of private offerings. This change will allow alternative investment managers and others conducting private offerings to have increased legal certainty when communicating with investors and the general public, which will enable these managers to share more information and promote greater understanding of the industry. Amending Regulation D will not change the type of investor – institutions and high net-worth individuals – able to buy into a private offering, but it will lead to more transparency in the alternative investment industry.

The webinar featured a discussion of the Supreme Court’s current docket and how it may impact securities professionals. It was jointly presented by Linda Coberly, former Supreme Court clerk and chair of the firm’s appellate and critical motions practice, and partner Jim Junewicz, who focuses on securities offerings, M&A, and corporate governance and frequently lectures on issues relating to capital markets. Participants received both general and Professional Responsibility CLE credit. This unique program combined information about trends at the Court and specific cases of interest to business, including a discussion about what securities professionals can learn from those cases. Of particular interest was the Court’s recent decision in Omnicare, which provides explicit guidance for issuers preparing securities offering disclosure documents and periodic reports. Ms. Coberly was one of the lawyers representing Omnicare before the Supreme Court.

Citing Private Equity Concerns, New York Department of Financial Services Proposes Increased Scrutiny and Disclosure for Acquisitions of New York Domestic and Commercially Domiciled Insurers by Eric R. Dinallo, Thomas M. Kelly, Marilyn A. Lion, and Nicholas F. Potter. On May 14, 2014, the New York State Department of Financial Services (“NYDFS”) proposed an amendment to the regulation that sets forth the filing and other regulatory requirements for the acquisition and retention of control of New York domestic and commercially domiciled insurers that includes specific requirements directed at acquisitions by private equity firms and other similar investors. In the regulatory impact statement that accompanies the proposed changes, the NYDFS stated that the changes reflect the NYDFS’ concern that private equity firms and other similar investors have a “focus on maximizing their short-term financial returns rather than ensuring that long-term policyholders receive the insurance benefits for which they have paid.” The NYDFS went further to state its concern that the short-term focus may lead to “an incentive to increase investment risk and leverage in order to boost short-term returns.”

This presentation centers on a "Miscellaneous Provision" in the 2010 Dodd-Frank Wall Street Reform and Consumer Protection Act which requires U.S. companies that use tungsten, tantalum, tin and gold in their products to disclose whether or not they are sourcing "conflict minerals" and, if so, how they are implementing supply chain due diligence. Affecting a plethora of companies from smartphone to shoe manufacturers, Bayer’s cost model has the price tag of this law at USD 8 billion for U.S.-based companies alone, a model that was largely picked up by the SEC as well as the claimants in the subsequent lawsuit against the SEC. "What, there's tin in my shoe?" you ask. In the Congo, where the law is known as the "Obama law," the future of thousands of people – a population that has seen 5.4 million perish in what has been the deadliest conflict worldwide since World War II – is, for better or for worse, affected. How does the law seem to be playing out? What, if anything, does this new legal precedent of corporate disclosure on an international affairs issue mean for sectors where systemic human rights abuses are entrenched through informal commodity extraction and obscure supply chains, such as with the palm oil (e.g. Indonesia), seafood (e.g. Thailand), cotton (e.g. Mali), and cocoa (e.g. Cote d'Ivoire) industries? PhD Candidate Chris Bayer is an international development practitioner with ten years of work experience in Africa. As a consultant for the Payson Center, he was instrumental in designing and executing a number of research and capacity building projects in a variety of areas such as ARV management and child labor and in 2012 lectured at the American University of Nigeria. He is currently writing his dissertation on child labor monitoring in Ghana and is also substantively contributing to the discussion surrounding conflict minerals.
