new generating resources to interconnect to

obey all laws that apply to the Company’s
business, including state & local laws in
the areas in which the Company operates.
Any questions as to the applicability of any
law should be directed to the Company’s
General Counsel.

director, or a member of his or her family, receives

reasonable detail, must appropriately reflect the
matters to which they relate & must conform both
to applicable legal requirements & to the
Company’s system of internal controls. All assets
of the Company must be carefully & properly

records or documentation is strictly prohibited.
Unrecorded funds or assets should not be
maintained.

antitrust & trade regulation statutes

in which employees & directors interact
with both competitors & associates &

as
fixing
prices, setting discriminatory prices &
entering
into
agreements
with

• When dealing with public officials,
employees & directors must avoid any
activity that is or appears illegal or
unethical. The giving of gifts, including
meals, entertainment, transportation &
lodging, to government officials in the
various branches of the U.S. government,
as well as state & local governments, is
restricted by law. Employees & directors
• In addition, the U.S. Foreign Corrupt
Practices Act prohibits giving anything of
value, directly or indirectly, to officials of
foreign governments or foreign political
candidates in order to obtain or retain
business. Illegal payments to government
officials of any country are strictly
prohibited.

answers to all questions. Since we cannot
anticipate every potential situation, certain
policies & procedures have been put in place
to help employees & directors approach
questions or problems as they arise.

The Company’s General Counsel has been
designated as the Company’s Ethics
Officer with responsibility for overseeing &
monitoring compliance with this Code. The
Ethics Officer reports directly to the Chief
Executive Officer & also will make periodic
reports to the Company’s Audit Committee
regarding
the
implementation
&
Employees & directors are encouraged to
seek guidance from supervisors, managers
or other appropriate personnel when in
doubt about the best course of action to
take in a particular situation. In most
instances, questions regarding this Code
should be brought to the attention of the
Company’s General Counsel.
If an employee or director knows of or
suspects a violation of this Code, or of
applicable laws & regulations, he or she
must report it immediately to the Legal
Department or the Chief Executive Officer.
If the situation requires it, the reporting
person’s identity will be kept anonymous.
The Company does not permit retaliation
Reported violations will be promptly
investigated. It is imperative that the
person reporting the violation not conduct
an investigation on his or her own.
However, employees & directors are
expected to cooperate fully with any
investigation made by the Company into
reported violations.

Code may be subject to disciplinary action,
up to & including discharge. Employees &
directors who have knowledge of a
violation & fail to move promptly to report
or correct it & employees & directors who
direct or approve violations may also be
subject to disciplinary action, up to &
including discharge.

Recognize customers want to do business with a
company they can trust; when trust is at the core
of a company, it's easy to recognize. Trust defined,
is assured reliance on the character, ability,
strength, and truth of a business.
• Keep An Open Mind
For continuous improvement of a company, the
leader of an organization must be open to new
ideas. Ask for opinions and feedback from both
customers and team members and your company
will continue to grow.
• Meet Obligations
• Have Clear Documents
Re-evaluate all print materials including small
business advertising, brochures, and other
business documents making sure they are
clear,
precise
and
professional.
Most
important, make sure they do not misrepresent or
misinterpret.
• Become Community Involved
Remain involved in community-related issues and
activities, thereby demonstrating that your
business is a responsible community contributor.
In other words, stay involved.
• Maintain Accounting Control
Take a hands-on approach to accounting and record
keeping, not only as a means of gaining a better
feel for the progress of your company, but as a
resource for any "questionable " activities. Gaining
control of accounting and record keeping allows
you to end any dubious activities promptly.
Recognizing the significance of business ethics as a
tool for achieving your desired outcome is only the
