11. AGM BUSINESS
We propose the deletion of clause 43 of the Company's
Articles of Association in its entirety and the insertion of the
following wording in its place:
"43. The members may by ordinary resolution appoint one or more
directors to the Board and the Board may appoint any person
who is willing to act as a director to be an additional director
and there shall be no maximum number of directors."
