on approval of the application form for applicants for Project Participant Status for the
creation and maintenance of operations of the Skolkovo Innovation Center, of the list of
documents that are to be submitted when filing an application seeking Project Participant
Status, of the project road map sample and of the nondisclosure agreement form concerning
the information about the project presented by the applicant.
In accordance with the Regulations on assigning and termination of Project Participant Status for the
creation and maintenance of operations of the Skolkovo Innovation Center, approved by the
decision of the Fund Council dated December 6, 2010, No. 1 (hereinafter referred to as the
Regulations on Status Assigning and Termination)
I hereby order the:
1. Approval of the application form for applicants for the Project Participant Status for creation and
maintenance of operations of the Skolkovo Innovation Center (Appendix 1).
2. Approval of the list of documents to be submitted when filing the application seeking the status of
Project Participant (Appendix 2).
3. Approval of the project road map sample (Appendix 3).
4. Approval of the nondisclosure agreement form concerning the information about the project
presented by the applicant (Appendix 4).

The application form for applicants for Project Participant Status (hereinafter referred to as the
Application) is to be posted on the official website of the Skolkovo Fund at the address www.i-
gorod.com.
The application form contains the following fields:
1. Full name of the organization
2. Business name of the organization
3. Title of the project
4. Name of project manager
5. Problem that the project purports to solve
6. Essence of the innovation
7. Product/technology created within the framework of the project, according to its technical and
economic parameters:
7.1. Comparable to the existing Russian analogues or is inferior to them
7.2. Superior to the Russian analogues but inferior to the best foreign analogues
7.3. Is a Russian analogue of a high-demand foreign product/technology
7.4. Possesses some specific advantages over the best world analogues, but is on the whole
comparable to them
7.5. Is considerably superior to all the existing world analogues
7.6. Has no analogues, satisfies a want previously unsatisfied and creates a new market

LIST OF DOCUMENTS TO BE SUBMITTED WHEN FILING AN APPLICATION
SEEKING PROJECT PARTICIPANT STATUS
When filing an application seeking project participant status, the applicant is to submit the following
documents (text files or scanned copies in .pdf format)
1. The applicant's letter of intent to become a project participant, signed by the head of the
applicant's permanent executive body or another party having the right to act on behalf of this legal
entity without power of attorney or by the applicant's representative holding a power of attorney,
affixed with the seal of the applicant.
2. The applicant's charter documentation (the statute and (or) other documents defined by the
legislation of the Russian Federation for the applicant's legal organizational form).
3. Extract from the Unified State Register of Legal Entities, obtained not earlier than 3 months
before the date of filing of the application.
4. The project road map indicating the key expected results of the project, in accordance with the
form specified in Appendix 3 to the present Order (drawn for the whole project realization period).
5. Project summary (not more than 10 pages in A4 paper size).
6. Assessment report on results of intellectual activities in accordance with paragraph 11.4 of the
questionnaire, if the applicant has stipulated that such assessment has been carried out.
7. Document confirming the intention of the holder of exclusive rights for the results of intellectual
activities to perform actions stipulated in paragraph 11.5 of the questionnaire.
8. Written declaration of the specialist stipulated in paragraph 12 of the questionnaire, confirming
his/her participation (or intention to participate) in the realization of the project presented by the
applicant.
9. Employment agreement or other document confirming work relations between the specialist,
stipulated in paragraph 12 of the questionnaire, with the organization stipulated in subparagraph
12.2 of the questionnaire.
10. Written declaration of the specialist stipulated in paragraph 13 of the questionnaire, confirming
his/her participation (or intention to participate) in the realization of the project presented by the
applicant.
11. Passport or other document confirming the citizenship of the specialist stipulated in paragraph
13 of the questionnaire.
12. Product and (or) technology specification (submission of this document is not compulsory).
13. Curriculum vitae of the specialist stipulated in paragraph 13 of the questionnaire, listing his/her
key experience, achievements in investment and (or) research environment (submission of this
document is not compulsory).
By forwarding the filled out questionnaire the applicant expresses his consent to conclude a
nondisclosure agreement concerning the information about the project presented by the applicant in
accordance with the form posted on the website of the Skolkovo Fund (www.i-gorod.com), and
assumes obligations to perform research activities in accordance with Acts and Regulations,
approved by the Skolkovo Fund (hereinafter referred to as Project Regulations) as well as to locate
his permanent executive body (other agencies or parties having the right to act on behalf of the

THE PROJECT PRESENTED BY THE APPLICANT

CONCERNING THE INFORMATION ABOUT THE PROJECT
PRESENTED BY THE APPLICANT

Participant for the creation and maintenance of operations of the Skolkovo Innovation Center in
accordance with the Federal Law No. 244-FZ, dated September 28, 2010, "On the Skolkovo
Innovation Center" or a party filing an application for carrying out the project’s preliminary
examination (hereinafter referred to as the Applicant), and the
Non-profit organization Fund for Development of the Center for Elaboration and
Commercialization of New Technologies, established in accordance with the legislation of the
Russian Federation, represented by [•], acting on the basis of [•] (hereinafter referred to as the
Fund),
hereinafter jointly referred to as the "Parties", and separately as the "Party",
have concluded the present Nondisclosure Agreement (hereinafter referred to as the "Agreement")
under the following terms and conditions:
1. Definitions
1.1. Permitted purpose - familiarization with the documents and materials, related to the Applicant's
Project and submitted by the Applicant by forwarding to the Fund of the filled-out Application and
documents presented when filing the Application seeking Project Participant Status or else when
filing the application for carrying out project preliminary examination.
1.2. Confidential information - information related to the Permitted Purpose (including
manufacturing secrets (know-how), financial data, and commercial indexes), which:
(1) are passed by the Applicant to the Fund in written or electronic form and is stipulated by
the Applicant as confidential at the moment of its passing;
(2) is not commonly known or publicly accessible and
(3) is information regarding which the Applicant makes reasonably sufficient arrangements
for securing its confidentiality.
The following information is not considered confidential:
(1) became lawfully known to the Fund as of the date of passing of such information by the
Applicant,
(2) is commonly known and publicly accessible,
(3) is passed by the Applicant to Third Parties without limitation (including posting it in the
Internet).
1.3 Third Parties - individuals or legal entities as well as public-law entities, except for the Fund, the
9. Applicant, the Fund employees and members of the Fund’s Expert Boards.
2. Use of Confidential Information
Confidential Information may be used by the Fund only in order to achieve the Permitted Purpose.
3. Confidential Information Transfer
In all cases, except those stipulated in the legislation of the Russian Federation, the Fund is entitled
to disclose Confidential Information and particularly to transfer it to Third Parties only after
receiving written consent from the Applicant for such transfer.
4. Protection of Confidential Information
4.1. Regarding any data submitted in connection with the present Agreement, and defined by the
Applicant as Confidential Information in accordance with the terms and conditions of the present
Agreement, the Fund undertakes to maintain confidentiality by making reasonably sufficient
arrangements in accordance with the generally accepted professional standards.
4.2. The Fund undertakes to inform its employees about the Fund obligations in accordance with
the present Agreement and to appropriately instruct them.
5. Rights to Confidential Information
5.1. The Applicant is the right holder of the Confidential Information.
5.2. Nothing about the present Agreement, including the fact of Confidential Information transfer in
connection with the present Agreement, means the transfer of any Applicant’s rights to Confidential
Information to the Fund.
6. Validity period of the Agreement
The present Agreement comes into force upon its signature by the Parties and stays valid during
three years from the date of transfer of Confidential Information by the Applicant to the Fund.
7. Other provisions
7.2. The Fund may not transfer the rights and (or) obligations under the present Agreement to any
Third Party without prior written consent of the Applicant.
7.3. The laws applicable to the present Agreement are the laws of the Russian Federation.
7.4. Should any disputes arise between the Parties in connection with the present Agreement, they
are to be resolved in the Arbitration Court of Moscow.
