Roche is a shareholder having 56% of the company, but they are looking forward to get the other 44% (Hughes, 2011). Roche owns the majority share of the company since 1990, and there has been a production of less innovative products that are supplied to the market year after years in the pharmaceutical field. The main reason for the merge is to ensure that they will utilize the economies of scale and come up with a more competitive innovative product in the market. The acquisition will increase synergy, reduce operating risks and ensure growth from the healthy competition. What synergies could the combined company produce? Due to the merge, the market will experience better innovative products that will produce competition to other pharmaceutical companies. On the other hand, the merger and acquisition would reduce the production cost as compared to the way they were performing individually hence increasing productivity and profitability of the company. How would you quantify the potential synergies between the two companies to justify the valuation of Genentech? Owing to the 100% ownership Genentech would be the largest biotechnology company in the world leading to proper utilization of the latest technology and market leaders (Hughes, 2011). The government and administration cost would reduce significantly enabling Genentech to create an affiliate contract extension enabling Roche to distribute the companies best selling drugs out of the American markets. The government cost includes tax reduction, and the administration cost is reduced managerial workforce regardless of the increased company size. Furthermore, the main risk for the full acquisition is that the old company cultures and family environment can be destroyed and new culture implemented which will affect the jobs, performance, and productivity. This can lead to some people losing their jobs and some having to work in a department that they were not used to. As mentioned earlier the acquisition will enable the company to have R &D projects and proper utilization of the technological tools in the market. Finally, this acquisition will provide the company with enough cash of approximately $9 billion which can be used to settle the debts made in the process of acquisition. What should Franz Hummer do? Mr. Hummer should review the strategic reason and possibilities of acquisition and the synergies expected from the deal and then provide the probable response to Genentech board in relation to the takeover bid. Topics such as background statements, project stakeholders, project goals, time and budgeting as well as the performance and scope of what the proposal is implementing. This proposal will enhance and allow our company to move in the right direction for business success. Lone Star Glass Company has decided to put a team together that will organize a project to open a new location across town. Lone Star Glass is a family own and operated small glass shop that is ready to expand. After 35 years of being in business, the idea of opening a second location has been around for some time. The growth in the industry makes the company examine ways to expand to keep up with the market. With more people migrating to the City, a second location to attend the other side of the city would be ideal. There are several other glass shops around the city, so the team will have to decide of a perfect location where competition is not so close. Lone Star Glass struggles servicing the customer from the other side of town, because they are busy near the current location. The new store will allow for customer in that area to be serviced on a timely manner. The company will have better reviews from the entire city. Lone Star Glass understands this project has to be well planned out. The goal is to have another operation up and running by the end of the year. The project manager will be the location manager when the store opens. The new store will be located at least in a 16 miles radius away from any competitor. The budget set aside is for a warehouse that will have to modify to become a glass shop. The project will have to include the purchase of two more glass trucks to do service calls. A new glass cutting table, glass racks, and safety equipment also have to be included in the project budget. The owners will have a weekly meeting on the project. Each owner will review the goals and make necessary changes to assure the second shop opens and start operation as planned. Triple constraint makes up of three areas that will help guide the project thru the entire process. The three area are the scope of the project, the schedule of the project and the budget of the project. Currently, the firm is facing stiff competition from other businesses in the construction industry. For instance, some construction firms have adopted strategies such as advertising to attract customers. Equally, other firms have been in the market for a more extended time which gives them an advantage (Hesterly & Barney, 2008). As a result, the company has few customers for its products. Also, the construction industry is facing a challenge of limited land. The increase in population has put a lot of pressure on the available land which has reduced the land available for construction. As a result, the available land is too expensive to purchase. Assumptions One of the assumptions of the project is that the competition in the construction industry will continue to increase. The other assumption is that the value of land in the market will keep on appreciating. Another assumption is that the construction company will keep losing its customers if it does come up with an effective strategy as soon as possible. Also, it is assumed that there is a high demand for houses in the market and that minimum costs are incurred in the construction industry. The Project Scope The proposed solution is to construct modern residential apartments since they occupy less space on land. The solution will benefit the firm in various ways. For instance, the apartments will save on land since they will occupy more vertical space as compared to horizontal space. Equally, less land will be purchased which will help the company to save money. Another benefit that a construction industry can reap from implementing this solution is that the apartment will make the firm a lot of profit. The apartment will home many people who will generate a lot of profit for the company once it sells or leases these apartments. Based on this solution, research will be conducted on the best modern designs that will be used in the construction of these apartments. Information will be collected through observing the other apartments in the area to get a glimpse of what the company needs to do and what to avoid. Equally, construction experts such as architects will be consulted on the same to help come up with the best modern designs. Additionally, the land available for construction will be investigated and the information generated analyzed to determine if it is suitable for construction. How can innovative sustainable technologies be spread to make an impact on global warming and resource scarcity? This research deals with how business model innovation can contribute to the take-up of sustainable technologies. Property owners who would otherwise consider installing solar panels have been put off by the up-front costs and the steep learning curve involved. So a new type of firm has emerged that provides a ‘solar service’ to residential customers - the firm builds, owns and maintains the solar panels and sells the electricity back to the property owner.

1 Assignment 1 1) Our business idea is to start a company that embeds solar cells inside infrastructures to produce solar energy which is a renewable source of energy. We want to do so to reduce the wastage of non-renewable resources and protect our planet by fighting climate change. 2) A) There is a gap that exists in this market as there are not a lot of companies that provide affordable ways to generate solar energy. Providing solar energy at reasonable prices and making it available to all is our idea. B) Solar panels are usually put up on the roofs of houses but according to us, any ground surface might be converted into a strong, dual-purpose electricity-generating surface that uses solar energy. We want to make these surfaces dual-use and money-making so that we can get a return on our investment. C) We have an innovative product as the solar panels we will produce will be installable on any surface. If utilized properly our product will be able to power the whole city. For this, our solar would need to be installed on the sidewalks, public squares, and all other establishments. This will enable us to meet clean power targets and make the earth a better place. D) Our solar panels could be implemented around the city by partnering with government agencies so that all people can use solar energy for an affordable price. We could also look to partner with franchises to install our panels at all their outlets. E) We have explored the possibility of buying out a business but our product is very unique so buying out a company would not be very reasonable for us. We want to build our own company grounds up which will help us have all the control from the beginning. 2 Assignment 2 3) Porter's five forces analysis - Entry barriers are high - As developing solar panels efficiently requires significant R&D expenditure and substantial investments to remain competitive. So there is little threat from new competitors (Barrow et al., 2018). Power of suppliers is high - It is High as there are not many companies in this field. Very few companies in this sector are actually successful. Due to the lack of alternative sources the power of suppliers is high. Power of buyer is low - As lease contracts are lengthy and expensive to end, clients have a difficult time switching providers. The threat of substitutes is medium - This industry is threatened by substitutes to some extent, mostly due to competition with power plant contractors for alternative energy sources (e.g., natural gas).
