1. This ASHADEE CLIENT CONTRACT (the "Agreement") constitutes a legally binding
agreement between Ashadee Sdn Bhd, a Malaysian company registered under the

BY THE TERMS AND CONDITIONS OF THIS AGREEMENT FOR AS LONG AS
YOU USE THE ASHADEE SERVICES.
Subject to the terms and conditions of this Agreement, ashadee hereby grants to You a
non-exclusive, revocable, right and license, without right to sublicense, to use ashadee's
proprietary online platform, including without limitation the website made available
at www.ashadee.com, and any servers, computers or networks used to provide such
website (the "ashadee Services") for the following limited purposes, if and as applicable,
INCLUDING ANY CHANGES TO THIS AGREEMENT OR ADDITIONAL

by anotherashadee client(eacha"Product"),whetherviathe ashadee Servicesorviaanyother
online orofflinechannel ormediumforthe purpose of earningapercentage of the sale price of
any Productsoldas a resultof such Promotion("Commissions"),Youagree,acknowledge,
representandwarrantthat:
1. You will notsuggestorimplyanywarrantyor otherpolicywithrespecttoanyProducts
otherthan ashadee's Returnand Cancellationpolicy withoutthe priorwrittenconsent
of ASHADEE,whichashadee maywithholdinitssole discretionforanyreason.
2. WhenYou Promote anyProduct,You will use the applicableVendor'strademarks,logos,
trade namesor service marksinaccordance withsuchVendor'strademarkguidelines,
whichwill eitherbe suppliedbyashadee orsetforthinthe Promotional Guidelines,if
applicable.
3. You will notmake anyunlicensedorunauthorizeduse of orotherwise infringe,violate
or misappropriate anypatent,copyright,trademark,trade secret,rightof privacy,right
of publicityorotherintellectual propertyorotherproprietaryright("IPRights").

14. All communicationsand/orrepresentationsmade byYouinconnectionwithany
Promotionsand/orinrelationtoanyProductwill be accurate and containall disclosures
and disclaimersnecessarytopreventsuchPromotionsfrombeingfalse ordeceptive.

3. SELLING PRODUCTS. If You registeranyProductsfor sale viathe ashadee Services,Youagree,

Your existingorpastphysical contactswiththatstate; and(2) Your provisionof a"drop
ship"deliveryof the physical producttoa buyerlocatedinthat state.You maywishto
consulta tax professional todetermine if Youwill have thistype of obligationinany
particularstate.You agree that if suchan obligationariseswithrespecttoanyparticular
state,You will be solelyresponsible forthe timelypaymentof suchtax.You further

agree that all statements,opinions,announcementsormessagescommunicatedbyYou
viathe ashadee ServicesconstitutePromotionsunderthisAgreementandare subjectto
all of the applicable terms,conditions,restrictionsandobligationsthereto.Additionally,
and withoutlimitinganyotherrestrictioncontainedherein,Youwill notuse the
ashadee Servicesto:(i) make anyfalse ordeceptivestatementorclaimregardingYour
Productor salesof Your Product;(ii) offeranyPromotionsorincentivestoAffiliates
unless Youintendtofulfillsuchpromotionsorincentives;(iii) offeranyPromotionsor
incentivestoAffiliatesunlessYouaffirmativelystate thattheyare offeredonlybyYou
and notby ashadee;or(iv) suggestinanyway,whetherexpressorimplied,thatYour
Product(s) are endorsed,approvedorsponsoredbyashadee inanyway.ashadee
reservesthe righttosuspendYourabilitytouse the ashadee Servicesatanytime.
4. EMAILS. If youreceive anymessagesorcommunicationsbyelectronicmeans,including,butnot
limitedtoemail andinstantmessages("Emails") inconnectionwiththe directorindirect
Promotionorsale of any Productand/or Your use of the ashadee Services,thenYouagree and
acknowledge that(i) ashadeedoesnotguarantee,orassume anyliabilityfor,the accuracy,
completeness,efficacyortimelinessof anyinformationcontainedinEmailsnorisitresponsible
for anybonuses,prizes,orotherincentivesofferedbyVendorsorAffililates;(ii)Youruse of any

You send,or cause to be sent,anyEmailsin connectionwiththe directorindirectPromotionor
sale of any Productand/or Your use of the ashadee Services,thenYouagree,acknowledge,
representandwarrantthat all such Emailsshall be infull-compliance withall applicable federal
and state lawsand regulationsregardingthe use of electronicmessages,includingwithout
limitationthe Controllingthe Assaultof Non-SolicitedPornographyandMarketingActof 2003
("CAN-SPAMAct") andthe Children'sOnlinePrivacyProtectionActof 2000 ("COPPA")

1. Send,initiate orprocure the sendingof anEmail to anyPersonwhohas explicitly
requestedtoreceive nofurtherEmailsfromYouorYour company.
2. Employanyfalse or deceptive informationregardingYouridentity,orregardingthe
intent,subject,ororiginof the message orfail toinclude accurate informationregarding
Your identity,andthe intent,subject,andoriginof the Email.
3. Employanyincomplete, invalid,deceptive,fake,orforgedmessageheaders.
4. Use anymousetrapsor windowsthatreappear,spawnnew windowsorotherwise resist
beingclosed.
5. Exploitdocumentedorundocumentedsecurityholesonanyclientorservermachine.
6. Fail to (i) include clear,valid,andconspicuouslydisplayed"From"and"Subject"linesin
the Email,(ii) include afunctioningreturnaddress(orhyperlink) inthe Email that
enablesthe recipienttosubmitarequesttoreceive nofurthermessagesfromYou("Opt
Out Request") fornolessthan30 daysfrom the date the Email was sent;or (iii) honor
any Opt-outRequestwithin10days of receiptof such Opt-outrequestbyYou.
7. Obtainemail addressesviaautomatedmeansorsendanyEmail to anyaddresswhich
was obtainedviaautomatedmeans,includingviathe automatedcombinationof names,
letters,ornumbers,dictionaryattacks,orthe use of spyware,viruses,orothermeansof
bypassingsystemsecurityorinvadingconsumerprivacy.
8. SendanyEmail from,or make suchEmail appear to have beensentfrom, anyaddress
that wasobtainedviathe use of scripts or otherautomatedmeanstoregisterfor
multiple electronicmail accounts oronline useraccountsfromwhichtotransmit
unsolicitedormisleadingemailmessages.
9. Sendor relayanyEmail from anyprotectedcomputeror networkaccessedwithout
authorization.
10. Employanyfraudulent,deceptive,false ormisleadinginformationinconnectionwith
the Emails.
11. Sendanycommercial marketingEmail orPromotionto,or collectanypersonally
identifiable informationfrom, anypersonwhoisunder18 yearsof age.
5. SUSPENSION;TERMINATION. You agree and acknowledgethat:

card fraud,spammingor otherillicitcommercialactivitiesoranyotheractivity
whichviolatesanyfederal,state,local orforeignconstitution,treaty,law,
statute,ordinance,rule,code,regulation, interpretation,directive,policy,order,
writ,decree,injunction,judgment,opinion,ruling,decision,permit,license,
registrationandotheroperatingauthorizations,oranyotherrequirementof,
any federal,state,local orforeigngovernment,legislature,governmental or
administrativeagencyorcommission,anyself-regulatoryassociationor
authority,anycourt or othertribunal of competentjurisdiction,oranyother
municipality,governmental authorityorinstrumentalityorquasi-governmental
entityorauthority,whethercurrentlyineffectorhereafterenactedoramended
("Law");
2. Violationorinfringementof anyPerson'srights,includingwithoutlimitation,
any IPRights;
3. Misrepresenting,over-promising,makingfalse,deceptive ormisleading
statementsoranyother acts inviolationof federalorstate law affecting

4. A breachof anyterm of thisAgreement,including,withoutlimitation,any
representation,warrantyorcovenantmade byYou inthisAgreement;and
5. Otherwise violatingashadeerulesorpoliciesorinterferingwithashadee's
business,includingashadee's VendorandProductsRequirementsPolicy.
1. Followingthe suspension of anaccountor holdingof fundsperthisSection5, ashadee
will reviewYouraccount.You acknowledge thatthisreview will be conductedina
mannerdecidedbyashadee atitssole discretion.Youagree tocooperate withthis
review.If the reviewconcludesthatthere isa reasonable basistobelievemisconduct
has occurred,You agree that ashadee mayseize and/orretainfundsinYourashadee
account as liquidateddamagesand/orforthe benefitof thirdpartiesaffectedbythe
misconduct.Youacknowledge andagree thatthe suchliquidateddamages:(a) are nota
penalty,and(b) are reasonable andnotdisproportionatetosuchpresumeddamagesto
ashadee.
2. You understandthatashadee mayalsotemporarilyholdanyportionof the fundsinYour
ashadee accountif ashadee,initssole discretion,determinessuchactionisneededto
secure paymentfor,performance of,and/orassurancesregardinganyliabilities,
obligations,orindebtednessYoumayincurwithashadee orany otherPerson.

(whichmaybe sentby email),ashadeewillhave the righttoimmediatelyterminatethis
AgreementandYourrightsto access,use and/orotherwise participateinthe ashadee
Services.Uponsuchtermination,Youagree toimmediatelycease all use of the ashadee

9. Services.Withoutlimitingthe foregoing,ashadee shallhave the righttoimmediately
terminate Youraccessand use of the ashadee Services,oranyportionthereof,inthe
eventof anyconduct whichashadee,initssole discretion,considerstobe unacceptable.
The provisionsof thisSection,inadditiontoanyprovisions,whichbytheirnature,are
intendedtosurvive,shall survive the terminationof thisAgreement.
6. ASHADEE'S IP RIGHTS.
0. You shall notuse ashadee'sname,trademarks,servicemarksorany otherIPRight of
ashadee inanymannerwhatsoevertosuggestassociationoraffiliationwithor
endorsementbyashadee withoutthe expresspriorwrittenconsentof ashadee,which
ashadee maywithholdatitssole discretion.Promotional use of imagesorreproductions
of Paymentchecksissuedbyashadee withoutthe express,writtenconsentof ashadeeis
prohibited.Forthe avoidance of doubt,the foregoingprohibitionappliestoanyuse of
the VendorSpotlight.
1. Subjecttothe followingterms andconditions,ashadeegrantsYoua limited,revocable
license touse ashadee'sname:(i) asawatermark,Internetsearchengine description,
keyword,searchtermor seedingelementwithanyInternetsearchenginesorkeyword-
triggeredadvertisingprograms;(ii)inmetatagsorhiddentext(iii) asasub domainor
secondor thirdlevel domainname identifier;(iv) toidentifyProductsor(v) in
connectionwithPromotions.
1. ashadee mayrevoke the foregoinglicense and/orproviderestrictionsuponYour
use of ashadee'sname,includingrequiringthe use of suchdisclaimersas
ashadee mayprovide,inconnectionwithYouruse of ashadee'sname,at
anytime andforany reasoninashadee'ssole discretion.
2. Failure tocomplywithanyrestrictionsimposedbyashadee uponYouruse of
ashadee'sname orfailure byYou to immediatelycease all use of ashadee's
name if so instructedbyashadee shall constitute(1) abreach of the limited
license setforthinthisSection6(b);and(2) a breachof thisAgreement.Insuch
case,ashadee reservesthe righttopursue anyand all remediesavailable toitat
Law or in equity.
3. You may notuse or displayashadee'sname inanymanner(i) thatimplies
sponsorshiporendorsementbyashadee;(ii) todisparage ashadee orthe
ashadee Servicesor(iii)otherthanasspecificallyauthorizedunderthis
Agreement.
2. Notwithstandingthe limitedrevocable licensesetforthinSection6(b) above,as
betweenthe parties,ashadee shall be andremainthe sole ownerof all right,title and
interestinandto the ashadee Services(including,withoutlimitation,all IPRights
therein) andanyotherIPRights,materialsorotherpropertiesowned,licensedor
controlledbyashadee,andYouherebyassigntoashadee all right,title andinterestYou
may be deemedtohave therein.Subjecttothe limitedrightsexpresslygrantedinthis
Agreement,ashadee reservesall right,title andinterestinandtothe ashadee Services
(including,withoutlimitation,all IPRightstherein) andanyotherIPRights,materials or
otherpropertiesowned,licensedorcontrolledbyashadee.All rightsnotspecifically
grantedto You underthisAgreementare expresslyreservedbyashadee.
7. CONFIDENTIALITY& NON-DISCLOSUREOBLIGATIONS.
0. In connectionwiththisAgreement,ashadeemaydisclose toYouand/orYou may
otherwise receive orhave accesstosensitive,confidential,and/orproprietary
informationof ashadee (collectively,"ConfidentialInformation"),including,butnot
limitedto(a) the identitiesof otherVendorsorAffiliates of ashadee (collectively,

ashadee Marketplace statisticsandsalesdata;and/or(e) know-how orbusiness
informationrelatingtobusinessprocesses,methods,ormarketingstrategies.Exceptas
requiredtoperformYourobligationsunderandinaccordance withthe termsof this
Agreement,Youshall not(i) disclose the Confidential InformationtoanyPerson,or(ii)
use the Confidential Information(whetherforYourownbenefitorthe benefitof any
otherPerson),withoutthe expresspriorwrittenconsentof ashadee.Youshall notuse
any Confidential Informationforthe purpose of soliciting,orto permitanyothersto
solicit,ashadee Clientstosubscribe toanyotherservicesorpromote the sale of any
productwhichcompetes,eitherdirectlyorindirectly,withashadee orthe ashadee
Services,includingwithoutlimitationthe functionalityofferedbythe ashadee
Marketplace.Youagree and acknowledge thatashadee maybe requiredtoprovide to
governmental agenciesorotherthirdpartiesinformationinitspossessionregardingYou
or the businessYouconductwithashadee.
1. ashadee doesnotinvite andcannotacceptany ideasor informationYouconsidertobe
confidentialand/orproprietary.ExceptwithrespecttoYour personallyidentifiable
information(asexpresslyprovidedforinthe ashadee PrivacyPolicy),anysuggestions,
submissions,comments,ideas,concepts,know-how,techniquesmaterial orfeedback
conveyed,offeredortransmittedbyYoutoashadee,orotherwise inconnectionwith
the ashadee Services(collectively,the "Submissions"),shall be deemedtobe non-
confidentialandnon-proprietaryandashadee shall have noobligationof anykindwith
respectto suchSubmissions,unlessotherwiseexpresslyagreedtoinawritingexecuted
and deliveredbyYouanda dulyauthorizedofficerof ashadee.Youherebygrantto
ashadee anditslicenseesaworldwide,perpetual,non-exclusive,fully-paid,royalty-free,
transferable rightandlicense,withrighttosublicense,toreproduce,publiclydisplay,
distribute,andperform, transmit,edit,modify,create derivativesworksof,publish,sell,
commerciallyexploit,use,anddisclose the Submissionsforanypurpose andinall forms
and all mediawhethernow knownortobecome knowninthe future.ashadee shall
have no obligationtocompensate Youforanysuch Submissionsinanymanner.You
herebyrepresentandwarrantthat: (a) You ownor otherwise havethe righttogrant the
foregoinglicense toashadee withrespecttoYourSubmissions;(b) YourSubmissions
and anyuse thereof byashadee will notinfringe orviolate the rightsof anyPerson
(includinganyIPRights);and(c) Your Submissionswill notcontainanyunlawful,
threatening,abusive,false,libelous,defamatory,obscene,pornographic,profane,or

Services;(ii) reverseengineerof the ashadee Servicesorotherwiseattempttoderive its
source materials;(iii)accessthe ashadee Servicesforthe purpose of (A) buildinga
competitiveproductorservice,or(B) copy anyfeatures,functionsorgraphicsof the
ashadee Services;(iv) interfere withordisruptthe ashadee Servicesoranydata
containedtherein;(v) attempttogainunauthorizedaccesstothe ashadee Services,its
relatedsystemsornetworks;or(vi) use the ashadee Servicesforanyunlawfulpurpose
or in violationof the rightsof anyPerson.
11. INDEMNIFICATION.To the fullestextentpermittedbyLaw,Youagree that

employees,representatives,agents,licensors,attorneys,heirs,successors,and
assignees(the "ashadee Parties"),fromandagainstanyand all damages,liabilities,
claimsor costs (including,withoutlimitation,the costsof investigationanddefense and
reasonable attorneys'feesandlitigationandcourtcosts) ("Losses") incurredbyany
ashadee Party as a resultof such Claim, regardlessof whethersuchLossesare direct,
incidental,consequential,punitiveorstatutory.
1. Upon receivingnotice of anyClaimforwhichashadee isentitledtoindemnificationby
You, ashadee shall provideYouwithwrittennotificationandopportunitytoassume sole
control overthe defense orsettlementof the Claimandreasonable assistance tosettle
and/ordefendthe ClaimatYour sole expense; provided,however,that(i) any
settlementwhichwouldimpose anunindemnifiedmonetaryobligationonand/or

expresswrittenconsent;and(ii) failure toprovide timelynotice,control,orassistance
shall notrelieve Youof Yourobligations;and(iii)ashadeemayhave itsowncounsel
presentatand participatinginall proceedingsornegotiationsrelatingtoa Claim, at
ashadee'sownexpense,unlessYoufail orrefuse tosecure legal counseltodefendany
Claimina timelymanner,inwhichcase You shall payall expensesrelatedtoashadee's
use of suchcounsel.
2. In the eventthatashadee incurscosts,attorneys'feesorotherexpensesrespondingto
any complaintotherthana Claim, inconnectionwithorrelationtoYourProductsor

sole discretion,torecoversuchcostsandexpensesbydeductingareasonable,
commensurate amountfromanymoniesowedtoYouby ashadee upto a maximum
of $5000 perevent.Inthe eventthatashadee incursanyLossesrelatingtoyour
violationof ashadee'semail policy,asdescribedinSection4hereto,ashadee reserves
the right,in itssole discretion,tofirstrecoversuchLossesbydeductingareasonable,
commensurate amountfromanymoniesowedtoYouby ashadee upto a maximum
of$10,000 perevent.Youunderstandandagree that the $5,000 and $10,000 amounts
listedabove are notashadee'ssole andexclusive remedyandthatashadee retainsall
rightsto indemnificationdescribedherein. Youauthorize ashadee tomake,andrelease
ashadee fromanyliabilityinconnectionwith,anysuchdeductions.
12. LIMITATION OF LIABILITY. IN NOEVENT SHALL ANY ASHADEEPARTY,OR ITS HEIRS, SUCCESSORS
ANDASSIGNS,BE LIABLE FOR ANYINDIRECT,INCIDENTAL,SPECIAL,PUNITIVE,OR
CONSEQUENTIALDAMAGES WHATSOEVERARISINGOUT OF, RESULTING FROM, OR IN
CONNECTION WITHTHIS AGREEMENT AND/ORANY(A) USE OF OR INABILITYTO USE THE
ASHADEE SERVICES,(B) PERSONALINJURY,PROPERTYDAMAGE, OR LOSSESOF ANY KIND
WHATSOEVER,RESULTING FROM YOUR ACCESSTO AND/ORUSE OFTHE ASHADEE SERVICES,(C)
UNAUTHORIZED ACCESSTO OR USE OF ANYANDALL PERSONALINFORMATION AND/OR
FINANCIALINFORMATIONSTOREDTHEREIN,(D) INTERRUPTION OR CESSATION OF
TRANSMISSION TOOR FROMTHE ASHADEE SERVICES,AND/OR(E) BUGS, VIRUSES,TROJAN
HORSES,OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE ASHADEESERVICES,
WHETHER OR NOT ASHADEEIS ADVISEDOF THE POSSIBILITYOF SUCH DAMAGES.
NOTWITHSTANDINGANYTHINGHEREIN TO THE CONTRARY,THE MAXIMUM CUMULATIVE AND
AGGREGATE LIABILITYOF ASHADEEFOR ALL COSTS,LOSSES OR DAMAGES FROMCLAIMS
ARISINGUNDER OR RELATED IN ANYWAY TO THIS AGREEMENT, WHETHER IN CONTRACT,TORT
OR OTHERWISE, SHALL NOTEXCEED AN AMOUNT EQUAL TO THE TOTAL AMOUNTSDUE AND
PAYABLEBY ASHADEETO YOU UNDER THIS AGREEMENT FOR THE MONTH IMMEDIATELY
PRECEDINGTHE DATE UPON WHICH SUCH DAMAGES ACCRUE.THE LIMITATION OF LIABILITY
HEREIN IS A FUNDAMENTAL ELEMENT OF THE BASISOFTHE BARGAIN ANDREFLECTS A FAIR
ALLOCATION OFRISK.THE ASHADEESERVICES,ANDANY SERVICESOR INFORMATION OFFERED
THROUGH THE ASHADEESERVICES,WOULD NOTBE PROVIDEDWITHOUT SUCH LIMITATIONS
ANDYOU AGREE THAT THE LIMITATIONSOF LIABILITYAND DISCLAIMERSSPECIFIEDHEREIN
WILL SURVIVEAND APPLYEVEN IF FOUND TO HAVEFAILED OF THEIR ESSENTIALPURPOSE.
BECAUSE SOME JURISDICTIONSDONOTALLOW THE EXCLUSION OR LIMITATION OF CERTAIN
CATEGORIESOF DAMAGES, IN SUCH JURISDICTIONS,YOUAGREE THAT THE LIABILITYOF
ASHADEE SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY SUCH JURISDICTION.
13. GENERAL TERMS AND CONDITIONS.

Agreement,otherthansuchlaws,rules,regulationsandcase law that wouldresultin
the applicationof the lawsof a jurisdictionotherthanthe countryof Malaysia,andthat
any action,suit,proceeding,orclaimarisingoutof or relatedtothisAgreementmustbe
broughtexclusivelyinfederalorstate courts locatedMalaysia.Youherebysubmittothe
inpersonamjurisdictionandvenueof suchcourtsand waive anyobjectionbasedon
inconvenientforum. YOUHEREBYIRREVOCABLY WAIVE ANYAND ALL RIGHT TO TRIAL
BY JURY IN ANYACTION, SUIT, PROCEEDING,CLAIM OR COUNTERCLAIM ARISING
UNDER OR IN RELATION TO THIS AGREEMENT.

2. Our Relationship. ThisAgreementdoesnotcreate anyrelationshipof principaland
agent,partners,jointventurers,employerandemployee,fiduciaryor similar
relationshipbetweenthe parties.Youagree thatanycontentstoredon ashadee's
serversinrelationtoanyProductsregisteredbyYouviathe ashadee Servicesissolelyat
Your directionandnothingcontainedinthisAgreementnorinYour use of the ashadee
Services,shall be construedasshiftingresponsibilityforsuchpublicationtoashadee.
You are notauthorizedtomake any promise,warrantyorrepresentationonbehalf of
ashadee orobligate orattemptto obligate ashadee inanymannerwhatsoever.You
shall notrepresenttoanypersonthat You are the agentof ashadee,norfail tocorrect
any misunderstandingasto suchstatus.
3. Assignment. ashadee mayfreelyassignortransferanyor all of the rightsand obligations
describedunderthisAgreementwithoutYourconsentandwithoutnotice toYou.You
may notassignthisAgreementoranyof Your rightsand dutieshereunderwithoutthe
priorwrittenconsentof ashadee.ThisAgreementshallbe bindinguponandinure tothe
benefitof the partiesheretoandtheirrespectivesuccessorsandassigns.
4. Severability. If anyprovisionof thisAgreementisdeclaredordeterminedbyanycourt
to be unenforceableorinvalid:(i)the validityof the remainingparts,termsorprovisions
shall notbe affectedbythatdetermination;(ii) the unenforceableorinvalidpart,term
or provisionshall notbe deemedtobe part of thisAgreement;and(iii) suchcourtmay
substitute aprovisionthatislegal andenforceable andisasnearlyas possible consistent
withthe intentionsunderlyingthe original provision.If the remainderof thisAgreement
isnot materiallyaffectedbysuchdeclarationorfindingandiscapable of substantial
performance,thenthe remaindershall be enforcedtothe extentpermittedby
applicable law.
5. Publicity. Youshall notissue ormake anypublicityrelease (includingpressreleasesand
advertisingorsolicitationmaterials)orotherpublicstatement:(i)relatingtothis
Agreement;(ii) usingashadee'sname orreferencingthe ashadeeServices; or(iii)
suggestingorimplyinganyendorsementbyashadee of Youand/oranyProducts
withoutthe priorwrittenapproval of ashadee,whichashadee maywithholdatitssole
discretion.
6. Entire Agreement;Amendment. ThisAgreementconstitutesthe completeand exclusive
agreementbetweenthe partiesrelatingtothe subjectmatterhereof.Itsupersedesall
priorproposals,understandingsandall otheragreements,oral andwritten,between
the partiesrelatingtothissubjectmatter.ashadee reservesthe rightto amendthis
Agreementatanytime.Whenashadee amendsthisAgreement,ashadee shall make
reasonable effortstoprovide Youwithgeneral,notspecific,notice of suchchangesby
postinga conspicuousannouncementat www.ashadee.com that;(i) suchchangesor
amendmentshave occurred;and(ii) identifyingwhichparticularprovisionshave
changed.Suchannouncementshall be maintainedfornolessthan30 days followingthe
effectivedate of suchamendment.Yourcontinueduse of the ashadee Services,
followingthe postingof suchamendmentwill signifyandbe deemedYourassenttoand
acceptance of the revisedAgreement.Youagree thatYou have the burdento
periodicallyreview www.ashadee.com toinformYourself of anysuchchanges.
7. Waiver. The waiverorfailure byashadee toexercise anyrightprovidedforhereinwill
not be deemedawaiverof anyfurtherrighthereunder.The rightsandremediesof

remediesashadee mayotherwise have atlaw orequity,exceptwithrespecttoanysole
and exclusive remediesexpresslyprovidedforherein.
8. Equitable Actions. Youacknowledgeand agree thatany breachor threatenedbreachof
thisAgreementmaycause immediate andirreparableharmtoashadee whichwouldnot
be adequatelyandfullycompensatedbymoneydamagesandthatashadee mayseek
injunctive relief,specificperformance,and/or otherequitable relief asa remedyforany
such breachor anticipatedbreachwithoutthe necessityof postingabondorother
security.Notwithstandinganyotherprovisionof thisAgreement,anysuchrelief maybe
soughtinthe state or federal courtsof the State of Idahoor any othercourt of
competentjurisdictionanywhere inthe world(atashadee'ssole discretion),and,You
herebyconsenttothe jurisdictionof anysuchcourt andwaive anyobjectiontovenue
laidtherein.Anysuchreliefshall be inadditiontoandnot inlieuof any appropriate
relief inthe wayof monetarydamages.
9. Force Majeure. ashadee shall notbe responsible fordelaysorfailuresinperformance
resultingfromactsof God,strikes,lockouts,riots,actsof war andterrorism, embargoes,
boycotts,changesingovernmental regulations,epidemics,fire,communicationline
failures,powerfailures,earthquakes,otherdisastersoranyotherreasonwhere failure
to performisbeyondthe control of,andnot causedby,ashadee.
10. Notices. Exceptasotherwise expresslyprovidedherein,anynotice,request,approval,
authorization,consent,demandorothercommunicationrequiredorpermittedtobe
givenormade pursuantto thisAgreementshall be inwritingandshall be deemedgiven
on the earliestof:(i) actual receipt,irrespectiveof the methodof delivery;(ii) the time
of transmissionfromashadeeif sentviaemail,asdate stampedbyashadee'ssystems;
(iii) onthe deliverydayfollowingdispatchif sentbyexpressmail (orsimilarnextday air
courierservice);or(iv) onthe sixth(6th) dayaftermailingbyregisteredorcertified
UnitedStatesmail,returnreceiptrequested,postage prepaidandaddressedtothe last
addressprovidedbyaparty.
11. Headings/Interpretation. The table of contentsandthe descriptive headingsare for
convenienceonlyandshall notcontrol or affectthe meaningorconstructionof any
provisionof thisAgreement.
DISCLAIMER. YOU ASSUMEALL RISK AND RESPONSIBILITY FOR YOUR DECISIONTO USE THE ASHADEE
SERVICES. THE ASHADEE SERVICES AND ALL RELATED SERVICES ARE OFFERED "ASIS" AND ASHADEE
DISCLAIMS ANYEXPRESS OR IMPLIED WARRANTIES INCLUDING,WITHOUTLIMITATION, ANY
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,AND NON-
INFRINGEMENT.
