2015 IT Security M&A Outlook
 Deal volume should increase as the number of venture-financed companies in the last few years has
outpaced the number of exits and private investors seek to take a bird-in-the hand approach to
seeking liquidity
 Median price to revenue multiples are likely to remain healthy at 5x and particularly unique
solutions will command a significant premium to the median
 Leading private company segments for M&A include the following:
• Mobile
• SaaS players
• Identity & access management
• Vulnerability assessment
• Incident response

2015 Venture Funding and IPO Outlook
 Venture Funding
• Venture should remain strong
• Later stage funding will continue, particularly if the IPO window remains narrow and companies
feel pressure to compete by spending greater amounts on sales and marketing
 Private Equity
• PE firms are likely to remain active including:
o Thoma Bravo which has just agreed to sell BlueCoat to Bain for $2.4B, has taken SonicWall
private for $636M, sold Tripwire to Belden, acquired SailPoint, and through LANDesk,
acquired MobileSpaces
o Veritas Capital may seek to leverage its investment in BeyondTrust
o Apax would realize some liquidity from its public registration of Sophos
o Welsh Carson could register Alert Logic for an IPO
