INDIAN CONTRACT ACT 1872 CONTD.... DISTINCTION BETWEEN AGREEMENT AND A CONTRACT : 1) WHAT CONSTITUTE? OFFER AND ACCEPTANCE CONSTITUTE AN AGREEMENT. AGREEMENT AND ITS ENFORCEABILITY CONSTITUTE A CONTRACT. 2) CREATION OF LEGAL OBLIGATION : AN AGREEMENT MAY OR MAY NOT CREATE A LEGAL  OBLIGATION. A CONTRACT NECESSARILY CREATE A LEGAL OBLIGATION.
DISTINCTION BETWEEN AGREEMENT AND A CONTRACT CONTD.... 3) ONE IN OTHER: EVERY AGREEMENT NEED NOT NECESSARILY BE A CONTRACT. ALL CONTRACTS ARE NECESSARILY AGREEMENTS. 4) BINDING: AGREEMENT IS NOT CONCLUDED OR A BINDING CONTRACT. CONTRACT IS CONCLUDED AND BINDING ON THE CONCERNED PARTIES.
CAPACITIES OF PARTIES: WHO IS COMPETENT TO CONTRACT? ACC. TO SEC 11 OF THE INDIAN CONTRACT ACT 1872,”EVERY PERSON IS COMPETENT TO CONTRACT WHO IS OF THE AGE OF MAJORITY ACCORDING TO THE LAW TO WHICH HE IS SUBJECT, AND WHO IS OF SOUND MIND AND IS NOT DISQUALIFIED FROM CONTRACTING BY ANY LAW TO WHICH HE IS SUBJECT.”
CAPACITIES OF PARTIES CONTD... WHO IS A MINOR? A MINOR IS A PERSON WHO HAS NOT ATTAINED MAJORITY. ACC. TO SEC 3 OF THE INDIAN MAJORITY ACT, 1875, A PERSON  IS DEEMED TO HAVE ATTAINED MAJORITY AS UNDER: A) WHERE A GUARDIAN OF A MINORS PERSON OR PROPERTY IS APPOINTED UNDER THE GUARDIAN AND WARDS ACT, 1890 – ON COMPLETION OF 21YRS. B) WHERE MINOR’S PROPERTY HAS PASSED UNDER THE SUPERINTENDENCE OF THE COURT OF WARDS – ON COMPLETION OF 21 YRS. C) IN OTHER CASES – ON COMPLETION OF 18 YRS.
CAPACITIES OF PARTIES CONTD... WHO IS A PERSON OF UNSOUND MIND: ACC. TO SEC 12 OF THE INDIAN CONTRACT ACT ,1872 “ A PERSON IS SAID TO BE OF SOUND MIND FOR THE PURPOSE OF MAKING A CONTRACT, IF AT THE TIME WHEN HE MAKES IT, IS CAPABLE: A) TO UNDERSTAND THE TERMS OF THE CONTRACT, B) TO FORM A RATIONAL JUDGMENT AS TO EFFECT UPON HIS INTERESTS.
PERSONS DISQUALIFIED BY LAW : (BESIDES MINORS AND PERSONS OF UNSOUND MIND) 1) ALIEN ENEMIES 2) FOREIGN SOVEREIGNS 3) CONVICTS 4) INSOLVENTS.
CONSIDERATION: MEANING:  IT MEANS SOMETHING IN RETURN, I.E, QUID-PRO-QUO. SEC2(D) OF THE INDIAN CONTRACT ACT, 1872 DEFINES CONSIDERATION AS UNDER: “WHEN , AT THE DESIRE OF THE PROMISOR, THE PROMISEE OR ANY OTHER PERSON HAS ABSTAINED FROM DOING, OR DOES  OR ABSTAINS FROM DOING, OR PROMISES TO DO  OR ABSTAIN FROM DOING SOMETHING, SUCH ACT OR PROMISE IS CALLED A CONSIDERATION FOR THE PROMISE.”
ESSENTIAL ELEMENTS OF VALID CONSIDERATION: 1) IT MUST BE GIVEN ONLY AT THE DESIRE OF THE PROMISOR. 2) IT MAY BE PAST OR PRESENT OR FUTURE. 3) IT MUST BE OF SOME VALUE. 4) IT MUST BE REAL AND NOT ILLUSORY.
FREE CONSENT: CONSENT MEANING: THE CONSENT MEANS AN ACT OF ACCEPTING TO AN OFFER. SEC 13 DEFINES CONSENT AS ,”TWO OR MORE PERSONS ARE SAID TO CONSENT WHEN THEY AGREE UPON THE SAME THING IN THE SAME SENSE.” THUS CONSENT INVOLVES IDENTITY OF MINDS IN RESPECT OF THE SUBJECT MATTER OF THE CONTRACT. IN ENGLISH LAW , THIS IS CALLED ‘CONSENSUS-AD-IDEM’.
MEANING OF FREE CONSENT SEC 14: CONSENT IS SAID TO BE FREE WHEN IT IS NOT CAUSED BY COERCION,UNDUE INFLUENCE,FRAUD,MISREPRESENTATION OR MISTAKE. 1)COERCION: IT MEANS COMPELLING A PERSON TO ENTER INTO A CONTACT UNDER A PRESSUREOR A THREAT. ACC. TO SEC 15 , A CONTRACT IS SAID TO BE CAUSED BY COERCION WHEN IT IS OBTAINED BY : COMMITTING ANY ACT WHICH IS FORBIDDEN BY THE INDIAN PENAL CODE OR
2) UNLAWFUL DETAINING OF ANY PROPERTY OR 3) THREATENING TO DETAIN ANY PROPERTY. 2) UNDUE INFLUENCE –SEC-16(1): IT MEANS DOMINATING THE WILL OF THE OTHER PERSON TO OBTAIN AN UNFAIR ADVANTAGE OVER THE OTHER.
FRAUD SEC-17: IT MEANS A FALSE REPRESENTATION OF FACT MADE WILFULLY WITH A VIEW TO DECEIVE THE OTHER PARTY. MISREPRESENTATION SEC-18: IT MEANS A FALSE REPRESENTATION OF FACT MADE INNOCENTLY OR NON-DISCLOSURE OF A MATERIAL FACT WITHOUT ANY INTENTION TO DECEIVE THE OTHER PARTY.
MISTAKE SEC-20: A MISTAKE IS SAID TO HAVE OCCURED WHERE THE PARTIES INTENDING TO DO ONE THING BY ERROR DO SOMETHING ELSE.
PERFORMANCE OF A CONTRACT SEC-37: A CONTRACT IS SAID TO BE HAVE BEEN PERFORMED WHEN THE PARTIES TO A CONTRACT EITHER PERFORM OR OFFER TO PERFORM THEIR RESPECTIVE PROMISES. THE PARTIES TO A CONTRACT MUST EITHER PERFORM OR OFFER TO PERFORM THEIR RESPECTIVE PROMISES, UNLESS SUCH PERFORMANCE IS DISPENSED WITH OR EXCUSED UNDER THE PROVISIONS OT THIS ACT, OR ANY OTHER LAW.
DISCHARGE OF CONTRACT: IT MEANS TERMINATION OF THE CONTRACTUAL RELATIONS BETWEEN THE PARTIES TO A CONTRACT. A CONTRACT IS SAID TO BE DISCHARGED WHEN THE RIGHTS AND OBLIGATIONS OF THE PARTIES UNDER THE CONTRACT COME TO AN END.
MODES OF DISCHARGE OF CONTRACT: 1)DISCHARGE BY PERFORMANCE – BY ACTUAL PERFORMANCE OR BY ATTEMPTED PERFORMANCE. 2)DISCHARGE BY MUTUAL AGREEMENT: A) NOVATION-SUBSTITUTION OF A NEW CONTRACT FOR THE ORIGINAL CONTRACT.SEC-62. B) REMISSION –SEC-62:IT MEANS CANCELLATION OF THE CONTRACT BY ANY PARTY OR ALL THE PARTIES TO A CONTRACT.
C) WAIVER : IT MEANS INTENTIONAL RELINQSHMENTS(RELEASING) OF A RIGHT UNDR THE CONTRACT. 3) DISCHARGE BY OPERATION OF LAW: BY THE DEATH OF PROMISOR BY INSOLVENCY BY UNAUTHORISED MATERIAL ALTERATION. 4) DISCHARGE BY IMPOSSIBILITY OF PERFORMANCE: EFFECTS OF INITIAL IMPOSSIBILITY EFFECTS OF SUPERVENING IMPOSIBILITY.
ON THE GROUND OF SUPERVENING IMPOSSIBILITY: DESTRUCTION OF SUBJECT MATTER(EG. MUSIC HALL AND CONCERT) DEATH OR PERSONAL INCAPACITY DECLARATION OF WAR CHANGE OF LAW 4) DISCHARGE BY LAPSE OF TIME: A CONTRACT IS DISCHARGED IF IT IS NOT PERFORMED OR ENFORCED WITHIN A SPECIFIC PERIOD CALLED PERIOD OF LIMITATION.THE LIMITATION ACT ,1963 HAS PRESCRIBED THE DIFFERENT PERIODS FOR DIFFERENT CONTRACTS .EG. PERIOD OF LIMATION FOR EXERCING RIGHT TO RECOVER A DEBT IS 3YRS ETC.
DISCHARGE BY BREACH OF CONTRACT: A CONTRACT IS SAID TO BE DISCHARGED BY BREACH OF CONTRACT IF ANY PARTY REFUSES TO FAILS TO PERFORM HIS PART OF THE CONTRACT OR BY HIS ACT MAKES IT IMPOSIBLE TO PERFORM HIS OBLIGATION UNDER THE CONTRACT. IT MAY OCCUR UNDER TWO CIRCUMSTANCES: ANTICIPATORY BREACH OF CONTRACT:THIS OCCURS WHEN THE PARTY DECLARES HIS INTENTION OF NOT PERFORMING THE CONTRACT BEFORE PERFORMANE IS DUE.
ACTUAL BREACH OF CONTRACT: ON THE DUE DATE OF PERFORMANCE DURING THE COURSE OF PERFORMANCE.

  • 2. INDIAN CONTRACT ACT 1872 CONTD.... DISTINCTION BETWEEN AGREEMENT AND A CONTRACT : 1) WHAT CONSTITUTE? OFFER AND ACCEPTANCE CONSTITUTE AN AGREEMENT. AGREEMENT AND ITS ENFORCEABILITY CONSTITUTE A CONTRACT. 2) CREATION OF LEGAL OBLIGATION : AN AGREEMENT MAY OR MAY NOT CREATE A LEGAL OBLIGATION. A CONTRACT NECESSARILY CREATE A LEGAL OBLIGATION.
  • 3. DISTINCTION BETWEEN AGREEMENT AND A CONTRACT CONTD.... 3) ONE IN OTHER: EVERY AGREEMENT NEED NOT NECESSARILY BE A CONTRACT. ALL CONTRACTS ARE NECESSARILY AGREEMENTS. 4) BINDING: AGREEMENT IS NOT CONCLUDED OR A BINDING CONTRACT. CONTRACT IS CONCLUDED AND BINDING ON THE CONCERNED PARTIES.

TO SEC 11 OF THE INDIAN CONTRACT ACT 1872,”EVERY PERSON IS COMPETENT TO CONTRACT WHO IS OF THE AGE OF MAJORITY ACCORDING TO THE LAW TO WHICH HE IS SUBJECT, AND WHO IS OF SOUND MIND AND IS NOT DISQUALIFIED FROM CONTRACTING BY ANY LAW TO WHICH HE IS SUBJECT.”
  • 5. CAPACITIES OF PARTIES CONTD... WHO IS A MINOR? A MINOR IS A PERSON WHO HAS NOT ATTAINED MAJORITY. ACC. TO SEC 3 OF THE INDIAN MAJORITY ACT, 1875, A PERSON IS DEEMED TO HAVE ATTAINED MAJORITY AS UNDER: A) WHERE A GUARDIAN OF A MINORS PERSON OR PROPERTY IS APPOINTED UNDER THE GUARDIAN AND WARDS ACT, 1890 – ON COMPLETION OF 21YRS. B) WHERE MINOR’S PROPERTY HAS PASSED UNDER THE SUPERINTENDENCE OF THE COURT OF WARDS – ON COMPLETION OF 21 YRS. C) IN OTHER CASES – ON COMPLETION OF 18 YRS.
  • 6. CAPACITIES OF PARTIES CONTD... WHO IS A PERSON OF UNSOUND MIND: ACC. TO SEC 12 OF THE INDIAN CONTRACT ACT ,1872 “ A PERSON IS SAID TO BE OF SOUND MIND FOR THE PURPOSE OF MAKING A CONTRACT, IF AT THE TIME WHEN HE MAKES IT, IS CAPABLE: A) TO UNDERSTAND THE TERMS OF THE CONTRACT, B) TO FORM A RATIONAL JUDGMENT AS TO EFFECT UPON HIS INTERESTS.
  • 7. PERSONS DISQUALIFIED BY LAW : (BESIDES MINORS AND PERSONS OF UNSOUND MIND) 1) ALIEN ENEMIES 2) FOREIGN SOVEREIGNS 3) CONVICTS 4) INSOLVENTS.
  • 8. CONSIDERATION: MEANING: IT MEANS SOMETHING IN RETURN, I.E, QUID-PRO-QUO. SEC2(D) OF THE INDIAN CONTRACT ACT, 1872 DEFINES CONSIDERATION AS UNDER: “WHEN , AT THE DESIRE OF THE PROMISOR, THE PROMISEE OR ANY OTHER PERSON HAS ABSTAINED FROM DOING, OR DOES OR ABSTAINS FROM DOING, OR PROMISES TO DO OR ABSTAIN FROM DOING SOMETHING, SUCH ACT OR PROMISE IS CALLED A CONSIDERATION FOR THE PROMISE.”
  • 9. ESSENTIAL ELEMENTS OF VALID CONSIDERATION: 1) IT MUST BE GIVEN ONLY AT THE DESIRE OF THE PROMISOR. 2) IT MAY BE PAST OR PRESENT OR FUTURE. 3) IT MUST BE OF SOME VALUE. 4) IT MUST BE REAL AND NOT ILLUSORY.
  • 10. FREE CONSENT: CONSENT MEANING: THE CONSENT MEANS AN ACT OF ACCEPTING TO AN OFFER. SEC 13 DEFINES CONSENT AS ,”TWO OR MORE PERSONS ARE SAID TO CONSENT WHEN THEY AGREE UPON THE SAME THING IN THE SAME SENSE.” THUS CONSENT INVOLVES IDENTITY OF MINDS IN RESPECT OF THE SUBJECT MATTER OF THE CONTRACT. IN ENGLISH LAW , THIS IS CALLED ‘CONSENSUS-AD-IDEM’.
  • 11. MEANING OF FREE CONSENT SEC 14: CONSENT IS SAID TO BE FREE WHEN IT IS NOT CAUSED BY COERCION,UNDUE INFLUENCE,FRAUD,MISREPRESENTATION OR MISTAKE. 1)COERCION: IT MEANS COMPELLING A PERSON TO ENTER INTO A CONTACT UNDER A PRESSUREOR A THREAT. ACC. TO SEC 15 , A CONTRACT IS SAID TO BE CAUSED BY COERCION WHEN IT IS OBTAINED BY : COMMITTING ANY ACT WHICH IS FORBIDDEN BY THE INDIAN PENAL CODE OR
  • 12. 2) UNLAWFUL DETAINING OF ANY PROPERTY OR 3) THREATENING TO DETAIN ANY PROPERTY. 2) UNDUE INFLUENCE –SEC-16(1): IT MEANS DOMINATING THE WILL OF THE OTHER PERSON TO OBTAIN AN UNFAIR ADVANTAGE OVER THE OTHER.
  • 13. FRAUD SEC-17: IT MEANS A FALSE REPRESENTATION OF FACT MADE WILFULLY WITH A VIEW TO DECEIVE THE OTHER PARTY. MISREPRESENTATION SEC-18: IT MEANS A FALSE REPRESENTATION OF FACT MADE INNOCENTLY OR NON-DISCLOSURE OF A MATERIAL FACT WITHOUT ANY INTENTION TO DECEIVE THE OTHER PARTY.
  • 14. MISTAKE SEC-20: A MISTAKE IS SAID TO HAVE OCCURED WHERE THE PARTIES INTENDING TO DO ONE THING BY ERROR DO SOMETHING ELSE.
  • 15. PERFORMANCE OF A CONTRACT SEC-37: A CONTRACT IS SAID TO BE HAVE BEEN PERFORMED WHEN THE PARTIES TO A CONTRACT EITHER PERFORM OR OFFER TO PERFORM THEIR RESPECTIVE PROMISES. THE PARTIES TO A CONTRACT MUST EITHER PERFORM OR OFFER TO PERFORM THEIR RESPECTIVE PROMISES, UNLESS SUCH PERFORMANCE IS DISPENSED WITH OR EXCUSED UNDER THE PROVISIONS OT THIS ACT, OR ANY OTHER LAW.
  • 16. DISCHARGE OF CONTRACT: IT MEANS TERMINATION OF THE CONTRACTUAL RELATIONS BETWEEN THE PARTIES TO A CONTRACT. A CONTRACT IS SAID TO BE DISCHARGED WHEN THE RIGHTS AND OBLIGATIONS OF THE PARTIES UNDER THE CONTRACT COME TO AN END.
  • 17. MODES OF DISCHARGE OF CONTRACT: 1)DISCHARGE BY PERFORMANCE – BY ACTUAL PERFORMANCE OR BY ATTEMPTED PERFORMANCE. 2)DISCHARGE BY MUTUAL AGREEMENT: A) NOVATION-SUBSTITUTION OF A NEW CONTRACT FOR THE ORIGINAL CONTRACT.SEC-62. B) REMISSION –SEC-62:IT MEANS CANCELLATION OF THE CONTRACT BY ANY PARTY OR ALL THE PARTIES TO A CONTRACT.

C) WAIVER : IT MEANS INTENTIONAL RELINQSHMENTS(RELEASING) OF A RIGHT UNDR THE CONTRACT. 3) DISCHARGE BY OPERATION OF LAW: BY THE DEATH OF PROMISOR BY INSOLVENCY BY UNAUTHORISED MATERIAL ALTERATION. 4) DISCHARGE BY IMPOSSIBILITY OF PERFORMANCE: EFFECTS OF INITIAL IMPOSSIBILITY EFFECTS OF SUPERVENING IMPOSIBILITY.
  • 19. ON THE GROUND OF SUPERVENING IMPOSSIBILITY: DESTRUCTION OF SUBJECT MATTER(EG. MUSIC HALL AND CONCERT) DEATH OR PERSONAL INCAPACITY DECLARATION OF WAR CHANGE OF LAW 4) DISCHARGE BY LAPSE OF TIME: A CONTRACT IS DISCHARGED IF IT IS NOT PERFORMED OR ENFORCED WITHIN A SPECIFIC PERIOD CALLED PERIOD OF LIMITATION.THE LIMITATION ACT ,1963 HAS PRESCRIBED THE DIFFERENT PERIODS FOR DIFFERENT CONTRACTS .EG. PERIOD OF LIMATION FOR EXERCING RIGHT TO RECOVER A DEBT IS 3YRS ETC.
  • 20. DISCHARGE BY BREACH OF CONTRACT: A CONTRACT IS SAID TO BE DISCHARGED BY BREACH OF CONTRACT IF ANY PARTY REFUSES TO FAILS TO PERFORM HIS PART OF THE CONTRACT OR BY HIS ACT MAKES IT IMPOSIBLE TO PERFORM HIS OBLIGATION UNDER THE CONTRACT. IT MAY OCCUR UNDER TWO CIRCUMSTANCES: ANTICIPATORY BREACH OF CONTRACT:THIS OCCURS WHEN THE PARTY DECLARES HIS INTENTION OF NOT PERFORMING THE CONTRACT BEFORE PERFORMANE IS DUE.
  • 21. ACTUAL BREACH OF CONTRACT: ON THE DUE DATE OF PERFORMANCE DURING THE COURSE OF PERFORMANCE.
